SECTION C - CONTRACT CLAUSES

ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL ITEMS Clauses that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

The following clauses are incorporated into 52.212-4 as an addendum to this contract:

C.1 VAAR 852.219-74 LIMITATIONS ON SUBCONTRACTING—MONITORING AND COMPLIANCE (JUL 2018)

(a) This solicitation includes FAR 52.219-6 Notice of Total Small Business Set-Aside.

(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6, or the limitations on subcontracting requirements in the FAR clause, as applicable. The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) retained by VA to assist in assessing the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to Contractor's offices where the Contractor's business records or other proprietary data are retained and to review such business records regarding the Contractor's compliance with this requirement.

(c) All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the Contractor's business records or other proprietary data reviewed or obtained in the course of assisting the Contracting Officer in assessing the Contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs.

(d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

(End of Clause)

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

SECTION E - SOLICITATION PROVISIONS

ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS Provisions that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:

E.1 52.212-1 INSTRUCTIONS TO OFFERORS — COMMERCIAL ITEMS – SIMPLIFIED ACQUISITION PROCEDURES (PARTIAL QUOTES)

A. Introduction The Department of Veterans Affairs (VA), Veterans Health Administration (VHA), Program Contracting Activity – Central (PCAC) is issuing this Request for Quotation (RFQ) to solicit vendors for the purpose of entering into a contract(s). This acquisition is being conducted in accordance with the procedures in Federal Acquisition Regulations (FAR) Parts 12 and 13. Partial quotes will be considered. The Government contemplates award of one or more Firm Fixed Price (FFP) Purchase Orders (PO) resulting from this solicitation.

The Offeror’s quote shall consist of the information identified in Section D (Content) below. Late submissions may not be accepted. Any modifications or revisions of a quote received after the date and time specified for receipt of quotes is “late” and may not be considered. Acceptance of late quotes is strictly at the discretion of the Contracting Officer.

Offeror’s responses shall be submitted in accordance with the following instructions:

B. Format

Technical quotes shall not exceed 30, single sided, typed, standard 8.5"x11" pages. Type shall be no smaller than size 12 font. The page limit does not include price sheet or past performance. All of the proposal files may be compressed (zipped) into one (1) file entitled “proposal.zip” using WinZip version 6.2 or later version or the proposal files may be submitted individually. All offers must list your DUNS number, CAGE code, and Federal TIN with Company name, POC, and phone number. If you need to obtain or renew a DUNS number or CAGE code, please visit https://www.sam.gov. Lack of registration in the SAM database will make an Offeror ineligible for award.

C. Content

· SUPPLIES: The Offeror shall provide a complete description of the product(s) that satisfy the minimum requirements specified in the Statement of Work (SOW). As stated in section “Evaluation of Offers,” the Offeror shall provide an electronic copy of the cut sheets/manufacturer’s specifications for all items quoted if not quoting the brand name in brand name or equal requirements. These cut sheets/manufacturer’s specifications shall contain adequate specifications for the Government to determine the product meets the specifications identified in the SOW. Not providing this information may render the quote technically unacceptable and, thus, ineligible for award.

· The offeror shall complete the pricing schedule located in Section B of the solicitation or provide a price quote that adequately identifies the make and model of the item, unit price, and total for each CLIN being quoted as identified in the SOW/pricing schedule. Failure to provide the make and model of the item, unit price, and total amount for each CLIN being quoted may render the offer unacceptable. The unit price shall be rounded to the penny to avoid rounding errors.

· If the Offeror is proposing a finish other than the finish identified in the SOW for any item, a physical sample shall be sent to [Insert POC Name/address] before the due date and time for quotes. This product sample WILL go to a different location than your quote.

· Failure to comply with the instructions may render the quote unacceptable.

· SIGNED OFFER AND OTHER REQUIRED SUBMISSIONS

1) System for Award Management (SAM): Offerors submitting a quote shall have NAICS code 337214-Office Furniture, and have a current registration in SAM at https://sam.gov/SAM/ at the time of quote submission. SAM will be checked to verify the Offeror’s status before any evaluation is conducted.

2) Quote Summary/Cover Sheet including:

· Date submitted;

· Offeror’s name

· Offeror’s technical lead contact information;

· DUNS Number, CAGE code, and Federal TIN

· Reference to any unique terms or conditions, or any requests to deviate from standard SOW requirements and supporting rationale (see item 4 below).

· Statement that the offer remains valid for no less than 180 calendar days from the solicitation receipt date for offers

3) Copy of signed SF 1449 and any SF 30 Solicitation Amendments.

4) If the Offeror is proposing deviations or exceptions, or otherwise makes assumptions or adds new terms, conditions or clauses regarding this Statement of Work, the Offeror must explicitly state them. In the event of a conflict between the Statement of Work and the Offeror’s quote, the Statement of Work shall take precedence unless the Government explicitly agrees with the deviation, exception, assumption, term, condition or clause in the resulting order document. The Offeror is cautioned that deviations, exceptions, assumptions or new terms, conditions, or clauses may result in a determination of quote unacceptability, may preclude award to a contractor if award is made without discussions, or may otherwise affect a contractor’s competitive standing.

(End of Provision) (End of Addendum to 52.212-1)

SUBMISSION OF OFFERS

(a) Submission of Offers/Quotations

(1) Offers/Quotations shall be received on or before the date and time specified in Block 8 of the SF-1449. Offers/Quotations received after the due date and time may not be considered.

(2) The Offeror’s quote shall be submitted electronically by the date and time indicated in the solicitation via email to the Contract Specialist Ron Shelko at Ronald.shelko@va.gov and the Contracting Officer Michelle Rhodes at Michelle.Rhodes@va.gov.

(3) WARNING: Please do not wait until the last minute to submit your quote! Late quotes may not be accepted for evaluation. To avoid submission of late quotes, we recommend the transmission of your quote files 24 hours prior to the required due date and time. Please be advised that timeliness is determined by the date and time an Offeror’s quote is received by the Government; not when an Offeror attempted transmission. Offerors are encouraged to review and ensure that sufficient bandwidth is available on their end of the transmission.

(b) Period for Acceptance of Offers The Offeror agrees to hold the prices in its Offer/Quotation firm for no less than 180 calendar days from the date specified for receipt of Offers/Quotations.

(c) Technical Questions Questions of a technical nature shall be submitted electronically, via email, to Contract Specialist Ron Shelko at Ronald.shelko@va.gov and the Contracting Officer Michelle Rhodes at Michelle.Rhodes@va.gov no later than three (3) days after the issuance of this RFQ by 1:00 p.m. (Eastern). Oral questions of a technical nature are not acceptable due to the possibility of misunderstanding or misinterpretation.

(d) Amendments Amendments to this solicitation will be posted to FedBizOpps (FBO) and may or may not be individually distributed in addition. Failure to acknowledge an amendment may result in your Offer/Quotation being considered unacceptable.

Please Note: The Contracting Officer reserves the right to consider a quote acceptable or unacceptable based on the documents submitted or not submitted with the quote.

E.3 FAR 52.212-2 EVALUATION – COMMERCIAL – SIMPLIFIED ACQUISITION PROCEDURES – Partial Quotes Considered

Provisions that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.

The following provisions are incorporated into 52.212-2 as an addendum to this solicitation:

(a) Basis of Award

The Government will award one or more purchase orders resulting from this solicitation to the responsible offeror(s) (see FAR 9.104-1) whose offer(s) conforming to the solicitation will be most advantageous to the Government. Partial quotes will be considered. Partial quote means a quote for one or more but not all line items in the requirement. Quotes for line items with less than the quantity in the solicitation are not acceptable.

Once the Government determines there is(are) a contractor(s) that can provide the item(s) that meet the requirements of this RFQ, the Government reserves the right to interact with only the identified contractor(s) providing the best-suited quote(s) to address any remaining issues, if any. A written notice of award or acceptance of an offer(s), mailed or otherwise furnished to the successful offeror(s) within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

The Government intends to make award selection without clarifications, but may determine after evaluating the quote(s) submitted that clarifications are necessary and may conduct them as appropriate. The Government reserves the right to make no award if no quotes meet the requirements of this solicitation.

(b) Evaluation Approach

Evaluation of quotes will be made on a comparative evaluation basis in accordance with FAR 13.106-2(b)(3).

The offer shall represent the best overall value to the Government at a price that can be determined reasonable. The Government is not required to identify the relative weight of the evaluation factors, hold discussions, or use other FAR Part 15 procedures. Reference FAR 13.106-2(b)(1) and 13.106-2(b)(3).

Evaluations will be based on the information contained in the offer and will include, but not necessarily limited to, the Offeror’s demonstration of its ability to meet the required specifications, technical completeness of RFQ requirements, quality, price, delivery, lead times, finish samples (if required), past performance, and vendor qualifications including familiarity with and history of providing healthcare supplies. Please note, missing or incomplete information may count against the offeror in determination of award.

To be eligible for award, quote(s) shall meet the minimum requirements set forth in Statement of Work (SOW) and the RFQ. However, the responses/offers may exceed requirements. The Government reserves the right to select response(s)/offer(s) that exceeds the minimum requirements but is not absolutely required to do so. All acceptable quotations/offers will be compared and the offer(s) that is/are the most advantageous and represents the best value to the Government will be selected for award. The Government reserves the right to minimize the number of award(s) by awarding an offer(s) that does not represent the lowest price for all/each CLINs quoted; however, any/all CLINs quoted shall be rated technically acceptable to be considered for award. Unlike in FAR Part 15, the Government will NOT consider any departures or alternates from the RFQ and each offer shall address the solicitation requirements.

All Offerors are advised that, in the interest of efficiency, the Government reserves the right to conduct the evaluation in the most effective manner. However, the Government may evaluate all Offerors’ technical quotations should it desire to conduct discussions, or otherwise determine it to be in the Government’s best interest.

SPECIFICATIONS:

SUPPLIES: Meets specifications/salient characteristics listed in SOW. This will be determined through Government evaluation of the quoted equipment against the Governments minimum requirement as identified in the SOW. The Offeror shall provide an electronic copy of the cut sheets/manufacturer’s specifications for all items quoted unless quoting the brand name identified in the SOW. The quote shall indicate if the item is the brand name or an equivalent. These cut sheets/manufacturer’s specifications shall contain adequate specifications for the Government to determine the product meets the specifications identified in the SOW. Not providing this information may render the quote not acceptable and, thus, ineligible for award.

PRICE:

Price will be determined by multiplying the quantities identified for each CLIN quoted by the proposed unit price for each Contract Line Item Number (CLIN) quoted. The extended amounts for each CLIN will then be used to determine the total price quoted.

The Government will review the price schedule for completion and accuracy, as well as the fairness and reasonableness of the quoted prices. Normally, adequate price competition establishes a fair and reasonable price. The Government reserves the right to award to an Offeror with other than the lowest priced quote(s). Award(s) will be made to the offeror(s) whose quote(s) is/are the most advantageous and represents the best overall value to the Government. The Government is not required to identify the relative weight of the evaluation factors, hold discussions, or use other FAR 15 procedures. Reference FAR 13.106-2(b)(1) and 13.106-2(b)(3).
