The TJPA is a joint powers authority created by the City and County of San Francisco, Alameda-Contra Costa Transit District, Peninsula Corridor Joint Powers Board (Caltrain), and the California High-Speed Rail Authority, with the California Department of Transportation serving as an ex officio non-voting member. The project involves the relocation or protection-in-place of over 20 public and private utilities along Townsend Street between Third and Sixth streets in San Francisco to facilitate construction of a cut-and-cover tunnel portion of The Portal, the 2.2-mile Downtown Rail Extension that will connect Caltrain's regional rail system and California High-Speed Rail to the Salesforce Transit Center. The RFQ was issued October 5, 2026, with a pre-submittal conference scheduled for October 16, 2026, at 10:00 a.m. Pacific Time. The deadline for requests for clarification is November 5, 2026, at 2:00 p.m. Pacific Time, with the final deadline for addenda issuance on November 13, 2026. Statements of Qualifications must be submitted electronically by November 19, 2026, at 2:00 p.m. Pacific Time. The TJPA anticipates notification of interview invitations by December 18, 2026, with interviews scheduled for January 6-12, 2027, and final ranking notification by January 14, 2027. Contract award is anticipated for March 2027, subject to TJPA Board approval. The selected consultant will be engaged under a design-bid-build delivery method for a base term of five years with an optional one-year extension exercisable at the TJPA's sole discretion, for a maximum term of six years.
Respondents must meet specific minimum qualifications, including at least ten years of experience within the past twenty years providing utility design, estimating, and construction support services for similar complexity projects; experience as prime consultant for at least one utility relocation infrastructure project within the past fifteen years; and experience on at least three utility relocation infrastructure projects within the past twenty years with multiple interdisciplinary scopes. Key personnel must include a Design Project Manager/Senior Engineer holding a current California Professional Engineer license in Civil Engineering with a minimum of ten years managing design for utility relocation projects and demonstrated experience with design-bid-build delivery and PG&E Form B estimates, and a Design Engineer II/Associate Engineer with a minimum of three years' experience designing utility infrastructure projects. No cost or pricing information shall be submitted with the SOQ; cost proposals will be requested only from the selected respondent following SOQ evaluation. The TJPA has established no Disadvantaged Business Enterprise (DBE) goal but encourages DBE participation; similarly, no Small Business Enterprise (SBE) utilization goal has been established, though SBE participation is encouraged. The project is subject to California prevailing wage requirements and Davis-Bacon Act compliance. The form Agreement and detailed Scope of Services are provided in the RFQ exhibits. Respondents must comply with all applicable San Francisco ordinances, California Labor Code requirements, and federal transit administration guidelines, and must demonstrate no organizational conflicts of interest that would impair their ability to serve the TJPA impartially.

SECTION 1 Introduction
The Transbay Joint Powers Authority (TJPA) issues this Request for Qualifications (RFQ) for Professional Engineering, Design, and Construction Support Services for The Portal 10-UR Utility Relocation Project from engineering firms (Respondents) with qualifications and expertise in planning, design, estimating, engineering, development, procurement, and construction support of complex utility relocation projects in urban areas. The Portal is also known as the Downtown Rail Extension, Phase 2 of the Transbay Program.
The TJPA intends to enter into an agreement for the Services described Exhibit E – Form Agreement & Agreement Appendices, Appendix 2, Scope of Services. Based on its evaluation of the statements of qualifications (SOQs) received in response to this RFQ, the TJPA may conduct interviews with the highest scoring Respondents and will establish a ranking of the most qualified Respondents. The TJPA will select the most qualified Respondent through a qualifications-based selection process in accordance with the Brooks Act (40 U.S.C. §1101 et seq.) and will enter into exclusive negotiations with the highest-ranked Respondent for an agreement substantially similar to the form Agreement provided with this RFQ (Agreement). The TJPA anticipates that the Agreement will have a base term of five (5) years with the option, exercisable at the TJPA’s sole discretion, to extend the term for an additional year, for a maximum term of six (6) years.
The method of compensation for the Consultant with whom the TJPA fully executes an Agreement for the Services is further described in Exhibit E Appendix 3 (Price and Payment).
Respondents may obtain copies of this RFQ, including the forms to be submitted in the SOQ package, by downloading the document through the OpenGov Procurement Portal, which can be accessed via website links located at https://www.tjpa.org/about-tjpa/doing-business/contract-opportunities.
Questions regarding this RFQ must be submitted in accordance with the procedures provided in Section 4.1.2, SOQ Submittal Procedures and Communication with the TJPA.
SOQ submissions in response to this RFQ must be received by the TJPA no later than 2:00 p.m. Pacific Time on the date specified in Section 4.2, Procurement Schedule, in accordance with procedures provided in Section 4.1.2. No cost or pricing information shall be submitted with the SOQ.
The selection of any Respondent for exclusive negotiations shall not imply the TJPA’s acceptance of all terms of the Respondent’s submittal. The TJPA will have no obligation to any Respondent unless and until the Agreement is approved by the TJPA Board of Directors (TJPA Board) and executed by authorized representatives of the Selected Respondent and the TJPA.
There is no guarantee that the TJPA will award a contract for all or a portion of the Services. See the form Agreement Section 4.1, Certification of Funds, for further details regarding issuance of Notices to Proceed.
The TJPA reserves the right to terminate the Agreement, in whole or in part, at any time and for any reason, subject to the terms of the Agreement.

SECTION 2 Background
In April 2001, the City and County of San Francisco (City), the Alameda-Contra Costa Transit District (AC Transit), and the Peninsula Corridor Joint Powers Board (PCJPB/Caltrain) executed a Joint Exercise of Powers Agreement under California law creating the TJPA. The Joint Exercise of Powers Agreement was amended in November 2017 to include the California High-Speed Rail Authority (CHSRA). The purpose of the TJPA is to design, build, develop, operate, and maintain a new transportation terminal and associated facilities in San Francisco, known as the Transbay Program. Information about the Transbay Program is available on the TJPA’s website at https://www.tjpa.org.
The TJPA has been granted primary jurisdiction with respect to all matters pertaining to the financing, design, development, construction, and operation of the Transbay Program. The member agencies of the TJPA have granted to the TJPA most of their jointly held powers, including the authority to buy and sell property, enter into contracts, and accept and spend grants of cash and property. The TJPA’s management functions include contract oversight, policy direction, financing, and investment supervision.
The TJPA coordinates and collaborates with, among others, the following governmental entities: U.S.
Department of Transportation and its operating administrations—Federal Railroad Administration, Federal Transit Administration (FTA), and Federal Highway Administration; California Department of Transportation (Caltrans); the California High-Speed Rail Authority; the City; AC Transit; PCJPB/Caltrain;
San Mateo County Transit District; Golden Gate Bridge, Highway and Transportation District; San Francisco County Transportation Authority; and Metropolitan Transportation Commission.
The TJPA Board of Directors (TJPA Board) is composed of directors appointed by each of the following agencies:
♦ Alameda-Contra Costa Transit District
♦ City and County of San Francisco, Board of Supervisors (2)
♦ City and County of San Francisco, Mayor’s Office
♦ Peninsula Corridor Joint Powers Board/Caltrain
♦ San Francisco Municipal Transportation Agency
♦ California High-Speed Rail Authority
♦ California Department of Transportation, Ex Officio (non-voting)
Subject to such supervisory powers as may be retained by the TJPA Board or delegated to the Chair of the TJPA Board, and except as otherwise provided in the Bylaws, the TJPA Executive Director generally supervises, directs, and controls the business of the TJPA.
SECTION 3 The Portal
The Portal will connect Caltrain’s 77-mile regional rail system and the California High-Speed Rail Authority’s future statewide system to the Salesforce Transit Center in downtown San Francisco. The Portal will be constructed principally underground along Townsend and Second streets and includes cut-and-cover and mined tunnel, at-grade trackwork, build-out of the below-grade train station at the Salesforce Transit Center, and a new underground station at Fourth and Townsend streets.
Page 3 of 45 October 5, 2026
The Portal is environmentally cleared pursuant to the requirements of the National Environmental Policy Act (NEPA), the California Environmental Quality Act (CEQA), and their implementing regulations. See the TJPA’s website for information on environmental clearance documentation:
https://www.tjpa.org/portaldtx/environmental-review
The Portal was approved for entry into the Project Development phase of the FTA’s Capital Investment Grants (CIG) program on December 3, 2021. Between December 2021 and August 2023, the TJPA completed The Portal’s preliminary engineering design; executed an agreement with the City addressing, among other things, the process to seek approval to use City property and modify existing City improvements for The Portal; progressed coordination with utility companies and City agencies whose utility infrastructure requires relocation; and progressed right-of-way acquisition-related activities. The Portal entered the second phase of the CIG program, Engineering, on May 2, 2024.
The Portal is being developed by the TJPA in collaboration with the Metropolitan Transportation Commission, San Francisco County Transportation Authority, Peninsula Corridor Joint Powers Board (Caltrain), California High-Speed Rail Authority , and City and County of San Francisco. The Portal’s Integrated Program Delivery Team (IPDT) led by the TJPA oversees the day-to-day decision-making on the infrastructure delivery aspects of The Portal, including design, procurement, and construction. Caltrain, as the primary rail operator, has specific management responsibilities within the IPDT for rail-related systems, infrastructure, and integration. The Consultant will perform the Services as a member of the IPDT for the term of the Agreement.
3.1 Major Components
The 2.2-mile rail extension begins in the Salesforce Transit Center’s underground rail station at First and Mission streets and continues southward mostly in a tunnel to Sixteenth Street, just south of Caltrain’s existing terminal station and railyards. The main elements of The Portal are summarized as follows (see Figure 1):
♦ Salesforce Transit Center below-grade fit-out
♦ Cut-and-cover structures along Second Street and Townsend Street and in portions of the 4th and King railyards
♦ Mined tunnel: over a half-mile of mined tunnel along Second Street and Townsend Street with two standalone ventilation and emergency egress structures along the tunnel alignment
♦ Fourth and Townsend Street Station: a new underground station for Caltrain
♦ Trackwork and rail systems: about a half-mile of maintenance-of-way and turnback trackwork, and associated rail systems, tying into Caltrain’s existing station
♦ Enabling works:
● Railyard preparation within the Caltrain right-of-way, involving the relocation or removal of structures and utilities along Townsend Street and modifications to surface trackwork and associated systems
● Utility relocation; see Section 3.2.
● Building demolition: the demolition of seven buildings as part of site clearing for construction of the cut-and-cover portions of the tunnel
Page 4 of 45 October 5, 2026
Figure 1. The Portal Alignment with Major Components and 10-UR Detail
3.2 Utility Relocation
The Utility Relocation (10-UR) project (the Project) is a design-bid-build contract that will relocate or protect-in-place over 20 public and private utilities within public right-of-way along Townsend Street between Third and Sixth streets to facilitate construction of the cut-and-cover portions of the tunnel. The relocations, abandonments, and demolitions are intended to eliminate or reduce utility conflicts with shoring wall construction, road decking installation, excavation, and the construction of tunnel and station structures while maintaining services to surrounding properties.
The revised 10-UR design has been completed to an approximately 60% level. The revised 60% design and specifications identify utilities to be relocated, protected in place, or abandoned. This work requires consistent uninterrupted utility service to all customers; advance utility work within the public right-of way must occur outside the future cut-and-cover structures, tunnel, and underground station at Townsend Street between Third and Seventh streets.
See Exhibit E, Appendix 2, for the 10-UR Engineering, Design, and Construction Support Scope of Services.

SECTION 4 Procurement Process and Schedule
4.1 Procurement Process
The TJPA will evaluate each Respondent to this RFQ on the basis of its SOQ and interview (if conducted).
Each SOQ received by the submission deadline will be evaluated and scored as described in this RFQ.
The TJPA may conduct interviews with up to the three highest scoring Respondents from the SOQ evaluation.
Upon the TJPA’s completion of its evaluation of SOQs and interviews (if conducted), the TJPA will rank the Respondents based on their total scores and invite the highest scoring Respondent (the Selected Respondent) to negotiate an agreement based on the terms and conditions set out in the form Agreement (see Exhibit E – Form Agreement & Agreement Appendices).
If the negotiations are successful, the TJPA expects to provide a notice of intent to award the negotiated Agreement to the Selected Respondent. If a satisfactory Agreement cannot be negotiated with the Selected Respondent, TJPA staff may terminate negotiations with the Selected Respondent and the TJPA may, but is not required to, take any of the following actions: that may include (a) proceeding to the next highest ranked Respondent to offer the opportunity to negotiate an Agreement (who will then be the Selected Respondent); (b) rejecting all SOQs; or (c) issuing a request for revised SOQs pursuant to Section 9.3, TJPA Reservation of Rights.
The TJPA staff’s recommendation to award the Agreement will be conditioned upon (a) successful completion of negotiations (if held) and (b) receipt by the TJPA of all of the documents required under Section 7.7, Negotiation, Contract Award and Execution, to be provided by the Selected Respondent before award.
The TJPA Board may accept or reject the recommendation of the TJPA staff, in whole or in part, or require other conditions at its sole discretion.
If the TJPA Board awards the Agreement to the Selected Respondent, the Selected Respondent must submit to the TJPA the documents required under Section 7.6. Upon receipt and subject to its review and confirmation of the sufficiency of the documents and information submitted by the Selected Respondent, the TJPA would then execute the Agreement.
4.1.1 Addenda
The TJPA may modify the RFQ, prior to the SOQ submission deadline, by posting addenda on the TJPA’s OpenGov Procurement Portal. Interested parties can access the OpenGov Procurement Portal via website links located on https://www.tjpa.org/about-tjpa/doing-business/contract-opportunities. Firms following this project on the TJPA’s OpenGov Procurement Portal will automatically be notified of any addenda.
Each Respondent, regardless of how they obtained the RFQ, is solely responsible for ensuring receipt of any and all addenda. Each Respondent is responsible for ensuring that its SOQ acknowledges and responds to all addenda issued by the TJPA prior to the SOQ due date and time, regardless of when the SOQ is submitted. Each Respondent must check the TJPA’s website before submitting its SOQ to ensure receipt of all addenda and to ensure that its SOQ acknowledges and responds to any such addenda.

The TJPA will consider requests for clarification in issuing any addenda to this RFQ. The TJPA may elect to respond to requests for clarification via written responses that will be posted publicly on the TJPA website.
4.5 Improper Communications
Beginning on the date the notice of intent to issue this RFQ was issued and made available to prospective Respondents, communications concerning this RFQ between members of the TJPA Board, TJPA staff, other consultants already engaged by the TJPA, or members of the selection committee and any prospective Respondents and their employees or agents are strictly prohibited, except as provided herein.
Any violations of the above restriction will result in the immediate disqualification of the Respondent from further participation in the Transbay Program. This restriction will terminate when the TJPA issues a notice of intent to award/notice of proposed award of a contract or cancels this procurement. These communications requirements will be in effect from the date the TJPA issues this RFQ and will continue until the TJPA has issued a notice of intent to award the contract to the Selected Respondent or the TJPA terminates the procurement process.
A list of TJPA Board members is available on the TJPA’s website at https://www.tjpa.org/about-tjpa/board-directors.
4.6 Conflicts of Interest
Each Respondent is responsible for determining whether its participation constitutes an actual or potential conflict of interest under the following:
♦ The TJPA’s Conflict of Interest Code (available on the document page of the TJPA’s website):
https://www.tjpa.org/media/38816/download
♦ California Government Code section 1090
♦ The Political Reform Act of 1974 (California Government Code sections 81000 et. Seq.)
♦ Federal Transit Administration requirements (e.g., FTA Circular 4220.1G, Third Party Contracting Guidance, Chapter VI)
The existence of a conflict of interest is a basis to disqualify a Respondent from the procurement process and award of the contract.
Depending upon the nature of the services performed, contractors and consultants are subject to the same conflict of interest prohibitions that apply to TJPA employees. These include, but are not limited to, the conflict prohibitions of the FTA (see FTA Circular 4220.1G) and the requirements of California law https://teams.microsoft.com/meet/220517200896834?p=rMekkZyi6rtWzQyatP https://www.tjpa.org/about-tjpa/board-directors https://www.tjpa.org/about-tjpa/board-directors https://www.tjpa.org/media/38816/download
Page 8 of 45 October 5, 2026
(including Government Code Sections 1090 et seq. and 87100 et seq., and Title 2, Division 6 of the California Code of Regulations). Notwithstanding the following paragraph, the TJPA reserves the right to disqualify any Respondent under this RFQ if the TJPA, in its sole discretion, deems that the potential for conflicts of interest is likely to impair or restrict the Respondent's ability to furnish the Services described in the form Agreement at Section 2, Services, and Exhibit E Appendix 2 (Scope of Services) impartially and acting in the best interest of the TJPA.
Respondents should be aware that in order to avoid any potential conflicts of interest, the selected Consultant and its affiliates may be precluded from participating as a vendor, consultant, or contractor in any subsequent contract for the Project and other TJPA projects related to the Project.
As part of the RFQ process, Respondents are required to disclose all work performed by the Respondent (or any of its affiliates) on any TJPA project within five (5) years of the date of this RFQ. Additionally, Respondents may be required to disclose financial interests so that the TJPA may be assured that the potential for conflicts of interest under state or federal law and regulations is not likely to impair the Consultant's ability to furnish the Services described in the form Agreement at Section 2 and Exhibit E Appendix 2, Scope of Services.
A conflict of interest review will be performed by the TJPA during evaluation of the SOQs.
The TJPA does not provide general advice or assurances regarding potential conflicts of interest.
The existence of a conflict of interest may render a Respondent not responsible. By submitting an SOQ, each Respondent agrees that if at any point in the procurement process the Respondent discovers that it may have an organizational conflict of interest, the Respondent must make prompt and full written disclosure to the TJPA. Such disclosure shall include a detailed description of all information required in section 6 of TJPA Board Policy No. 022, Conflict of Interest Policy for Design-Build Procurements, including, without limitation, any efforts the Respondent has taken or proposes to take to mitigate the conflict. If an organizational conflict of interest that the Respondent knew about, or should have known about, but failed to disclose, or any other failure to comply with applicable TJPA conflict-of-interest policies or codes or any Governmental Rules, is determined to exist during the procurement process, the TJPA may, among other potential remedies, disqualify the Respondent from the procurement process and award of the contract. If an organizational conflict of interest that the Respondent knew about, or should have known about, but failed to disclose or if any other failure by the Respondent to comply with applicable TJPA conflict-of-interest policies or codes or any Governmental Rules is determined to exist and the Respondent has entered into an Agreement as the Consultant, the TJPA may, among other potential remedies, terminate the Agreement. In either case, the TJPA reserves all legal rights and remedies.
4.7 Ineligible Parties
Firms that have been engaged in preparing this RFQ and associated materials are ineligible to participate as part of a Respondent. These firms include:
♦ AECOM
♦ Mott MacDonald
♦ Hollins Consulting
♦ Nossaman LLP
Page 9 of 45 October 5, 2026
♦ Shute, Mihaly & Weinberger LLP
♦ Gall Zeidler Consultants
♦ WSP
Affiliates, subconsultants, or subcontractors to these entities and other firms, depending on their prior or ongoing work related to the Project, may be ineligible to participate as part of a Respondent’s team. Each Respondent is responsible for determining whether a member of its planned team is ineligible to participate.
Firms requesting a determination from the TJPA on the ability to participate in this procurement, based upon the restrictions stated in this section, should submit their written request, including all of the information specified in TJPA Board Policy No. 022 via email to Procurement@tjpa.org. Requests of this nature may be submitted any time after publication of the SOQ until three weeks before the SOQ due date. The TJPA will provide responses directly to the entity that submitted the request, and these responses will not be posted publicly.
4.8 Debrief for Unsuccessful Respondents
Within 14 days of the TJPA Board’s award of the Agreement, unsuccessful Respondents may request a debrief by notifying the TJPA as noted in Section 4.1.2.
mailto:Procurement@tjpa.org

7.4 Interview
The TJPA may, in its sole discretion, conduct interviews of Respondents, if the TJPA determines that the Respondents’ SOQ scores are so close that interviews are necessary to further determine the relative experience, expertise, and skills of the highest-scoring Respondents and their ability to successfully provide the Services required for the 10-UR Project. If the TJPA chooses to conduct Respondent interviews, it will invite up to the three highest-scoring Respondents from the SOQ evaluation to participate in interviews. Each interview will be conducted at a specified time, date, and location with a defined time limit. The TJPA will provide written notice to the invited Respondents outlining the interview format, general rules, and expectations. The TJPA reserves the right to require Key Personnel to attend, limit participation in the panel interviews to the Key Personnel identified in the Respondent’s SOQ, and prohibit attendance by subconsultants if any of the proposed subconsultants are on more than one team.
All attendees from the Respondent’s team must be Key Personnel as submitted in the SOQ plus up to three additional people listed in the SOQ.
The selection committee may request a presentation by the Respondent on specific topic areas and/or develop any other interview questions, as necessary. These presentations and questions will focus on obtaining further information concerning elements of the Respondent’s SOQ (e.g., Respondent organization and experience, Key Personnel experience, best practices) and may seek clarification of SOQ components.
The TJPA plans to provide detailed information about the interview at least one week prior to the interview.
Each Respondent will be scored on all of the elements of its interview as it relates to the evaluation criteria established for the SOQ (e.g., Respondent organization and experience, Key Personnel experience, best practices). Points will be assigned according to the scoring matrix, and no additional subjective adjustments will be made.
7.5 Evaluation Completion
If interviews are conducted, the selection committee will combine the scores for the written SOQ and interview for each Respondent to establish a final score that the TJPA will use to rank Respondents.
Page 20 of 45 October 5, 2026
However, if the TJPA chooses not to conduct interviews, final rankings will be based on Respondents’ SOQ evaluation scores only.
In the event of a tie, the TJPA may consider the relative strengths of the tied Respondents according to the evaluation criteria.
Upon completion of the evaluation process, the TJPA will identify the highest-ranked and most qualified Respondent and will enter into negotiations with that Respondent to establish a final scope of services, schedule, and fair and reasonable compensation.
7.6 Agreement Exceptions
Each Respondent must be prepared to accept the terms and conditions of the Agreement. A Respondent may state exceptions to any part of the form Agreement by submitting Form Q, Agreement Exceptions, in their SOQs; however, the TJPA is not bound to accept or consider those exceptions, and a statement of exceptions shall not be deemed to constitute a counter-offer. In stating an exception, the Respondent must (a) indicate the specific language at issue, (b) provide the Respondent’s specific proposed language for requested changes to the Agreement language in “track changes” format against the form Agreement issued by the TJPA, and (c) provide the rationale for the exception.
Only those items that the Respondent has properly identified on Form Q will be open for negotiations; the TJPA will not negotiate changes to the form Agreement and its appendices that do not appear on the Respondent’s Form Q.
The TJPA, in its sole discretion, may determine that a Respondent’s SOQ that asserts numerous substantive exceptions to the form Agreement is not responsive to the RFQ and, therefore, ineligible for further consideration.
7.7 Negotiation, Contract Award and Execution
After the SOQ submission deadline, the TJPA will score responsive SOQs submitted by Respondents.
Upon completion of scoring the SOQs (and Respondents interviews, if conducted), the TJPA will publish a list of the Respondents and their scores.
