1. SCOPE OF WORK
1.1. OVERVIEW AND PURPOSE:
The Illinois State Toll Highway Authority (Illinois Tollway) is dedicated to providing and promoting a safe and efficient system of toll supported highways while ensuring the highest possible level of service to its customers.
The Illinois Tollway is looking for vendors who share this commitment and will help meet this goal.
1.2. SUPPLIES AND/OR SERVICES REQUIRED: The Illinois Tollway is seeking a vendor to furnish and deliver various types of electrical wire and cable, including but not limited to: building wire, data and telephone cable, coaxial cable and loop wire.
Brand Name Or Equal: All of the items are specified by manufacturer and manufacturer’s product number.
Specifications are to establish standards of quality and performance and not for the purpose of limiting competition. Products of other manufacturers may be substituted where specified if the bidder can establish that they are equal to or better than those specified in quality, performance, design, and suitability for the intended use. The Illinois Tollway’s determination thereof shall be final.
The Illinois Tollway recognizes that differences in engineering design and methods may exist among manufacturers that do not significantly alter performance. The Illinois Tollway reserves the right to determine when such differences are acceptable substitutes to the contract specifications and may waive technical differences in the award of the bid when it is in the best interest of the Illinois Tollway.
Samples: The Vendor, upon request, shall be required to submit samples of substituted items. Samples shall be submitted by the Vendor after award to the Illinois Tollway’s Central Administration Building located at 2700 Ogden Avenue in Downers Grove, IL 60515. It is the responsibility of the bidder to make arrangements for the delivery and pick-up of the samples. The successful bidder(s) samples shall become the property of the Tollway and shall be used as master samples to verify future shipments for compliance with contract specifications.
v.25.4
Percent Discount: The percent discount bid in Group 2, Brand Name Only Catalog Pricing, shall remain in effect for the entire term of the contract and any subsequent renewals. The successful bidder shall supply the Tollway with two (2) Manufacturer’s Parts Price Lists within seven (7) business days after the notification of award. Copies shall be current and effective as of the contract start date. In the event the catalog is not available in paper format, the Vendor may provide this information in CD-ROM form compatible with any current Windows platform or a website accessible by Tollway personnel. During the initial term of the Contract and any subsequent renewals, the Tollway shall accept supplements to the manufacturer’s list price catalog. It shall remain the sole responsibility of the Vendor to provide price supplements to the Tollway.
These prices shall be effective as of the date the price supplements are received by the Tollway’s Purchasing Department and shall be applied only to subsequent orders placed by the Tollway and not to pending orders already placed but not received by the Tollway. Price supplements shall be sent to:
Illinois Tollway Central Administration Building Attention: Purchasing Department
2700 Ogden Avenue Downers Grove, IL 60515
Quantities: It shall be expressly understood by the bidder that the estimated bid quantities specified in the contract documents are for the purpose of determining the lowest bid and to establish unit prices. The Tollway may, over the term of the Contract, place orders for more or fewer than the estimated quantities stated. The Tollway does not guarantee that any minimum number of quantities shall be ordered from the Vendor. Materials furnished under this contract shall be delivered in multiple deliveries as determined by the needs of the Illinois Tollway. The estimated quantities of this contract shall be based on a period of two (2) years; prices shall remain firm for the term of the contract. The decision to pre-order and hold any inventory rests solely with the Vendor.
Return of Goods: The Illinois Tollway may find it necessary to return materials purchased under the contract if they become unusable due to a change in requirement. The Vendor shall agree to credit the purchase price to the Illinois Tollway for any returned items obtained through the contract. It is understood and agreed that such returned items shall be clean, undamaged, and in a saleable condition. This return agreement shall be in effect for a period of ninety (90) days from the termination date of the contract even though the vendor does not hold the contract at the time the return is made.
Backorders: Electronic or written notification of backordered wire or cable shall be sent immediately to the Tollway. For any backorders for materials manufactured prior to ordering that cannot be filled within ten (10) business days, the Tollway shall have the option of accepting or canceling the backorder or the Tollway may submit a request for a substitute.
Mis-shipments and Defective Merchandise: The Vendor shall be responsible for any incorrect or damaged shipments and defective merchandise. The Vendor shall make arrangements with their common carrier or company personnel to pick-up any unacceptable materials within forty-eight (48) hours of notification.
The Vendor shall replace the incorrect, damaged or defective merchandise or issue a credit within ten (10) business days of the return. If the replacement merchandise or a credit is not received within ten (10) business days, the Tollway shall deduct the amount of the return from any outstanding invoice at the time of payment.
v.25.4
The Tollway shall not be subject to restocking charges due to Vendor error. The Illinois Tollway shall not pay any restocking charges for incorrect, damaged, or defective items returned under the contract.

2. PRICING
2.1. TYPE OF PRICING: The Illinois Office of the Comptroller requires the State to indicate whether the contract price is firm or estimated at the time it is submitted for obligation. The total price of this Contract is estimated.
2.2. VENDOR’S PRICING: Vendor’s pricing is located in the Items Tab in BidBuy. All pricing must be entered into Bid Buy to be deemed responsive. Bidder shall bid on all line items, inclusive of any renewal terms, to be deemed responsive. The State includes in this Contract the BidBuy Purchase Order as it contains the agreed pricing.
Group 1 – Line Items, see Section 1.2 therin this document
Group 2 – Catalog Pricing with Percent Discount The Illinois Tollway is also seeking a percent discount from manufacturer’s list price for all other Electrical Wire and Cable that the Tollway may purchase throughout the contract term. Bidder shall enter the discount from manufacturer’s list price in the pricing table below. Bidder is to determine the amount of discount from the manufacturer’s published list price they are willing to provide the Tollway. This price shall be applied to all items and parts purchased utilizing this contract. To complete the Pricing Table below the Bidder shall multiply the “Estimated Usage” by “Percent Discount from Manufacturer’s List Price” to obtain the “Dollar Value of Percent Discount from Manufacturer’s List Price.” To obtain the “Extension,” subtract the “Dollar Value of Percent Discount” from the “Estimated Usage.” For example; “Estimated Usage” = $60,000.00 x 1% (“Percent Discount”) = $600.00 (“Dollar Value of Percent Discount”). To obtain the “Extension,” $60,000.00 (“Estimated Usage”) - $600.00 (“Dollar Value of Percent Discount”) = $59,400.00 (“Extension”).
Bidders are required to bid on all lines in both groups to be considered responsive.
2.3. ECONOMIC ADJUSTMENTS:
2.3.1. Bid prices shall remain fixed throughout the first twelve (12) months of the initial Contract term. On each twelve (12) month anniversary thereafter, annual price adjustments of the Contract pricing may be made after receipt of a written request from the Vendor. A written request for an annual price adjustment must be made no later than sixty (60) calendar days before the expiration of the initial Contract term and each subsequent twelve (12)-month renewal period. The annual price adjustment is subject to acceptable performance by the Vendor and contingent upon the Tollway Board of Directors’ approval for the procurement of goods or services provided for in this Contract. If the Vendor does not request a price adjustment at least sixty (60) calendar-days in advance of expiration or anniversary, the Vendor will not be entitled to a price adjustment for the upcoming year. Annual requests for price adjustments shall be based on the Producer Price Index (“PPI”) for Metals and metal products Series ID: WPU10260301, not seasonally adjusted, as it appears in the periodical Producer Price Indices published by the U.S. Department of Labor, Bureau of Labor Statistics (BLS) found at http://www.bls.gov, although this URL is subject to change. (To access the data, click on Data Tools;
under Data Retrieval Tools, click on Series Report. Under Series ID, enter WPU10260301 click next, click Retrieve Data. Select commodity data and then select Group Metals and metal products" and Item "Electronic wire and cable" and Ex: Current-carrying wiring device mfg, not seasonally adjusted.") Should the BLS discontinue the commodity code listed above, the next higher-level index shall be used to calculate the price adjustment. All price adjustment calculations shall be based upon the latest version of the PPI available at the time of the price adjustment. The effective date of an adjustment http://www.bls.gov/ v.25.4 shall be the first day of the renewal term. If the PPI data is not available for any month of the final three
(3) full months of the annual Contract period, the average of the PPI data for the most recent three (3) full months preceding the anniversary of the Contract shall be used in computing the price adjustment.
The adjusted Contract price will be determined by performing the following calculation: the original Contract price(s) shall be multiplied by the index percent change and then rounded to two (2) decimal places. The index percent change shall be calculated by subtracting the base period index value from the average index value of the last full three (3) months of the annual Contract period available at the time of the price adjustment and then the result shall be divided by the base period index value. The base period index value for the first allowable price increase is the index value for the start date of the initial term of the Contract and for all subsequent allowable price increase(s). The adjusted Contract price(s) may be higher or lower than the original Contract pricing, as dictated by the applicable index values. Any price adjustments requested in subsequent years of the Contract shall be calculated in the same manner. In no case shall any price increase for the renewal period exceed 4% of the previous price.
2.3.2. Illinois Tollway’s Formula for Determining Renewal Compensation: Bid prices shall remain fixed throughout the first twelve (12) months of the initial Contract term. For each twelve (12) month anniversary thereafter, annual price adjustments of the Contract pricing may be made after receipt of a written request from the Vendor. A written request for an annual price adjustment must be made no later than sixty (60) calendar days before the expiration of the initial Contract term and each subsequent twelve (12)-month renewal period. In no case will any price increase for the renewal period exceed 4% of the previous price.
2.3.3. The percent discount bid in Group 2 Catalog Pricing shall remain in effect for the entire term of the
Contract and any subsequent renewals. The Vendor is required to notify the Tollway in writing of any newly issued manufacturer’s price list(s) that are released during the term of the Contract or any subsequent renewals. Upon acceptance by the Tollway of the new price list(s) for the initial or renewal term(s), the original quoted percent discounts from Group 2 Catalog Pricing shall then be applied to the new price list(s).
