1.0 SCOPE OF SERVICES.
1.1 Scope. The Contractor shall provide standard school bus services (regular school and after school programs), exclusive to dependents of the U.S. Government employees within the U.S. Embassy in Copenhagen, in accordance with the Performance Work Statement in this contract.
1.2 Period of Performance. The period of performance of this contract is from August 9, 2023, through June 14, 2024. See Attachment 1 for the school year calendar, including holidays. This attachment will be updated as necessary.
1.3 Notice to Proceed. After contract award and submission of acceptable insurance certificates, the Contracting Officer shall issue a Notice to Proceed. The Notice to Proceed will establish a date (a minimum of ten (10) days from start date listed in Notice to Proceed unless the Contractor agrees to an earlier date) on which performance shall start.
1.4.1 Definitions.
COR – Contracting Officer Representative.
Round-trip – Consists of one school bus picking up all students on the scheduled route at the school bus stops and dropping them off at school, then at the end of the school day, picking them up at school and returning them to the school bus stops for that route. A school bus can have more than one round-trip per school day if it is used for more than one round-trip route.
Route – Designated itinerary of a school bus to pick-up one or more students at their school bus stops or school and dropping them off at their designated school or school bus stops.
Run – Transportation for students from the school to the school bus stops, or from the school bus stops to the school; one half of a round-trip.
Unauthorized Passengers – Unauthorized passengers are not permitted on the bus. This includes children, spouses, relatives, employees, friends or others who are not U.S. Embassy students. This also includes transferring students from bus to bus without the knowledge of the dispatchers or the director.
2.0 TYPE OF CONTRACT
2.1 The contract type will be Indefinite-Delivery Indefinite-Quantity under which firm-fixed-price orders will be placed for services, billed per number of school bus round-trips per passenger, as further defined in paragraph 1.4 above. Estimated dates of service are set forth in Attachment 1.
3.0 PRICING
3.1 Value Added Tax (VAT) is not included in the CLIN rates. Instead, it will be priced as a separate Line Item in the contract and on Invoices. Local law dictates the portion of the contract price that is subject to VAT; this percentage is multiplied only against that portion.
It is reflected for each performance period.
3.2 The price for Services shall include all direct and indirect costs for equipment and labor, including but not limited to: labor and overtime for employees, benefits, all social insurance to include any severance liabilities required by law, licenses, communication equipment and its expenses (radio or cell phones), vehicles, vehicles maintenance & repair, all operating costs associated with the services, fuel, and profit.
3.3 DEFENSE BASE ACT INSURANCE (DBA). Defense Base Act Insurance (DBA) requirement will only apply to employees working on this contract. The waiver does not apply to any employees working under this contract who: (a) is a citizen of the United States of America; or (b) is a lawful resident of the United States of America; or (c) was hired in the United States of America. If the above waiver does not apply, the Contractor shall include Defense Base Act (DBA) insurance premium costs covering employees. g. Contractor shall monitor subcontractor compliance at all tiers. This includes verification that subcontractors are aware of, and understand, the requirements of FAR 52.222-50 Combating Trafficking in Persons and this clause. The certification will confirm that, to the best of its knowledge and belief of the signatory, neither the prime nor its agents nor subcontractor have engaged in any trafficking related activities, including the procurement of a commercial sex act during the period of the contract, the use of forced labor in the performance of the contract, acts that support or facilitate trafficking in persons such as destroying or confiscating employees’ documents or failing to provide return transportation, soliciting employees by use of fraud or charging recruitment fees or providing sub-standard housing described in section 106(g) of the Trafficking Victims Protection Act (TVPA) or the prohibitions of this clause. The certification will also confirm that if any violations have been found, the contractor has taken the appropriate remedial and referral actions.
6. Contractors and subcontractors can find a model compliance plan, a sample code of conduct, a supplier/subcontractor self-assessment questionnaire, and criteria to select and monitor labor recruiters on the Responsible Sourcing Tool website (www.responsiblesourcingtool.org) The Responsible Sourcing Tool is designed to assist Federal contractors, in identifying human trafficking or trafficking-related activities in their supply chains and developing effective management systems to prevent and mitigate these activities.
