1. This amendment revises the subparagraph title named “Subcontract”, Section L – “Instructions, Conditions, and Notices to Offerors”, paragraph L.2.3.2. , to read as follows:

“Part III – Subcontract”

2. Section M – “Evaluation Factors for Award”, paragraph M.1.2 “Basis for Award”, letter b) “Technical

Acceptability”, is revised to update the references included in the subparagraph from L.2.3.3 (b) to

L.2.3.2 to read as follows:

b) Technical Acceptability - Those proposals remaining after the initial evaluation will be thoroughly reviewed to determine technical acceptability. Technical Acceptability will include a review of the

Proposed Work Information described in L.2.3.2 to ensure that the offeror's proposed project superintendent and subcontractors are acceptable to the Government. Past references provided as part of the Experience and Past Performance information as described in L.2.3.2 may also be contacted to verify quality of past performance. The Government shall also review the bar chart submitted to review the sequence of work and to ensure that performance would be completed on time in accordance with the contract period of performance. The end result of this review will be a determination of technical acceptability or unacceptability.

3. The revised Section L and Section M are enclosed as attachment to this amendment in its entirety.

4. The date and time for receipt of proposals remains unchanged and set for May 19, 2024, 12:00 noon local time at the address showed on Standard Form (SF) 1442, Block 8 (RomeGSO-Offers@state.gov).

SECTION L - INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS

The Offeror shall submit a completed IRS Form W-14, found at www.irs.gov/w14, to ensure compliance with

FAR 52.229-11.

L.1 SUBMISSION OF OFFERS

L.1.1 General. This solicitation is for the performance of the services described in Section C -

PERFORMANCE WORK STATEMENT, and the Exhibits attached to this solicitation.

L.1.2 Qualifications of Offerors

Offerors must be technically qualified and financially responsible to perform the work described in this solicitation. At a minimum, each Offeror must meet the following requirements:

(1) Supervisor must be able to understand written and spoken English.

(2) Evidence that the offeror/quoter operates an established business with a permanent address and telephone listing in Italy.

(3) The offeror shall provide proof of SAM registration to include the SAM UEI number.

(4) Be able to demonstrate prior maintenance experience with suitable references.

(5) Have the necessary personnel, equipment and financial resources available to perform the work.

(6) Have all licenses and permits required by local law.

(7) Meet all local insurance requirements.

(8) Have no adverse criminal record; and

(9) Have no political or business affiliation which could be considered contrary to the interests of the

United States.

L.1.3 Review of Documents

Each Offeror is responsible for:

(1) Obtaining a complete set of solicitation documents.

(2) Thoroughly reviewing such documents and understanding their requirements;

(3) Visiting the project site and becoming familiar with all working conditions, local laws, and regulations; and

(4) Determining that all materials, equipment, and labor required for the work are available.

Any ambiguity in the solicitation, including specifications and contract drawings, must be reported immediately to the Contracting Officer. Any prospective Offeror who requires a clarification, explanation or interpretation of the contract requirements must make a request to the Contracting Officer not less than five working days http://www.irs.gov/w14 before the closing date of the solicitation. Offerors may rely ONLY upon written interpretations by the

Contracting Officer.

L.2 SUBMISSION OF OFFERS

L.2.1 General

This solicitation is for the performance of maintenance services described in Section C -

DESCRIPTION/SPECIFICATIONS/WORK STATEMENT, and the Exhibits which are a part of this solicitation.

L.2.2 Summary of Instructions

The completed offer shall be submitted at the address indicated on the solicitation cover page.

Any deviations, exceptions, or conditional assumptions taken with respect to any of the instructions or requirements of this solicitation shall be identified and explained/justified in the appropriate volume of the offer.

No offer shall be accepted after the cut-off date and time.

Offer must not be larger than 25MB in size, and may only contain files and attachments in MS Office, o Pdf, or zip formats. If too large, you may send your offer in separate e-mails.

Please do NOT send your offer via Cloud storage, DropBox, Google Drive, or other formats. They will not be received.

L.2.3 Detailed Instructions

L.2.3.1. Volume I: Standard Form (SF) 1442 and Section K. Complete blocks 14 through

20C of the SF 1442 and all of Section K.

Price proposal and Section B. The price proposal shall consist of completion of Section B. All applicable portions of this form shall be completed in each relevant category (e.g., labor, materials, etc.).

L.2.3.2. Volume II: Performance schedule and Business Management/Technical Proposal.

(a) The performance schedule shall be presented in the form of a "bar chart" indicating when the various portions of the work will be commenced and completed within the required contract completion schedule. This bar chart shall be in sufficient detail to clearly show each segregable portion of work and its planned commencement and completion date.

(b) The Business Management/Technical Proposal shall be in three parts, including the following information:

PART I - PROPOSED WORK INFORMATION

1) Evidence that the offeror is a qualified company in the field/type of work described in this contract and the attachments in Section J and has an established business with a permanent address and telephone listing.

2) The name and address of the Offeror's field superintendent for this project.

3) Evidence that the offeror can provide the necessary personnel, equipment, financial resources needed to perform the work:

a) Identify the potential workers that the Offeror will employ for this service, including proof of experience in the field of work described in Section C and Exhibits of this contract;

b) Identify the Supervisor/HVAC foreman that will be assigned to this service, including proof of experience and a brief curriculum vitae.

c) Identify the number of skilled HVAC technicians that the Offeror has under current payroll. To be qualified for this service, the Offeror shall have a minimum of 15 HVAC technicians under payroll, four of whom shall be licensed with the F-GAS certification;

d) Identify types and quantities of equipment, supplies and materials required for performance of services under this contract. Identify if the offeror already possesses the listed items and their condition for suitability, and if not already possessed or inadequate for use, how and when the items will be obtained;

e) Report from the Bank of Italy Central Credit Register stating all credit lines and loan facilities, of any nature, granted by Banks to the Company and presently in force. The Government will use this information to determine the offeror’s financial responsibility and ability to perform under the contract. Failure of an offeror to comply with a request for this information may cause the

Government to determine the offeror to be non-responsible.

4) Historical Certificate of the Chamber of Commerce with evidence that the offeror is a qualified company in the field/type of work described in this contract and the attachments in Section J.

5) Antimafia self-declaration as per Italian Law D.Lgs n. 159/2011 art. 88, 4 bis and art. 89.

6) Copy of a valid DURC – Document Unico Regolarita’ Contributiva (Unique Document of Regular

Contributions).

7) Copy of LAST payment of INAIL, Italian Accident Insurance, and INPS, Italian Social Security.

8) Copy of a valid Certificate of Insurance(s) for civil liability.

9) Evidence that the offeror is registered in the SAM.GOV (System for Award Management) Database https://www.sam.gov prior to proposal submission.

10) In accordance with DOSAR 652.242-73 AUTHORIZATION AND PERFORMANCE (AUG 1999), the offeror shall be required to have obtained necessary authorization to do business and operate in the country of performance (Italy). Please provide a copy of the locally required licenses and permits. At a minimum copy of a valid Italian Company Registration Report “Visura della Camera di Commercio italiana” shall be provided.

11) The offeror’s strategic plan for HVAC maintenance services to include but not limited to:

a. A work plan taking into account all work elements in Section C and Exhibits;

b. Plan of ensuring quality of services including but not limited to contract administration and oversight;

c. Plan to obtain all licenses and permits required by local law. If offeror already possesses the locally required licenses and permits, a copy shall be provided.

PART II - EXPERIENCE AND PAST PERFORMANCE

List of at least five or all contracts and subcontracts your company has held over the past three years for the same or similar work, demonstrating prior experience with relevant past performance information and references. Provide the following information for each contract and subcontract:

• Customer's name, address, and telephone numbers of customer's lead contract and technical personnel;

• Contract number and type;

• Date of the contract award place(s) of performance, and completion dates;

• Contract Euro value;

• Brief description of the work, including responsibilities;

• Comparability to the work under this solicitation.

Offerors are advised that the past performance information requested above may be discussed with the client’s contact person. In addition, the client’s contact person may be asked to comment on the offeror’s:

▪ Quality of services provided under the contract;

▪ Compliance with contract terms and conditions;

▪ Effectiveness of management;

▪ Willingness to cooperate with and assist the customer in routine matters, and when confronted by unexpected difficulties; and

▪ Business integrity / business conduct.

The Government will use past performance information primarily to assess an offeror’s capability to meet the solicitation performance requirements, including the relevance and successful performance of the offeror’s work experience. The Government may also use this data to evaluate the credibility of the offeror’s proposal.

In addition, the Contracting Officer may use past performance information in making a determination of responsibility.

PART III - SUBCONTRACT

If subcontracting applies (see also paragraph C.1.5.4 “Special Equipment and Procedures”), the Offeror shall include in the offer package:

1. Identify the work, by percentage that will be performed by the contractor with its own workforce on site.

2. List the names, addresses, and telephone numbers of all subcontractors, clearly indicating what percentages and portions of the work will be performed by them.

3. For the sub-contractors identified that will perform more than 20 percent of the contract’s total performance, list the percentage of work they will perform, and provide documentation that demonstrates their experience relevant to the works assigned to them under the respective subcontracts, including the documentation required and listed above (Part I&II) for the Contractor.

4. Additionally, provide written assurance that all subcontractors and others performing work on or for the project have obtained all requisite licenses and permits.

Designated subcontractors shall be approved by the Contracting Officer and COR with the offer submission, and they are not to be changed at the time of the award.

L.3 52.236-27 SITE VISIT (FEB 1995)

(a) The clauses at 52.236-2, Differing Site Conditions, and 52.236-3, Site Investigations and

Conditions Affecting the Work, will be included in any contract awarded as a result of this solicitation.

Accordingly, offerors or quoters are urged and expected to inspect the site where the work will be performed.

(b) An organized site visit has been scheduled for April 24, 2024, at 13:45 (local time).

(c) Participants will meet at the American Embassy in Via Sallustiana 49, Rome Italy.

L.4 PRE-PROPOSAL CONFERENCE

L.4.1 During the site visit, a pre-proposal conference to discuss the requirements of this solicitation will also be held.

Offerors interested in attendance should e-mail the name and company name of all individuals who will represent the company to the pre-proposal conference and site visit to the following e-mail address RomeGSO-

AcquisitionsDL@state.gov no later than April 22, 2024, at 12:00 noon (local time)

No electronic device (phone, computer) will be allowed in the Embassy compound.

Anyone attempting to attend the pre-proposal conference and site visit without prior notification will be denied entry.

L.4.2 Offerors are urged to submit written questions via e-mail at least three days before the scheduled pre-proposal conference date, at SheridanCD@state.gov and CarforaT@state.gov, marked to the attention of the subject solicitation.

L.4.3 Attendees may also bring written questions to the proposal conference. If the answer requires research, there is no guarantee that the question will be answered at that conference.

L.4.4 The Government’s statements at the pre-proposal conference shall not be considered to be a change to the solicitation unless a written amendment is issued.

L.4.5 After the pre-proposal conference, offerors may submit written questions until 10 days before the submission of offers cut-off date.

52.216-1 TYPE OF CONTRACT (APR 1984)

The Government contemplates award of a combination type of contract. It is fixed price for scheduled maintenance; indefinite delivery/indefinite quantity with fixed unit prices for unscheduled/emergency maintenance.

52.233-2 SERVICE OF PROTEST (SEP 2006)

(a) Protests, as defined in section 33.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the General Accounting Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from the American Embassy, GSO/Acquisition, Via Sallutiana 49, 00187 Rome, Italy.

(b) The copy of any protest shall be received in the office designated above within one day of filing a protest with the GAO.

L.9 FINANCIAL STATEMENT

If asked by the Contracting Officer, the offeror shall provide a current statement of its financial condition, certified by a third party, that includes:

Income (profit-loss) Statement that shows profitability for the past five years.

Balance Sheet that shows the assets owned and the claims against those assets, or what a firm owns and what it owes; and

Cash Flow Statement that shows the firm’s sources and uses of cash during the most recent accounting period.

This will help the Government assess a firm’s ability to pay its obligations.

The Government will use this information to determine the offeror’s financial responsibility and ability to perform under the contract. Failure of an offeror to comply with a request for this information may cause the

Government to determine the offeror to be nonresponsible.

SECTION M - EVALUATION FACTORS FOR AWARD

M.1 EVALUATION OF PROPOSALS

M.1.1 General. To be acceptable and eligible for evaluation, proposals must be prepared in accordance with Section L - INSTRUCTIONS, CONDITIONS AND NOTICES TO OFFERORS, and must meet all the requirements set forth in the other sections of this solicitation.

M.1.2 Basis for Award

The Government intends to award a contract resulting from this solicitation to the lowest priced, technically acceptable offeror who is a responsible contractor. Evaluations shall be conducted in accordance with the procedures set forth below:

a) Initial Evaluation - All proposals received will be evaluated to ensure that each proposal is complete in terms of submission of each required volume, as specified in L.2, SUBMISSION OF OFFERS.

Proposals which are missing a significant amount of the required information may be eliminated from consideration, at the Government's discretion.

b) Technical Acceptability - Those proposals remaining after the initial evaluation will be thoroughly reviewed to determine technical acceptability. Technical Acceptability will include a review of the

Proposed Work Information described in L.2.3.3 to ensure that the offeror's proposed project superintendent and subcontractors are acceptable to the Government. Past references provided as part of the Experience and Past

Performance information as described in L.2.3.3 may also be contacted to verify quality of past performance.

The Government shall also review the bar chart submitted to review the sequence of work and to ensure that performance would be completed on time in accordance with the contract period of performance. The end result of this review will be a determination of technical acceptability or unacceptability.

c) Responsibility will be determined by analyzing whether the apparent successful offeror complies with the requirements of FAR subpart 9.1, including:

• Adequate financial resources or the ability to obtain them.

• Ability to comply with the required performance period, taking into consideration all existing commercial and governmental business commitments.

• Satisfactory record of integrity and business ethics.

• Necessary organization, experience, and skills or the ability to obtain them.

• Necessary equipment and facilities or the ability to obtain them; and

• Be otherwise qualified and eligible to receive an award under applicable laws and regulations.

The Government reserves the right to reject proposals that are unreasonably low or high in price. Unsuccessful offerors will be notified in accordance with FAR 15.1001.

M.1.3 Award Selection

The prices of all technically acceptable firms will then be reviewed and the award selection will go to the lowest priced, technically acceptable, responsible offeror. As described in FAR 52.215-1 which is incorporated by reference in Section L, award may be made based upon initial offers, without discussions.

M.2 52.217-5 EVALUATION OF OPTIONS (JUL 1990)

The Government will evaluate offers for award purposes by adding the total price for all options to the total price. Evaluation of options will not obligate the Government to exercise the option(s).

M.3 QUANTITIES FOR EVALUATION

For the purpose of evaluation, and for no other purpose, evaluation of prices submitted will be made on the basis that the Government will require the quantities shown in Section B - SERVICES AND PRICES, of this solicitation.

M.4 SEPARATE CHARGES

Separate charges, in any form, are not solicited. For example, proposals containing any charges for failure of the Government to exercise any options will be rejected. The Government shall not be obligated to pay any charges other than the contract price, including any exercised options.

M.5 AWARD WITHOUT DISCUSSIONS

In accordance with FAR provision 52.215-1 (included in Section L of this RFP), offerors are reminded that the

Government intends to award this contract based on initial proposals and without holding discussions, pursuant to FAR 15.209(a).

M.6. 52.225-17 EVALUATION OF FOREIGN CURRENCY OFFERS

(FEB 2000)

If the Government receives offers in more than one currency, the Government will evaluate offers by converting the foreign currency to United States currency using the exchange rate used by the Embassy in effect as follows:

(a) For acquisitions conducted using sealed bidding procedures, on the date of bid opening.

(b) For acquisitions conducted using negotiation procedures—

(1) On the date specified for receipt of offers, if award is based on initial offers; otherwise

(2) On the date specified for receipt of proposal revisions.
