FORMAT OF SUBMITTALS
Electronic submittal through Bonfire

Purpose of RFP Provo City invites organizations, companies, vendors, and manufacturers to submit proposals to develop, install, operate, and maintain a comprehensive bike-share and scooter-share program. We actively seek proposals that include electric (e-) bikes and electric (e-) scooters. The ideal program will integrate state-of-the-art information technology with shared micromobility vehicles to provide an alternative transportation option to single-occupancy vehicle trips for residents, employees, and visitors.

The system will be owned and operated by the successful applicant (Vendor) for an initial three-year term, with two additional one-year terms based on performance. The desired launch date is December 2026, weather permitting.

Given the rapidly evolving micromobility industry, the city will use this opportunity to ensure Provo's shared micromobility program provides optimal community solutions and best achieves program goals. The city welcomes innovative micromobility-share program solutions that fulfill the objectives outlined in this RFP and plans to award the selected Vendor separate and independent Service Agreements.

The city will evaluate the micromobility-share program's performance continuously to ensure the selected Vendor operates appropriately within the public right-of-way (ROW) and maintains compliance with all rules, regulations, and Operating Agreement provisions. Associated permits are subject to change at the city's discretion as provided in the city's Municipal Code.

Bike-share and e-scooter-share providers are expected to collaborate to deliver a user-friendly, safe, and cohesive shared micromobility system.

Objectives and Eligibility Micromobility-Share Program Objectives

1. Build on the success of previous and current e-bike and e-scooter share programs and increase ridership in the community. The Vendor's ability to demonstrate achievement of the following primary program goals will inform proposal ratings.

2. Consider expansion of the Provo micromobility-share program fleet size and citywide availability while increasing the accessibility of e-bikes.

3. Provide a micromobility-share program and service that aligns with Provo's goal of becoming a world-class bicycle-friendly community, consistent with current rankings as a gold level bicycle-friendly community.

4. Demonstrate ability to serve as a long-term, financially viable Vendor.

Eligibility, Prerequisites, and Compliance

1. The Vendor selected under this Request for Proposal (RFP) to operate the micromobility-share program must enter into a separate Operating Agreement with the city. The Vendor must also enter a Limited Waiver and Hold Harmless Agreement with the city. Both the Operating Agreement and Limited Waiver and Hold Harmless Agreement are subject to negotiation and mutual agreement at the city's sole discretion.

2. The Vendor must obtain written permission from the city (Provo City Code Section 9.15.150), which is required for all shared mobility devices with onboard technology that allow users to remotely check out and operate devices in the Provo public right-of-way.

3. The Vendor must register each unit with the Provo Police Department (PPD) prior to deployment. Each unit requires a $10.00 registration fee. A PPD registration sticker must be affixed to the main frame on the downtube of a bicycle or the steering apparatus of a unit without a downtube.

4. The Vendor must work with the Parking Program Manager to establish designated bicycle and scooter parking areas.

5. The Vendor must establish designated parking areas and/or utilize existing bike racks for storage, rental, and return of devices. The Vendor and city will jointly agree on locations and necessary equipment, such as existing racks, for each facility. Bike racks are currently widely available on campus and in downtown Provo, though high demand for bike parking exists in both areas. All facilities will be constructed and maintained according to city specifications.

6. The city will seek Vendor input to optimize deployment quantity. Additional bikes may be allowed at the city's discretion, particularly in high-usage locations.

7. Adjustments may be made to vehicle fleet size based on Vendor-provided utilization data, Vendor performance, and operational outcomes, as agreed to by the city.

8. The Vendor must provide the city with a monthly updated list of all currently deployed devices, their unique identification numbers, and (upon request) user information related to ongoing criminal investigations.

9. The Vendor must cooperate with any ongoing criminal investigation involving a micromobility-share user.

10. The awarded Vendor must adhere to all Municipal Code sections, including but not limited to the following Municipal Code sections directly related to shared mobility devices (see Provo City Code Section 9.32.010, 9.32.170, 9.31.010, and 9.15.010).

11. The awarded Vendor must establish an Irrevocable Letter of Credit as performance security in a form satisfactory to the city. The letter of credit amount will be one-hundred thousand dollars ($100,000) issued by a federally insured FDIC banking institute.

12. The city retains the right to amend its City Code at any time, and the permitted Vendor must comply with any amendments that apply to shared mobility devices. Amendments could include alignment with changes to Utah State Code 41-6a-11.

About Provo City Provo is in the geographical center of Utah County, bounded by Orem to the north, the Wasatch Mountains to the east, Springville to the south, and Utah Lake to the west. The city comprises five districts made up of 34 neighborhoods of varying size, land uses, services, and amenities that serve approximately 115,000 residents. Provo offers a small-town atmosphere and strong sense of community, supported by residents who actively participate in maintaining Provo's high quality of life.

The city is home to creative entrepreneurs, successful companies, an educated workforce, and highly ranked educational institutions. As Utah's fourth-largest city, Provo hosts a growing number of billion-dollar tech companies within a short drive of world-renowned ski resorts. This unique combination has earned Provo recognition as the heart of Utah's "Silicon Slopes." The city features abundant cultural attractions, natural resources, and recreational opportunities. Provo has received recognition from numerous national organizations for quality-of-life awards and rankings, making it an attractive choice for businesses and employees.

The educational landscape includes Brigham Young University with approximately 34,000 students, as well as many students from nearby Utah Valley University (located in Orem with over 46,000 enrolled students) who live in Provo. The city is also home to Rocky Mountain University of Health Professions, Noorda College of Osteopathic Medicine, and Mountainland Technical College (MTECH), which operates a campus in Provo.

The city has experienced tremendous success and momentum in development activities over the past decade, particularly in the downtown area. Although landlocked, land remains available for development within Provo, specifically in current agricultural areas west of Interstate 15 and various infill properties throughout the city. Provo embraces redevelopment and encourages orderly, quality infill and redevelopment projects. Thousands of multi-family residential units have been approved in recent years, and the city is actively working to expand its active transportation network.

Provo City is already recognized as a gold level bicycle-friendly community by the League of American Bicyclists and has recently reapplied for gold after recent infrastructure improvements. Additionally, the city is served by UVX Bus Rapid Transit and UTA FrontRunner commuter rail, providing regional transit connections throughout the Wasatch Front. Provo experiences four distinct seasons with approximately 222 sunny days annually, providing favorable conditions for outdoor activities and micromobility use throughout much of the year.

Provo City Independent Contractor Liability Waiver and Hold Harmless Agreement The undersigned independent contractor, ___________________________________ (INSERT COMPANY NAME) hereafter referred to as "I", has agreed to provide services as an independent contractor to Provo City, a municipal corporation of the State of Utah, hereafter referred to as "The City". As a condition precedent to performing such services and in consideration of Provo City's cooperation with the undersigned independent contractor’s ____________________________________ (INSERT TYPE OF SERVICE — i.e. E-Bike and Scooter Share Services), I recognize, understand, and covenant as follows:

1. I am working as an independent contractor and not as an employee, officer, or agent of The City and am not entitled to any benefits provided to employees of The City.

2. I am solely responsible and liability for any and all taxes, insurance costs, interest, assessments, penalties, damages, attorney fees, or other costs which may arise from the performance of the services or activities. Accordingly, I understand that The city will not withhold any federal, state, or local taxes including FICA, nor will The city provide any unemployment compensation, worker's compensation coverage, or insurance coverage. I certify that I have adequate insurance coverage, including health and accident insurance, for any injuries I may sustain while providing said services.

3. I hereby waive, personally release, hold harmless and forever discharge any and all claims for damages for personal injury, including death, or property damage which I may have, or which may hereafter accrue to me, against the city as a result of my performance of my services for the city as an independent contractor. Further, I will defend, indemnify and hold the city harmless from and against all claims, liabilities, losses, and expenses, including reasonable costs, expenses, and attorney's fees incurred, which arise by reason of my acts or omissions in the performance of said services.

4. This release is intended to discharge the city and its officers, agents, employees and volunteers from and against any and all claims arising out of or connected in any way with my performance of services for the city as an independent contractor.

5. I have read this Liability Waiver and Hold Harmless Agreement and understand the terms used in it. I also understand that by signing this document, I may be giving up my legal rights which I, or others claiming through me, may have now or in the future. It is further understood that accidents and injuries can arise out of performance of these services; knowing those risks are inherent to the nature of the work to be performed, I nevertheless hereby agree to assume those risks and to release and hold harmless all persons or agencies mentioned above who might otherwise be liable to me (or my heirs or assigns) for damaged. I further understand and agreed that this waiver, release, and assumption of risk is to be binding on my heirs and assigns.

6. This Liability Waiver and Hold Harmless Agreement is freely and voluntarily given with the understanding that rights to legal recourse against The City are knowingly given up in return for The City's agreement to contract with me for the provision of these services
