About this file
This file is a GRAMA Business Confidentiality Claim form issued by the Office of the Government Records Ombudsman at the Utah State Archives, applicable to the State of Utah Division of Purchasing's procurement for an Independent Contractor position with the Governor's Office of Economic Development-Center for International Business & Diplomacy (CIBD). The form provides guidance for vendors submitting proposals to claim trade secrets or commercial financial information as confidential under Utah Code provisions 63G-2-305 and 63G-2-309. Vendors seeking confidentiality protection must submit both redacted and non-redacted versions of their proposals, include a concise statement of reasons supporting the confidentiality claim, and complete all required claimant information fields including company name, address, representative contact information, and specific details about which pages and paragraphs require protection. The Division of Purchasing will not redact proposals on behalf of vendors who fail to provide a redacted version.
The confidentiality claim does not guarantee protected classification if the government receives a public records request, as final determination of protected status rests with the governmental entity. Vendors must submit their statements of qualifications for the CIBD Independent Contractor position, a one-year contract for design professional services and consulting, without including pricing information in their submissions. The procurement is conducted under Utah Procurement Code 63G-6a Part 15, with the highest-ranked vendor selected for contract negotiations at fair and reasonable compensation determined through the negotiation process. If agreement cannot be reached with the highest-ranked vendor, the state may proceed to negotiate with the next highest-ranked vendor.

Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
