CONTRACT ITEMS

All available line items and associated prices are listed on Attachment A – Contract Pricing, Standard Delivery Locations.

A. Cost Structure:

The contract price is comprised of two (2) factors; Butane Propane Newsletter (BPN) and Contractor’s differential. The result composite cost is the contract cost per unit.

The contract composite price, or contract price, will be calculated as follows:

BPN PRICE + DIFFERENTIAL = COMPOSITE PRICE

(Provided by DGS using the (Price Listed on weekly BPN Newsletter) Attachment A – Contract Pricing)

B. Weekly Butane Propane Newsletter (BPN):

The State will use the information from the weekly Butane Propane Newsletter (BPN) to determine the price per gallon for the LPG. This information will be posted by the State Contract Administrator on a weekly basis (See Publication Posting). To determine base price of LPG, the State will use the sections identified as *“Midstream Energy”* and “AePex Energy”.

For invoicing purposes, the price per gallon will be based on the three markets identified below:

· AePex Energy - Los Angeles,

· Aepex Energy – San Joaquin, and

· *Midstream Energy* – San Francisco.

Contractor shall use the BPN market price per gallon, from the DGS-PD’s weekly posting, in the appropriate counties as defined in Attachment D, Caltrans Districts County Defined. If the BPN publication is modified, the State reserves the right to re-establish the base price calculation method or cancel all or part of the contract without prejudice against any part to the contract.

C. Publication Posting:

The DGS-PD tracks and monitors fuel changes on a weekly basis. The State Contract Administrator will prepare the weekly BPN LPG base prices using the following three (3) areas: *Midstream Energy* – San Francisco, AePex Energy – San Joaquin Valley, and AePex Energy – Los Angeles. The weekly LPG postings will be posted every Thursday afternoon for the following week at https://www.dgs.ca.gov/PD/Resources/Page-Content/Procurement-Division-Resources-List-Folder/Liquefied-Petroleum-Gas-Fuel-Postings?search=fuel%20postings

DELIVERY SCHEDULES

Delivery for orders placed against this contract shall be in accordance with the following:

1. Locations Deliveries are to be made to the location specified on the individual purchase order.

Please see Attachment C – Delivery Location Addresses.

Schedule Delivery of ordered product shall be completed in full within three (3) working days after receipt of an order, (ARO) unless otherwise agreed to by the ordering agency. Since receiving hours for each ordering agency will vary by facility, it will be the Contractor’s responsibility to check with each facility for their specific delivery hours before delivery occurs.

The Contractor must notify the ordering agency within twelve (12) hours of scheduled delivery time, if delivery cannot be made within the time frame specified on the Order Confirmation.

Contractor is requested to make deliveries in Los Angeles County, Orange County, San Bernardino Metropolitan Area, and San Diego Metropolitan Area during off-peak hours. Off-peak hours are Monday through Friday, 10:00 AM to 4:00 PM.

Security Requirements Deliveries may be made to locations inside secure grounds that require prior clearances or special entry procedures for delivery drivers.

Security procedures may vary from facility to facility. The Contractor will be responsible for contacting the secure location for security procedures, hours of operation for deliveries and service, dress code, and other rules of delivery.

Deliveries that are delayed due to drivers not being cleared to enter secure grounds may be cause for contract default.

Delivery Equipment Contractor will be required to make deliveries at the time specified in vehicles suitable for each individual location. These vehicles shall be equipped as required by applicable laws, rules or regulations with all components, such as connectors and hoses of the proper size, length, etc., necessary to successfully complete delivery. A filler hose adapter shall be used to ensure proper connection to the tank. Safety checks shall be conducted by the delivery driver to determine there are no leaks.

Many of the delivery locations are semi-remote, and access may only be possible over narrow winding unpaved roads. These roads may often limit delivery to trucks without trailers and in some instances smaller than normal trucks may be required. During the winter or periods of inclement weather, making deliveries may be especially difficult. A lack of familiarity with a delivery location will no way relieve a Contractor from their responsibility to fulfill the terms and conditions of the contract.

All delivery vehicles and/or trailers must have accurate metering equipment to enable State Personnel to verify quantities delivered.

Modification of Contract Delivery sites may be added, changed, or deleted as deemed necessary by DGS-PD.

To add, delete or change delivery location (s) departments must complete Attachment D, Delivery Addition Location Request Form and submit it directly to the State Contract Administrator.

Differentials for added locations and/or tank changes shall be consistent with prices for the district they are being added to.

Allocations In the event the Contractor’s supply of awarded items is reduced for reasons beyond the Contactor’s control to a level which prevents the supply of the State’s requirements in full, the Contractor agrees to supply the State no less than a proportionate share delivered to similar accounts, unless Federal Regulations require otherwise

Note: In accordance with paragraph 15 of the General Provisions entitled “Delivery”, the Contractor shall strictly adhere to the delivery terms and completion schedule as specified in this solicitation. Failure to comply with the delivery requirements, as stated, may be considered a breach of contract and subject the Contractor to General Provisions 26, entitled “Rights and Remedies of the State for Default”.

FREE ON BOARD (F.O.B.) DESTINATION

All prices are F.O.B. destination; freight prepaid by the Contractor, to the ordering agency’s receiving point. Responsibility and liability for loss or damage for all orders will remain with the Contractor until final inspection and acceptance, when all responsibility will pass to the ordering agency, except the responsibility for latent defects, fraud, and the warranty obligations.

SHIPPED ORDERS

Contractor shall provide Bill of Lading (BOL) with each fuel delivery.

All shipments shall be in accordance with the General Provisions (rev 6/21/2022), Article 12 entitled “Packing and Shipment”.

SAFETY DATA SHEET

The Contractor shall provide a Material Safety Data Sheet (MSDS) for products subject to Title 8 of the California Code of Regulations (CCR), section 5194, Hazard Communication and all legally required special handling/packaging documentation with each LPG delivery. Contractor shall provide copies of the MSDS and special handling/packaging documentation via email to the State upon the State’s request.

Both the State and the Contractor have assigned contract administrators as the single points of contact for problem resolution and related contract issues.

CAL-Card Use State departments may use the CAL-Card for the payment of invoices. Use of the CAL-Card requires the execution of a Purchasing Authority Purchase Order (Std. 65) in accordance with Article #12, Purchase Execution and must include all required documentation applicable to the purchase.

The CAL-Card is a payment mechanism, not a procurement approach and, therefore, does not relieve State departments from adhering to all procurement laws, regulations, policies, procedures, and best practices, including those discussed in the State Contracting Manual (SCM) Volume 1 and Volume 2. This includes but is not limited to the application of all sales and use tax laws, rules and policies as applicable to the purchase.

Payee Data Record Each State department’s accounting office must have a copy of the Contractor’s Payee Data Record (Std. 204) in order to process payments. State departments should forward a copy of the Std. 204 to their accounting offices. Without the Std. 204, payment may be unnecessarily delayed. State departments should contact the Contractor for copies of the Payee Data Record.

CAL-CARD INVOICING

All CAL-Card invoices are to be processed separately from other payment methods and include the elements identified in Article #25, Invoicing. CAL-Card invoices shall be submitted to the CAL-Card account holder. The total invoice amount for each CAL-Card order must reflect a zero (0) balance due or credit, if applicable, and state “paid by CAL-Card”.

This website contains additional information regarding DGS-PD’s CAL-Card program (https://www.dgs.ca.gov/PD/Services/Page-Content/Procurement-Division-Services-List-Folder/Enroll-in-CAL-Card-Program-for-Government-Entities).

The State may, at any time, take a sample of the delivered LPG and independently determine the quality of the LPG using test methods listed in 13 CCR §2292.6. If the test results indicate the fuel is non-compliant with the specification, the Contractor shall be responsible for all costs related to the test analysis, removal, and disposal of non-compliant fuel from affected site storage tanks. Contractor shall replace the delivered LPG free of charge with LPG that meets the specification.
