INTRODUCTION AND OPPORTUNITY

1.1 THE OPPORTUNITY

Los Angeles World Airports (LAWA) is seeking proposals from qualified individuals or firms (Proposers) to develop, manage, and operate the concessions in Terminal 5 (pre-security and post security) at Los Angeles International Airport (LAX). LAWA is seeking creative and innovative concession operators that will elevate the passenger experience. LAWA will award multiple concession opportunities to multiple qualified firms.

The successful proposers (Operators) awarded the Terminal 5 Concessions Agreement (Agreement) will be responsible for ensuring the successful development, management, and operations of food & beverage, convenience retail, specialty retail, certain other concessions, and non-airline revenue opportunities and passenger services in Terminal 5 at LAX.

The Operators are tasked with delivering a unique, LA-centric concessions program through recognizable brands/concepts, robust customer service amenities, a strong commercial vision, and creating a hospitable passenger experience at LAX. In addition to LA-centric brands/concepts, Operators must offer products unique to Los Angeles, including exclusive LA/LAX merchandise, featured collaborations with local artists, and LA/LAX branded goods, competitive with the world’s leading international airports. Additionally, proposers are encouraged to evoke a sense of Los Angeles’ diversity through a reflection of the city’s unique, innovative collection of locally inspired brands, culinary offerings, and regional identity in their response to the RFP.

Terminal 5, a world-class terminal facility that sets the new standard for the LAX campus, will demonstrate the airport’s commitment to “putting the LA back in LAX”.

This thematic terminal experience will set the stage for an exciting and exhilarating concessions program that states a passenger has “arrived” in Los Angeles, the iconic entertainment and creative hub of the world. We host and extend hospitality to travelers so that dreams and possibilities soar.

LAWA anticipates that the proposed concession concepts will convey the following emotional responses to passengers:

• Welcoming: A warm invitation from Los Angeles and Angelenos to visit their home

SECTION 1

• Reassuring: Visitors feel as if they are being taken care of by Angelenos and their hospitality

• Exciting: Visitors have “arrived” at the source of possibility – Los Angeles is a place where dreams come true

• Exhilarating: Los Angeles is a diverse palette of people and cultures – anyone can create an amazing story here

• Inspiring: The creativity and passion of Los Angeles is energizing – visitors will have a Los Angeles story to bring back home

The design theme for Terminal 5 is – Day In The Life (Downtown Street Culture).

Built around the vibrant pulse of Downtown LA and Griffith Park, where street culture creates a dynamic urban landscape. Channels the energy of local art, basketball, and the cutting-edge style that defines the heart of LA’s youthful, creative spirit. The Concessions program significantly contributes to the creation of four distinct, zones (plus one unit in pre-security accounting for the Mid- Century zone):

GRIFFITH PARK/OBSERVATORY (Mezzanine Level, Post-Security) o The Departing passenger’s first introduction to the Terminal 5 Concessions program occurs at the Mezzanine Level, immediately following the security screening checkpoint and surrounding the state-of-the art Observatory taking inspiration from Griffith Observatory. This overhead focal point, combined with the monumental component extending vertically from the floor below, creates an impactful and captivating passenger experience. Along the curving Mezzanine Level circulation path there is an immersive, walk-through retail experience followed by a, flexible, hybrid marketplace focusing on local food and beverages (including coffee) and a full-service bar. These units present a strong opportunity for respondents to further emphasize and enhance the Griffith Park Observatory language through lush, rich warm materials and a strong, wide-ranging offering.

BROADWAY (Concourse Level, Post-Security) o As passengers descend from the Mezzanine Level to the Concourse

Level, they enter a bright, open and airy transition point where they are presented with a decision point for onward travel. Passengers who depart from the northern gates are inclined to turn left and head towards the Broadway district. The Broadway district largely sits in a double-height space, below the observatory, with vast amounts of glazing, and along the main circulation path. These units are intended to evoke the historic, vintage character of downtown Los Angeles’ Broadway Street, through the iconic marquees and vertical signage elements that characterize many of the revitalized facades downtown. There are multiple Food & Beverage units and a Travel Essentials unit in this district, along with a large common concession seating area underneath the observatory.

GRAND CENTRAL MARKET (Concourse Level, Post-Security) o The other option, for descending, departing passengers, is to turn right towards the southern gates. Passengers must walk through an immersive, energetic concession node that takes on the characteristics of downtown’s historic facades and eclectic energy of the Grand Central Market. The majority of the concessions footprint and opportunities are consolidated within this node, and there are several types of Food & Beverage units, along with a Travel Essentials unit, and common concession seating areas.

ARTS DISTRICT (Concourse Level, Post-Security) o The final stop for majority of departing passengers is the Arts District. This commercial zone is a small, hip, industrial, impactful, sought after location is surrounded by gate activity on all sides, and has the opportunity to complement the upscale gate lounges while introducing pops of creativity and extending vertically into the high-ceiling space.

MID-CENTURY (Arrivals Level, Pre-Security) o The only pre-security unit lives slightly tucked under a low ceiling, but largely under a four-story volume. The eclectic, downtown post-security environment is contrasted with a glamorous, pre-security environment that introduces passengers to Los Angeles’ rich mid-century history.

1.2 BACKGROUND INFORMATION

Due to the Terminal 5 Modernization Program, all Terminal 5 concessions were recaptured by LAWA in October 2025. The intent of the T5 Modernization Program is to deliver an elevated passenger experience through improved circulation, enhanced security and operational flexibility. The project will include a new headhouse, ticketing and baggage claim areas, a new concourse with unique LA themed amenities, new outdoor areas, and all new concessions.

LAWA is looking for a two-part RFP response consisting of:

1. Written/Technical Proposal:

Proposer’s Business Entity, Design/Concepts, and Qualifications/Experience

2. Financial Proposal:

Percentage Rent, Minimum Initial Qualified Investments, and Minimum Reinvestment

1.4 CONCESSION AWARD

Proposers may submit a response on one or more Packages, however, based on the number of qualified, competitive responses to each Package, LAWA reserves the right to only award up to two packages to a single Prime Entity (an Entity with more than 50% ownership of the partnership). Proposers organized as a legal joint venture or partnership with two or more operators, concessionaires, or corporate entities will be evaluated as one Proposer. Each Proposer should submit only one proposal regardless of the number of packages, with an indication of which packages are included in the proposal.

1.5 CONCESSION AGREEMENT

A Draft Concession Agreement is provided as Exhibit 8 to this RFP. Proposers will have an opportunity to submit questions through Bonfire on the Draft Concession Agreement.

1.6 CONCESSION TERM

The Term for each of the packages will be twelve years plus three one-year performance-based options. Irrespective of the Unit Opening Date, Year 1 of the Agreement(s) will commence on July 1, 2028, and end on June 30, 2040, barring unforeseen space turnover delays. On or before the commencement of the twelfth agreement year, the CEO, in his/her sole right, will determine if each Concessionaire and/or Package are granted an additional one-year term.

Determination of the performance-based option years may consist of, but not be limited to, each Concessionaire demonstrating its annual performance using criteria and/or metrics established at the beginning of each agreement year in coordination with LAWA (e.g. sales growth per enplaned passenger which exceeds inflation) as part of an annual Business and Operations Plan evaluation.

1.7 REVENUE TO LAWA

The successful Proposers will pay the greater of a Minimum Annual Guaranteed Rent or a Percentage Rent throughout the Term of the Agreement, as defined in the Draft Concession Agreement.

Percentage Rent Proposers are required to complete Submittal C – Financial Proposal and submit a Percentage Rent amount for each category/type of use. The minimum percentage is listed in the table below

Minimum Annual Guaranteed Rent

The Minimum Annual Guaranteed (MAG) Rent is based on the number of enplaned passengers.

For the first year, the baseline Minimum Annual Guaranteed (MAG) Rent will be based on eighty percent (80%) of the Proposer’s submitted Year 1 (FY 2029) sales forecast, by Unit, the Proposer’s submitted Percentage Rent, and an assumed baseline of 4,000,000 annual enplaned passengers (i.e., the Proposer’s Year 1 (FY 2029) sales forecast multiplied by the proposed Percentage Rent above and divided by an assumed baseline of 4,000,000 enplaned passengers). This ratio is expressed as the Per Enplaned Passenger MAG (“Per EPAX MAG”)*.

Base Rent is defined as the greater of (a) the MAG Rent, or (b) the Percentage Rent.

1.8 QUALIFIED INVESTMENTS (CAPITAL EXPENDITURES)

Proposers are required to indicate the anticipated Minimum Initial Qualified Investment Amount per square foot for each Unit in the respective Package(s).

In addition, Proposers must indicate the contractual Minimum Refurbishment Percentage expressed as a percentage of the Proposer’s actual Minimum Initial Qualified Investment Amount for each Package (minimum 20.0%) which must be invested over the term of the Agreement to enhance the guest experience and drive incremental sales. Certified financials documenting the Proposer’s actual Minimum Initial Qualified Investment Amount, by Unit, will be a required submittal to LAWA for all awarded Packages. The following information is provided for each concession category/type of use as a minimum value only, and each Proposer should independently determine their anticipated capital investment for each Unit/Package.
