About this opportunity
The Texas Health and Human Services Commission (HHSC) is requesting qualifications for outside legal counsel to provide representation and advice on complex information technology and intellectual property matters, with proposals due July 21, 2026 at 10:30 a.m. Central Time and a single contract award anticipated. A pre-proposal conference is scheduled for June 29, 2026 at 10:00 a.m. Central Time (optional but highly recommended); written questions are due June 30, 2026 at 5:00 p.m. Central Time.
Respondents must demonstrate seven consecutive years of organizational experience in IT and intellectual property legal matters and designate a Texas-licensed Lead Attorney with a minimum of five consecutive years of specialization in IT and intellectual property law and good standing with the State Bar of Texas. All staff attorneys must be licensed and in good standing with their respective state bars. Services cover all of Texas with the contractor providing its own transportation. The scope includes legal advice on IT transactions and agreements (software licensing, SaaS contracts), intellectual property, data security, artificial intelligence, risk management strategies, vendor negotiations, and compliance with state and federal law. No litigation may be initiated without prior written approval from HHSC and the Office of the Attorney General (OAG). Subcontractors are prohibited; the contractor may not bill for administrative staff, law clerks, or interns.
The contract is structured on a fair and reasonable fixed, flat-rate fee basis per service type per case, with hourly rates available for HHSC-approved services not covered under the fixed fee schedule. Total compensation shall not exceed $150,000, with no guarantee of volume or usage. The contractor must pay a non-refundable $1,000 administrative fee to the OAG per fiscal biennium prior to contract start. Travel expenses are reimbursed per OAG guidelines; other expenses are borne by the contractor. The contract term begins upon execution and continues through August 31, 2027, with possible extensions at HHSC's discretion in consultation with the OAG.
Evaluation criteria are Organization Experience (30%), Staff Qualification and Experience (45%), and Demonstrated Competence (25%). Respondents must submit three past performance examples using the provided template, preferably from projects performed for comparable-size states or the federal government within the previous five years. Award is anticipated for September 2026.
