Control No: 19-0019 Program/Equipment: OpenText Software License/Maintenance

FAR Part 6 Justification and Approval for Other than Full and Open Competition

1. Contracting Activity: National Guard Bureau Operational Contracting Division (NGB- AQ-C); 111 South George Mason Drive, Arlington, VA 22204.

2. Description of Action: Army National Guard Information Management Architecture Directorate (ARNG-IMA) requests a firm fixed price contract with OpenText Inc. software and maintenance support. The Government projects award for 1 July 2019 with a Period of Performance (PoP) from 01 July 19 to 30 Jun 20. The Government will fund the base year of this requirement with Fiscal Year (FY) 2019 Operations and Maintenance funds.

An acquisition plan is not required because this procurement does not meet the threshold at Defense Federal Acquisition Regulation Supplement 207.103(d)(i)(B).

3. Description of Supplies/Services: Army National Guard, Information Systems Division requires the OpenText software to support all NGB functional domain users with the architecture development and documentation efforts to meet the mandates federal regulations. National Guard Bureau uses the software to meet the following regulations:

OMB Circular A-130, Data Center Optimization Initiative, Federal Information Security Management Act, Army Business Transformation and DoD Information Assurance certification and authentication processes, as well as all ongoing mandate by SECARMY Directive 2016-38, Army Applications Migration to the Authorized Cloud Computing Environment and Data Center Consolidation plan and tasks. OpenText architecture tools, including its business process module and repository, are the critical software needed to produce and store all the required architectural artifacts in electronic form in compliance with the DoD Architecture Framework (DoDAF) guidance. OpenText satisfies all aforementioned mandates, regulations, and initiatives.

4. Authority Cited: 10 U.S.C. 2304(c)(1), as implemented by FAR 6.302-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Reason for Authority Cited: OpenText Software is vital to meet the needs of the Army National Guard (ARNG) G6 mission. The Opentext software provides publishing capabilities that ARNG-G6 utilizes for publishing HTML content to GKO and portable HTML packages. OpenText /ProVision and OpenText /BPM provide compatible, commercially accepted “modeling and simulation application” capability to the ARNG Enterprise Architecture Tool (ARNG-EAT). If OpenText Software Maintenance contract is not approved, ARNG users will lose their access to ARNG’s repository of architectural artifacts and reports. OpenText software provides a robust and adaptable modeling capability that is compliant with regulatory requirements (AR 25-1) for DoDAF-compliance, which is used by ARNG G-6 to provide compatible, commercially accepted “modeling and simulation application” capability to the ARNG Enterprise Architecture Tool (ARNG-EAT). ARNG G6 requires the renewal of the OpenText software to maintain access to ARNG’s repository of architectural artifacts and reports. The OpenText software provides ARNG G6 with the capability of managing ongoing architecture development, system integration, and system migration projects that are necessary to meet federal and DoD IT-related mandates. If the software is not renewed, ARNG-IMA-S will lose its capability to support the ongoing architecture development, system integration, and system migration projects that are necessary to meet federal and

DoD IT-related mandates. Non-compliance of these federal and DoD IT mandates will lead to decertification of funds for IT investments resulting in significant disruption to the overall ARNG mission. For example, for IT investments managed within the Business Mission Area (BMA) during the annual review cycle. IT investments support a wide range of functions across the ARNG.

There are other software that can support NGB’s requirement but the largest cost factor for transitioning to a new modeling tool is data migration. For 1,500 low complexity models at an average of 2 man-hours per model, the estimate is 3,000 man-hours. For 100 high complexity models at an average of 20 man-hours per model, the estimate is 2,000 man-hours. Other cost factors include the accreditation ($50-60k a visit from the Security Control Assessor- Validator teams), installation & testing (80 man-hours), training (800 man-hours), and model standards & guidelines update (80 man-hours) for a total of 960 man-hours and a total of $141,523.20. ARNG has also invested in the development of a spreadsheet survey conversion utility for ProVision that utilizes import functionality that may not be available in other modeling tools. If this functionality is not available then the estimate to modify the spreadsheet survey conversion utility would be 400 man-hours. The total cost estimate for transition to a new modeling tool is 6,380 man-hours paying the current labor cost of $147.42 per hour is $940,539.60, plus $50- 60k a visit from the Security Control Assessor- Validator teams for accreditation is a total of $1,000,539.60. The above does not calculate loss of time while implementing software changes, but the factors for implementing a new software alone substantiates why staying with the current provider is the clear answer.

6. Efforts to Obtain Competition: The Contracting Officer shall publish the notices required by FAR 5.201 and any bids or proposals received shall be considered. Per FAR 6.302-1, a sources sought was conducted 13-17 May 2019 for this effort. During this time no companies responded to this effort or state they could provide this software.

a. Effective Competition: The Government will post this requirement to FBO.GOV in an effort to receive

b. Subcontracting Competition: N/A.

7. Actions to Increase Competition: While this requirement is limited to the original software publisher, the Government will compete this requirement amongst the publisher’s authorized resellers. However, the Government has found that no other companies currently sell this software except for the manufacturer.

8. Market Research: Market research conducted from 15-22 APR 19 verified that the software is not sold by any companies except for the manufacturer. Based on the market research the Government does not expect to receive more than one quote under this acquisition. The Contracting Officer recommended a cost comparison between current OpenText use and implementation of new software. The Requiring Activity (RA) has found that the additional cost of switching platforms, at this time, to be at a cost detrimental to the Government. All authorized resellers will be eligible to compete for this requirement.

Approval Based on the foregoing justification, I hereby approve the procurement of OpenText Software Licenses and Maintenance for the estimated amount of on an other than full and open competition basis pursuant to the authority of 10 U.S.C.

2304(c)(1) as implemented by FAR Part 6.302-1 -- Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements, subject to availability of funds, and provided that the services or property herein described have otherwise been authorized for acquisition.
