ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS

Submission of Price Quote – Contractor shall submit the following in 1 copy:

1. Signed and dated Standard Form 1449 (Solicitation/Contract/Order for Commercial Items)

3. Completed schedule (pricing information) for all contract line item numbers

BUSINESS HOURS: The standard business hours for the Walla Walla District, Corps of Engineers are Monday through Friday from 8:00 a.m. to 4:00 p.m., excluding federal holidays.

PERFORMANCE WORK STATEMENT

BULKHEAD TUG SUPPORT AT ICE HARBOR LOCK AND DAM

1. SCOPE

1.1 Contractor shall provide all equipment and labor necessary to safely move one (1) floating bulkhead from the storage compartment to the upstream floating bulkhead slot (Gate 2 as listed on the navigation lock unwater plan) for scheduled FY18 work. For future FY work the floating bulkhead may be placed in either the upstream (Gate 2 as listed on navigation lock unwatering plan) or the downstream (Gate 1 as listed on Navigation lock unwater plan) floating bulkhead slot in the Navigation Lock at Ice Harbor Lock and Dam. All navigation locks on the Snake and Columbia rivers will be out of service for no less than two (2) weeks beginning 3 March 2018. Once in position, government personnel will submerge the floating bulkhead into place, currently scheduled for 3 March 2018. After Navigation Lock work is completed, the Contractor shall provide all equipment and labor necessary to safely return the floating bulkhead to the bulkhead storage compartment with the anticipated date of 16 March 2018.

However; the actual date may vary by 3 calendar days, depending on the progress of maintenance activities.

1.2 This activity, if the option is exercised, will be repeated during the Navigation Lock Outages FY19, FY20 and FY21 at Ice Harbor Lock and Dam. Placement of floating bulkhead, dates and length of outages to be determined.

2. FLOATING BULKHEAD. The floating bulkhead is a large steel structure (the maximum external dimensions are approximately 32 feet high x 88 feet wide x 10 feet deep, with a minimum draft of 13 feet) that is designed to withstand forces created by a pressure differential across it when it is properly operated and installed into an existing floating bulkhead slot. This pressure differential is created by a difference in elevation of water on each side of the floating bulkhead. The difference in water elevation is created by unwatering the Navigation Lock side of the floating bulkhead after it has been properly installed.

3. INSTALLATION. The Contractor shall arrive, with all required equipment and personnel, to the floating bulkhead Storage Compartment on 3 March 2018 at 0700 to begin work on moving the floating bulkhead from its mooring location to the upstream floating bulkhead slot in the Navigation Lock.

4. REMOVAL. The floating bulkhead removal schedule depends on progress of the work to be done in the Navigation Lock. The Contractor will be given no less than 48 hour notice for arrival time to complete the removal process. Once the Contractor is given notice, they shall arrive at the specified time, with all required equipment and personnel, to the upstream floating bulkhead slot to begin work on moving the floating bulkhead from the bulkhead slot back to its upstream storage compartment.

5. SPECIAL REQUIREMENTS

5.1 Safety. All floating bulkhead operations shall be performed with strict communication between government personnel and Contractor personnel. All services provided by the Contractor shall conform to all applicable USACE and OSHA safety regulations. A “Floating Bulkhead Installation and Removal” Activity Hazard Analysis (AHA) Report shall be reviewed by all Contractor personnel before performing any work under this contract.

5.2 Movement. The floating bulkhead shall be moved by an adequately-sized, commercial tugboat. The Contractor shall provide all necessary fuel, lines, rigging, tug operator, qualified crew, etc. to secure the floating bulkhead to the tugboat for movement and placement. Once in place, the tugboat shall remain in place in order to assist in maintaining the bulkhead position until a satisfactory seal is created. Once the seal is created, the Contracting Officer Representative will release the tugboat. This is expected to take one (1) full calendar day.

5.3 Logistics. The Navigation Lock will be out of service once the floating bulkhead is set into place. In FY18, the contractor’s tugboat will be located upstream of the Navigation Lock once the floating bulkhead is in place and will be unable to move downstream after the Navigation Lock has been taken out of service. Upstream tugboat moorage to the dam structure will be available with limited shore power capabilities to the Contractor until the floating bulkhead is removed and the Navigation Lock is returned to service.

5.4 Licensing. Submit copies of all applicable licenses in accordance with all applicable State and Federal requirements within ten (10) calendar days of contract award.

6. OUTAGE SCHEDULES. The FY18 Navigation Lock outage duration is scheduled from 3 March 2018 at 0600 hours through 18 March 2018 at 2359 hours. The FY19, FY20 and FY21 exact dates will be determined in Fiscal Year prior to exercising option and made available to the Contractor.

7. ANTI TERROIST/OPERATION SECURITY (AT/OPSEC)

7.1 Access and General Protection/Security Policy and Procedures. All contractor and all associated sub-contractors employees shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative). The contractor shall also provide all information required for background checks or background investigation and to meet installation/facility access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office. Contractor workforce must comply with all personal identity verification requirements as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any installation or facility change, the Government may require changes in contractor security matters or processes.

7.2 Escort. All contract employees, including subcontractor employees who are not in possession of the appropriate security clearance or access privileges, will be escorted in areas where they may be exposed to classified and/or sensitive materials and/or sensitive or restricted areas.

7.3 Pre-screen candidates using E-Verify Program. The Contractor must pre-screen Candidates using the E-verify Program (http://www.uscis.gov/e-verify) website to meet the established employment eligibility requirements. The Vendor must ensure that the Candidate has two valid forms of Government issued identification prior to enrollment to ensure the correct information is entered into the E-verify system. An initial list of verified/eligible Candidates must be provided to the COR no later than 3 business days after the initial contract award.

8. PERFORMANCE REQUIREMENTS SUMMARY

The Contractor service requirements are summarized below into performance objectives that relate directly to mission essential items. The Performance Standard briefly describes the minimum acceptable levels of service for each requirement. The Acceptable Quality Level (AQL) indicates the maximum percentage defect that will still ensure mission success and is based on observed defects (or projected defects, if random sampling is used) per total service days in the given month. The Contractor is responsible to meet all the requirements of this contract.

9. METHODS OF QUALITY ASSURANCE SURVEILLANCE

The COR and/or their designated Technical Advisor shall use the surveillance methods listed below in the administration of the Quality Assurance Surveillance Plan (QASP).

Surveillance results may be used as the basis for actions against the contractor. In such cases, the Inspection of Services clause in the Contract becomes the basis for the KO’s actions.

(a) Definitions. Inverted domestic corporation and subsidiary have the meaning given in the clause of this contract entitled Prohibition on Contracting with Inverted Domestic Corporations (52.209-10).

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2017)

ALTERNATE I (OCT 2014)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.

Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
