CLAUSES INCORPORATED BY FULL TEXT

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The basis for award is lowest price, technically acceptable offer. Evaluation of Proposals shall be by using the Lowest Price Technically Acceptable process. The following factors shall be used to evaluate offers:

The two (2) non-price factors: Recent Relevant Experience and Past Performance will be evaluated on an Acceptable or Unacceptable basis. In order to be considered technically acceptable, offers must be rated as Acceptable for both non-price factors: Recent Relevant Experience and Past Performance.

Factor 1: Recent Relevant Experience

Submission requirements:

The information provided in this factor shall reflect whether contractor has performed similar work before, not to be confused with Factor 2: Past Performance, where the evaluation is based how well contractors performed their services.

The offeror shall provide information for a minimum of two (2) and no more than five (5) recent and relevant projects. Recent and relevant projects are those projects completed or substantially completed* in the past five years that are comparable in size, scope and complexity with this project as described in the Performance Work Statement.

Project examples shall contain:

1. Project name and location;

2. Description of the project;

3. Contract awarded amount;

4. Project start date;

5. Project completion date;

6. Demonstrate project is at least 75% complete, if applicable;

7. Point of contact information (Name, address, telephone number, etc.)

*Substantially completed is defined as having completed more than 50% of the project work at the time of proposal submission.

Evaluation criteria:

The Government will review the submitted project information. Offerors who provide all information and demonstrate that the project description is comparable in size, scope and complexity with this project, as described in the Performance Work Statement, for at least two (2) projects be given an “ACCEPTABLE” rating. Offerors who do not provide all information or do not demonstrate that the project description is comparable in size, scope and complexity with this project as described in the Performance Work Statement for at least two (2) projects will be given an “UNACCEPTABLE” rating.

Factor 2: Past Performance

The contractor shall submit Past Performance information in accordance with 52.212-1 para (b)(10) Submission of Offerors. The Government may call references to verify Past Performance information. The Government also reserves the right to use other information, e.g. personal knowledge, pre-award survey, past performance information systems, etc. during the evaluation. The Offeror shall provide a minimum of three (3) Past Performance references.

The Offeror shall provide the following information, at a minimum:

1. Contract number and Offeror’s and/or major subcontractor’s specific role in the project (if applicable).

2. Project name and location.

3. Name of customer, agency, or firm.

4. Point of contact (POC) information (Name, title, telephone number, etc.).

5. Scope of project; focus on commercial/industrial (not residential) aspects of the project.

6. Date of completion or anticipated date of completion.

An Offeror’s proposal will be rated as “ACCEPTABLE” for this factor if, based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (*See note below.)

An Offeror’s proposal will be rated “UNACCEPTABLE” for this factor if, based on the Offeror’s performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.

* Note: In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (FAR 15.305(a)(2)(iv)). Therefore, the Offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

Factor 3: Price

Offerors shall provide a complete price proposal to include pricing for all optional Contract Line Item Numbers (CLINs). The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

To be complete, the Offeror must provide all data that is requested and necessary to evaluate the prices.

The Government will evaluate offers for award purposes by adding the total price for all options items to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the options.

The Government intends to evaluate proposals and award without discussions [except clarifications, as described in Federal Acquisition Regulation (FAR) 15.306(a)]. Therefore, the offeror’s initial proposal should contain the offeror’s best terms. The Government reserves the right to conduct discussions if the Contracting Officer determines them to be necessary.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(h) Certification Regarding Responsibility Matters (Executive Order 12689). (Applies only if the contract value is expected to exceed the simplified acquisition threshold.) The offeror certifies, to the best of its knowledge and belief, that the offeror and/or any of its principals--

(1) [ ___ ] Are, [ ___ ] are not presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(2) [ ___ ] Have, [ ___ ] have not, within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a Federal, state or local government contract or subcontract; violation of Federal or state antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property; and

(3) [ ___ ] Are, [ ___ ] are not presently indicted for, or otherwise criminally or civilly charged by a Government entity with, commission of any of these offenses enumerated in paragraph (h)(2) of this clause; and

(4) [ ___ ] Have, [ ___ ] have not, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.

(i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
