PERFORMANCE WORK STATEMENT

PERFORMANCE WORK STATEMENT

for

National Environmental Policy Act (NEPA) Scoping Plan and Community Impact Assessment for Willamette Falls Locks Project

Clackamas County, Oregon

1.0 GENERAL

This is a non-personal services contract to support the U.S. Army Corps of Engineers, Portland District (Corps) by providing National Environmental Policy Act (NEPA) Scoping Plan and Community Impact Assessment for Willamette Falls Locks Project in Clackamas County, Oregon. Resultant contract will be firm-fixed-priced using the lowest priced technically acceptable method of procurement.

The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

1.1 Description of Services/Introduction

The Contractor shall provide all labor, materials, transportation and other items and non-personal services necessary to perform the services as defined in this Performance Work Statement (PWS) except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.

1.2 Background

Located on the Willamette River in the state of Oregon near West Linn, the Locks were built in 1873 and purchased by the Corps in 1915. The Corps owns a narrow strip of land and several outbuildings associated with the Locks as depicted on the map found in Attachment 1. Congressional appropriations for the operations of the Locks was severely curtailed in 2002 due to a commensurate drop in commercial traffic during the 1990’s. In response to that drop in funding, the Corps has taken the following actions regarding operations of the locks:

• 2006—placed in “caretaker status” (but open from May-Sept for public access);

• 2008—closed for Hydraulic Steel Structure Inspections and repairs;

• 2010—reopened after inspections and repairs were completed; and

• 2011—closed for life safety reasons due to excessive corrosion on the gudgeon anchors.

Since 2014 the Corps has held meetings with various non-federal stakeholders interested in the Locks and initiated consultations under Section 106 of the National Historic Preservation Act of 1966 (NHPA) evaluating the effects of the closure on the National Register of Historic Places. This regional group of stakeholders, comprised of concerns such as Clackamas County, National Trust for Historic Preservation (NTHP), One Willamette River Coalition, City of Portland, etc., commissioned the EcoNorthwest economic analysis regarding the commercial traffic and cost to repair the Locks.

Although the Corps does not see a return of transporting commercial goods through the locks sufficient to allow the locks to reopen and compete effectively with other navigational facilities across the region and nation, Congress has yet to establish the long term disposition of the facility. In lieu of having Congressional direction on the long term management of the Locks, the Corps is undertaking an evaluation of potential management alternatives to inform the best path forward for Locks. A decision regarding the Locks will need to be studied in a 100% federally funded Disposition Report, which will need to be sent to Congress for their review and approval. This process has just now started.

1.3 Objectives

In undertaking this scoping process, the Corps will be seeking answers to two primary questions:

1.3.1 How have individuals or communities been affected by the 2011 closure of the Locks? And what would be the affects if the Locks remained closed?

1.3.2 What are the scope of issues and potential alternatives to be considered in the Corps’ decision-making process when considering long-term management of the Locks?

1.3.3 Overall purpose and objectives of this contract are:

• To provide information about a proposed federal action to the public;

• To make the public's concerns on particular federal action known to decision‐makers;

• To provide for input from the public before a decisions are reached; and

• To consider the public's views in reaching decisions.

1.4 Scope

This Performance Work Statement (PWS) identifies specific tasks necessary completion of a NEPA scoping process as it relates to the Corps’ current and future management of the Willamette Falls Locks (herein referred to as the Locks). The Corps is seeking to complete a NEPA scoping process to obtain relevant information from stakeholders who may have been impacted by the 2011 “interim” closure of the Locks and/or who have an interest in the future of the Locks.

NEPA scoping is a process used by federal agencies in determining the “scope” of the issues that should be addressed in a NEPA document regarding a proposed federal action. The Council on Environmental Quality’s (CEQ) included scoping in their NEPA regulations (40 C.F.R. 1501.7) and has issued guidance supporting the use of scoping for an environmental assessment to aid the agency in making decisions under NEPA.

The Corps will use the information gained from this effort to prepare a community impacts/socio-economic section of a NEPA evaluation. At a minimum, the Corps may be evaluating four long-term management alternatives in a future NEPA document: 1) No Action (status quo), 2) Transfer, 3) Repurposing the facility for a different use, and

4) Deauthorization, Decommissioning and Divestment of the facility. The NEPA scoping process may identify additional management alternatives that may also be evaluated.

Tasks in this PWS include: developing a NEPA scoping plan, identifying stakeholders, creating key discussion points, conducting NEPA scoping related public involvement activities, meeting with stakeholder groups to identify relevant issues to be evaluated in NEPA documents and preparing a NEPA Scoping Summary Report. The Contractor will be required to facilitate meetings by developing appropriate materials and maintain a schedule for specific work tasks. The Contractor shall work closely and collaboratively with Corps staff in the development of all work efforts.

The Corps will assist the Contractor with regards to NEPA regulations and ensure the applicable requirements of NEPA as detailed in the CEQs regulations 40 C.F.R. Parts 1500-1508, the Corps’ Engineering Regulation (ER) 200- 2-2 and 33 C.F.R. Part 230 are met. Meetings with stakeholder groups may be subject to the requirements of the Federal Advisory Committee Act (FACA). The Corps is responsible for and will determine the applicability of FACA to this effort.

REPRESENTATION (NOV 2015)

(a) Definitions. Inverted domestic corporation and subsidiary have the meaning given in the clause of this contract entitled Prohibition on Contracting with Inverted Domestic Corporations (52.209-10).

(b) Government agencies are not permitted to use appropriated (or otherwise made available) funds for contracts with either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation, unless the exception at 9.108-2(b) applies or the requirement is waived in accordance with the procedures at 9.108-4.

(c) Representation. The Offeror represents that--

(1) It [ ___ ] is, [ ___ ] is not an inverted domestic corporation; and

(2) It [ ___ ] is, [ ___ ] is not a subsidiary of an inverted domestic corporation.

52.209-11 REPRESENTATION BY CORPORATIONS REGARDING DELINQUENT TAX LIABILITY OR A

(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
