Section A - EXECUTIVE SUMMARY
1. The objective of this contract is to perform Environmental Quality Services (environmental conservation, environmental compliance, pollution prevention, and environmental operations and maintenance activities) necessary to support projects executed by the U.S. Army Corps of Engineers-Alaska District on behalf of the U.S. Air Force Civil Engineering Center (AFCEC). Requirements will be carried out as specified in the individual task orders at installation locations within the Pacific Air Force (PACAF) area of responsibility (AOR). States, territories and nations included in the PACAF AOR include, but are not limited to, Alaska, Hawaii, Japan, Korea, Guam, Wake Island and the Northern Mariana Islands.
2. Multiple awards will be made from this solicitation. This requirement is being competed as a total small business set-aside under the North American Industry Classification System (NAICS) Code 562910, Environmental Remediation Services (size standard 500 employees). The resultant contracts awarded from this solicitation will constitute Indefinite Delivery, Indefinite Quantity (ID/IQ) type contracts as defined in FAR
16.504. Task orders will be awarded against the basic ID/IQ contracts using the fair opportunity procedures discussed in FAR 16.5 in addition to the competitive source selection procedures identified in Section 803 of Public Law 107-107 implemented in DFARS 216.505-70 and Public Law 110-181, Section 843. In accordance with FAR 16.505 and DFARS 216.505-70(c), all awardees in a MATOC pool will be afforded fair opportunity to be considered for award of each order exceeding $3000 unless an exception described in FAR 16.505(b)(2) applies. Task orders will be firm-fixed price (FFP). This solicitation is for a 3 year base period, with a 2 year option to extend performance, against which task orders will be issued for services as described in Section C.
3. The Government contemplates awarding three (3) small business ID/IQ multiple award task order contracts (MATOC) for this requirement however it reserves the right to award more, less, or none at all. The capacity for the environmental quality services MATOC is $30 Million. This MATOC capacity will be shared among all awardees in the restricted small business MATOC pool.
4. The ordering period shall commence upon the date of contract award and may continue for a base period of three (3) years and an additional period of 2 years if the option is exercised. Per FAR 52.216-19, Order Limitations, a minimum order amount of $10,000 and maximum order amounts of $5 Million per single order and $30 Million in combined orders have been established for these small business MATOCs. When requests for proposal (RFPs) for task order requirements are issued, offerors must provide sufficient detail with regard to labor categories and hours, material, and travel to allow an evaluation of the proposed cost. Travel costs shall not exceed the amounts allowed under the Joint Travel Regulation. Profit is not allowable on travel costs.
5. The U.S. Army Engineering Corps of Engineers, Alaska District will remain the Procurement Contracting Office and no other agency can make changes to the base ID/IQ contracts.
6. The minimum guaranteed order amount for each MATOC awardee shall be $10,000 for the entire contract however see Section H for further details.

Section C - Descriptions and Specifications
SECTION C
STATEMENT OF WORK
ENVIRONMENTAL QUALITY SERVICES CONTRACT
PRIMARILY ALASKA (VARIOUS LOCATIONS)
1.0 INTRODUCTION
1.1 The objective of this contract is to perform Environmental Quality Services (environmental conservation, environmental compliance, pollution prevention, and environmental operations and maintenance activities) necessary to support projects executed by the U.S. Army Corps of Engineers-Alaska District on behalf of the U.S. Air Force Civil Engineering Center (AFCEC). Requirements will be carried out as specified in the individual task orders at installation locations within the Pacific Air Force (PACAF) area of responsibility (AOR). States, territories and nations included in the PACAF AOR include, but are not limited to, Alaska, Hawaii, Japan and Korea. Task Orders (TOs) will be performance-based and will be issued as firm-fixed price (FFP).
1.2 The technical requirements specified in this statement of work are intended to provide requirements for execution of the contract and a general understanding of the functions that the contractor may be required to perform. Individual TOs will contain additional detailed requirements for each specific project. The contractor will receive from USACE a complete scope of work, performance work statement, or plans and specifications for each individual TO.
1.3 The Contractor is required to furnish all plant, labor, materials and equipment to perform environmental quality services for the Air Force Civil Engineering Center (AFCEC) at Air Force Installations within Alaska and potentially the USPACOM AOR. The Contractor shall provide environmental quality support as required by the TOs issued under this contract.
1.4 The contractor shall be responsible for establishing and maintaining a good working relationship with these agencies however the contractor is not an employee of the government and shall not represent the government in an official or unofficial capacity without the express prior written permission from the Contracting Officer (CO). The regulatory agencies have the authority to require any and all documents to be sent to the agency for review for work being performed under an individual TO.
1.5 The contractor shall cooperate fully with other contractors and government employees. The contractor shall not commit any act that will interfere with the performance of work by any other contractor or government employee. The CO will resolve work schedule conflicts between this contract and other contracts. The CO will provide written direction to the contractor to reschedule work when required.
1.6 Points of contact for each project will be provided in each individual TO. All correspondence and communication shall be through the Contracting Officers Representative (COR) or Contracting Officer
(CO).
1.7 Work issued under this contract will utilize service (Service Contract Act) wage rates.
1.8 The Contractor shall comply with all provisions of the current edition of the U.S. Army Engineers Safety and Health Requirements Manual, EM 385-1-1. Contractor will find the manual at http://www.usace.army.mil/CESO/Pages/Home.aspx
1.9 The contractor shall competitively procure subcontracts to the maximum extent practicable to ensure the best price for the Government. See also FAR 52.244-2 regarding Contracting Officer consent to procure subcontracts.
2.0 DESCRIPTION OF WORK
2.1 Environmental Conservation. The contractor shall perform services in support of environmental conservation in accordance with all applicable federal, state and local laws and regulations. Examples of Environmental Conservation services include:
Natural Resource Management: Services may include support of the Air Force Environmental Impact Analysis Program (EIAP); supporting preparation of updates to, and implementation of, installation Integrated Natural Resources Management Plans (INRMP); fish and wildlife management activity support; inventory and monitoring of threatened and endangered species and other species of concern; invasive species inventory and control, to include nuisance wildlife, invasive plant species, feral animals, and noxious weed control.
Cultural Resource Management: Services may include performing professional archaeological, historic, architectural, and cultural studies, such as contextual studies, installation or structure histories, oral histories, and ethno historical studies; archaeological inventory and evaluation; historic building inventory, evaluation, and documentation; archaeological site monitoring and protection; preparing archaeological research designs for testing and data recovery; preparing preservation and/or stabilization plans for archeological/cultural sites and historic buildings; supporting preparation of Native American Graves Protection and Repatriation Act (NAGPRA) Plans of Action and Comprehensive Agreements; tribal consultation support; preparing National Register of Historic Places nomination packages; preparing Historic American Building Survey/Historic American Engineering Records (HABS/HAER); supporting preparation of Integrated Cultural Resources Management Plans (ICRMP); performing cultural resources sample or modeling surveys; and providing archaeological collection duration agreement and assessment support.
Services may also include State Historic Preservation Office support in accordance with the
National Historic Preservation Act and Air Force policies (AFI 32-7065). Support will include complying with agreements including written and photographic documentation; agency and public consultation; and mitigation measures to resolve adverse effects.

2.2 Environmental Compliance. The contractor shall perform services in support of environmental compliance in accordance with all applicable federal, state and local laws and regulations. Examples of Environmental Compliance services include:
Environmental Impact Analysis: Services may include supporting development of Description of the Proposed Action and Alternatives (DOPAA), environmental assessments (EAs), environmental impact statements (EISs), findings of no significant impact (FONSIs), EIS Records of Decision (RODs), mitigation plans and monitoring, Socioeconomic Impact Analysis Studies (SIAS), and other associated documents;
data collection (including site visits and interviews) and public meeting and hearing support (including scoping meeting support).
Environmental Baseline Surveys: Services may include the development of environmental baseline surveys. Services may include comprehensive records search, interviews, sampling, inspection and preparation of appropriate documentation.
Air Quality: Services may include air quality monitoring; source data collection; data management; preparing facility operating reports, air emissions inventories, greenhouse gas inventories, air permit compliance reports and other reports required by applicable air quality regulation; assessing compliance with National Emissions Standards; preparation of air permits; updating and maintaining records; developing and conducting air quality training materials; operations and maintenance of air monitoring systems or equipment; and other activities required by installation air permits and applicable air quality regulations.
Drinking Water: Services may include performing contaminant source evaluations; geospatial mapping of system components; backflow prevention device testing, replacement and maintenance;
performing well head protection surveys; water vulnerability assessments; sampling and analysis;
maintaining databases of sampling results; preparing monitoring and compliance reports; operation and maintenance of water system and monitoring equipment, and performing inspections of system components.
Waste Water and Storm Water: Services may include surveying wastewater treatment systems;
sampling and analyzing influent and effluent waste streams; record keeping; permit compliance documentation; preparation of storm water permits; storm water characterization, developing and maintaining databases; updating operations manuals; updating spill plans; sludge disposal; water reclamation and reuse; nonpoint and point source management; total maximum daily load studies; and, geospatial mapping of system components.
Environmental, Safety, and Occupational Health Compliance Assessment and Management Program (ESOHCAMP): Services may include support of ESOHCAMP audits and completion of submission of findings reports outlining the activities performed, to include the evaluation of local programs, correction of deficiencies, and internal evaluations encompassing all applicable ESOHCAMP protocols at each installation.
Hazardous Materials Management: Services may include hazardous waste collection;
accumulation site operations and maintenance; sampling and analysis; operations and maintenance of monitoring systems; development and implementation of waste tracking systems; preparation of reports relating to hazardous waste management; hazardous waste characterization and inventories; supporting preparation of, and updates to Hazardous Waste Management Plans; identification of treatment and disposal sites; record keeping; training; compliance inspection or audit support; Treatment, Storage, and Disposal Facility (TSDF) operations and maintenance.
Solid Waste Management: Services may include characterizing solid wastes, separating recoverable/non-recoverable wastes and recycling those materials, services in support of operating and managing comprehensive recycling programs (to include identifying how recycled materials can be used in Governmental activities), performing groundwater sampling and gas monitoring, operating and maintaining monitoring equipment, performing composting operations, operating and maintaining landfills, managing debris, and preparing educational and training materials for promoting recycling/ procurement of recycled materials.
Sampling, Testing, Analysis and Monitoring: Services may include continuous and/or discrete measuring, sampling and analysis of groundwater, surface water, drinking water, influent, effluent, process streams, leak detection systems, air emissions, soils, soil-gas, indoor air, and any other environmental or process media as specified at the TO level.
Asbestos: Asbestos-related services may include assessing, removing, encapsulating, enclosing and disposing of asbestos-containing material (ACM); performing activities necessary to identify ACM in facilities and equipment; to include conducting visual surveys to identify ACM, sampling and analyzing material to identify ACM and sampling the workplace or ambient environment; and, updating and maintaining Asbestos Information Databases, as-built drawings and management plans
Lead Based Paint and Other Lead Containing Materials: Services may include removal, disposal, encapsulation, sampling and analysis; assistance in developing LBP and lead abatement plans; conducting post-abatement assessments; and, support in updating the LBP and lead database.
Polychlorinated Biphenyls: Services may include sampling and analysis of oil from electrical components, review of transformer manufacturer records, removal and and disposal of PCB equipment, and associated documentation.
Pesticide Management: Services may include preparation of annual usage reports and audits in accordance with the Federal Insecticide, Fungicide, and Rodenticide Act (FIFRA); other applicable federal, state and local laws and regulations; and related DoD and AF directives (including AFI 32-1053).
Radon and Vapor Intrusion: Services in support of the Air Force Radon Assessment and
Mitigation Program (AFI 48-148, Ionizing Radiation Protection) may include conducting pre-mitigation radon surveys, determining sample priority and facility occupant risk, performing radon sampling and analysis, development of execution management plans and radon mitigation plans, conducting post-mitigation assessments, and updating the Toxic Substance Management Plan database.
2.3 Pollution Prevention: The contractor shall perform services in support of pollution prevention and in compliance with the Pollution Prevention Act; other applicable federal, state and local laws and regulations;
applicable and related DOD and AF directives (including AFI 32-7080). Services shall include, but are not limited to, conducting pollution prevention opportunity assessments; providing and monitoring pollution prevention equipment; and creating and/or maintaining databases to track progress in achieving pollution prevention goals.
2.4 Environmental Operation and Maintenance (O&M): Environmental O&M services may include the following:
Long Term Management: The contractor shall perform services to establish and maintain long-term, site-wide groundwater sampling and analysis programs in accordance with Long-Term Groundwater Sampling Plans. The contractor shall repair, rehabilitate or properly decommission damaged monitoring wells; install new monitoring wells; decommission monitoring wells that are no longer required; and.
perform groundwater sampling and analysis. The contractor shall update Long-Term Groundwater Sampling Plans.
Petroleum, Oil and Lubricants Management: POL management services may include operating and maintaining POL systems (to include fuel dispensing operations, hydrant systems, pipelines (installation-wide and major sections), leak detection systems, secondary containment systems, cathodic protection systems, programmable logic control systems, generators, portable tanks and bowsers and similar systems for alternative fuels; conducting site evaluations; environmental sampling and, monitoring; on-call emergency repair services, spill response services; updating Spill Prevention, Control, and Countermeasures (SPCC) Plans, and tank registration support.
Storage Tank Management: Storage Tank Management includes services in support of underground storage tanks (USTs), above ground storage tanks (ASTs,) sumps, grease traps, oil-water separators, associated piping and other related equipment. Storage tank management services shall include, but are not limited to support in obtaining applicable permits American Petroleum Institute (API) inspection support and upgrading, removing, or replacing storage tanks
2.5 All chemical data generated under this contract shall meet the requirements of the DoD Quality System Manual for Environmental Laboratories, Version 4.2 dated 10/25/2010 and any applicable federal, state or local requirements.
3.0 LICENSES, PERMITS, CERTIFICATIONS AND NOTIFICATIONS
3.1 The contractor shall be responsible for having or obtaining all necessary licenses, certifications and permits for the work described herein. As a minimum, the contractor shall be responsible for the following:
a. Licensing and certification as required by State and Federal agencies and as required by the location of the project for performing all work specified within this statement of work and each individual TO.
b. Permitting by federal and state agencies to transport restricted and/or hazardous wastes. Licensing by federal and state agencies, where applicable, as hazardous waste, asbestos, and lead-based paint contractors, blasters, etc.
c. Notifying and complying with all applicable agencies (fire department, EPA, water and air quality boards, borough or municipality environmental health department, emergency response, etc.) prior to performing work.
d. Compliance with all federal, state and local regulations.
e. Conducting all utility clearances and obtaining all digging permits prior to commencing any excavation, drilling, or other intrusive activities.
f. Notifying all appropriate local, state or federal agencies, as well as the Contracting Officer, prior to site closure in accordance with federal, state, or local regulations.
3.2 The Contractor shall register all nuclear testing devices brought onto federal property through the Nuclear Regulatory Commission (NRC). This registration is in addition to any license or permit that may be required by the state or local laws.
4.0 GENERAL CONTRACT INFORMATION
4.1 This is an indefinite quantity/ indefinite delivery type contract for support of the Air Force Environmental Quality Program in Alaska and potentially the USPACOM AOR as specified in individual TOs and is effective for a base period of three (3) years after receipt of Notice of Award. At the discretion of the Government an option period of two (2) additional years may be exercised.
4.2 Delivery or performance shall be made only as authorized by TOs issued in accordance with contract clause 52.216-18, ORDERING. The contractor shall furnish to the Government, when and if ordered, work for the items specified in individual TOs. The Government may issue concurrent orders requiring delivery to multiple destinations or performance at multiple locations.
4.3 Any TO issued during the ordering period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the TO. The Contract shall govern the Contractor's and Government's rights and obligations with respect to that TO's period of performance.
4.4 Unless an exception described in FAR 16.505(b)(2) applies, all awardees in the MATOC pool will be afforded fair opportunity to be considered for award of each order exceeding $3000 in accordance with FAR 16.505(b)(1).
4.5 Commencement and Execution of Work: The Contractor shall be required to commence the work required by a TO at the time specified on the TO, execute the work, and complete the entire project not later than the completion time specified on the TO. The time stated for completion shall include final cleanup of the project site. Individual TOs may include other requirements that must be met before on-site work can commence.
4 .6 Notice of Completion of TO: The Contractor shall notify the Government in writing upon completion of each individual TO. The contractor shall give verbal and email advance notice, to the Contracting Officer’s authorized representative on the project, of the date the work will be fully completed and ready for final inspection. Notice shall be provided at least 30 days prior to the expected completion date.
5.0 ELECTRONIC DELIVERABLES
5.1 Environmental Resources Program Information Management System (ERPIMS): ERPIMS Data submissions may be required as specified in the individual TOs.
5.2 CAD and GIS: The selected firm must have the capability to provide survey-quality computer aided drafting (CAD) drawings in *.dwg format and all support files that conform to and are compatible with the Alaska District CAD systems through the life of this contract, as appropriate. This includes proficiency with U.S. National CAD Standards. The selected firm must also have the capability to provide geographic information systems (GIS) deliverables compatible with ArcGIS (ESRI) software. Proficiency with the following GIS files is expected: *.mxd files, shapefiles, geodatabases, coverages, and raster imagery, as appropriate. Proficiency with the following GIS work processes is expected: GPS field data collection and processing, datum and coordinate system transformation, georeferencing and rectification, geodatabase development, Spatial Data Standards for Facilities, Infrastructure, and Environment (SDSFIE), and metadata preparation using Federal Geographic Data Committee (FGDC) standards.
6.0 CONTRACTOR QUALITY CONTROL
Contractor Quality Control (CQC) is the means by which the contractor ensures that all work, including that of subcontractors, complies with the contract requirements. The contractor is responsible for quality control and shall establish an effective quality control system. The quality control system shall consist of plans, procedures, and organization necessary to produce an end product acceptable to the USACE. Individual TOs may require project-specific QC plans. Detailed requirements will be specified in the TO scope of work.
7.0 WASTES TRANSPORTATION AND DISPOSAL: Individual TOs may require Transportation, Storage, Treatment and/or Disposal of Hazardous materials. The contractor shall ensure the transportation, storage, treatment, and disposal of all hazardous materials complies with all applicable federal, state, and local laws and regulations as necessary. The contractor shall identify and perform any additional analyses necessary to ensure compliance with transportation, storage, treatment, and disposal requirements. Selection of the approved Treatment, Storage, or Disposal Facility (TSDF) shall be based upon cost effectiveness, compliance status, regulatory agency input and Contracting Officer approval. If the waste is sent for off-site storage or disposal, the Contractor shall provide all required documentation to the Contracting Officer.
8.0 CONTRACTOR PERSONNEL AND QUALIFICATIONS
The contractor shall have sufficient experienced personnel to perform the services required under this contract.
8.1 KEY MANAGEMENT PERSONNEL: Key Management Personnel are identified below. The Contracting Officer or their Authorized Representative shall approve all replacement Key Personnel. Resumes of these individuals shall be required as part of task order proposals or whenever a change in personnel is to occur in order to verify the replacement is acceptable to the government. Each replacement Key Personnel must be approved by the COR prior to beginning work on a project under this contract. The level of effort required for the each Key Management Personnel shall be determined for each TO depending on the type of project and project specific needs. One person may perform the duties of more than one role if the person has the expertise and experience for both positions, based on the specific requirements of the TO. At a minimum, the positions of Program Manager and Project Manager shall be prime contractor employees.
8.1.1 PROGRAM MANAGER: The Program Manager shall be responsible for the overall management of the contract including cost, schedule, and technical quality. The contractor shall designate a Program Manager as a single point of contact for coordination of program issues with the USACE. The Program Manager shall oversee the development and implementation of the contract including administration, quality control, and sub-contracting\teaming agreements. The Program Manager shall be a Senior-level staff member with a minimum of 10 years of professional experience of which 5 years are specifically related to environmental and HTRW activities similar in size and complexity to the effort described in the PWS.
8.1.2 PROJECT MANAGER(S): The contractor shall designate a Project Manager (PM) for each TO. The PM shall serve as the single point of contact for the TO and shall be responsible for the management and execution of all activities in accordance with the approved plans and specifications, statement of work, approved work plans, and all federal, state, and local laws and regulations. The PM shall be responsible for coordination between staff members on his team to ensure that all site activities are performed safely, efficiently, correctly, and with the appropriate level of quality. This person(s) may be responsible for management of one or more task orders under this contract. This individual shall have at minimum of 6 years of professional experience of which 3 years are specifically related to environmental activities similar in size and complexity to the effort described in the contract scope of work. At least one Project Manager shall have PMP Certification.
8.1.3 PROJECT ENGINEER(S): Project Engineer(s) shall be responsible for the overall planning, design, and implementation of environmental quality projects. The Project Engineer shall ensure that work is performed in accordance with established project objectives, program policies, laws/regulations, guidelines, and professional standards. These individuals shall have as a minimum a Bachelor of Science in Civil or
Environmental Engineering and at least five (5) years of experience in their area of professional expertise. At least one Project Engineer on staff shall be professionally registered.
8.14 PHYSICAL SCIENTIST(s): Physical Scientist(s) shall be responsible for the overall planning, design, and implementation of environmental quality projects. The Physical Scientist shall ensure that work is performed in accordance with established project objectives, program policies, laws/regulations, guidelines, and professional standards. This individual shall have as a minimum a Bachelor of Science in Chemistry, Geology or Environmental Science and at least five (5) years of experience their area of professional expertise.
8.1.5 NATURAL RESOURCE SPECIALIST: The Natural Resource Specialists shall perform services in support of natural resource management and in compliance with the Sikes Act, Endangered Species Act (ESA); and other applicable federal, state and local laws and regulations. This individual shall have as a minimum a Bachelors Degree in Biology, Wildlife Conservation or Forestry and at least five (5) years of experience their area of professional expertise.
8.1.6 CULTURAL RESOURCE SPECIALIST: The Cultural Resource Specialists shall perform services in support of cultural resource management and in compliance with the National Historic Preservation Act (NHPA), the Archaeological Resources Protection Act (ARPA), Native American Graves Protection and Repatriation Act (NAGPRA); and other applicable federal, state and local laws and regulations. This individual shall have as a minimum a Bachelors Degree in Archeology and at least five (5) years of experience their area of professional expertise.
8.1.7 OTHER PERSONNEL. The TOs shall require a variety of support staff for EQ program support. Support staff shall have knowledge, training, education, and experience appropriate for the TO. It is the responsibility of the contractor to obtain the necessary staffing for each TO.
8.2 REGISTRATION AND TRAINING COSTS. All registration, certification and training costs required to perform work under this contract shall be the responsibility of the contractor. This includes OSHA, asbestos certification, LBP certification, all professional registration and certification, and any other registration, certification, and training costs necessary to perform work specified in this statement of work and individual TOs. The contractor shall obtain all necessary professional registration, certification, and training in the State where work is to be performed as specified in TOs prior to the start of work.
9.0 CONTRACTOR MANPOWER REPORTING
9.1 The contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for any DoD agency via a secure data collection site.

9.2 Reporting will be at the task order level and inputs will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year. 9.3 The contractor shall include the cost to comply with this reporting requirement in the task order price. The contractor may determine whether to price as a separate CLIN or not-separately-price the requirement.

Section E - Inspection and Acceptance
52.246-4 INSPECTION OF SERVICES--FIXED-PRICE (AUG 1996)
(a) Definitions. "Services," as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.
(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.
(c) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.
(d) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties.
(e) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by reperformance, the Government may (1) require the Contractor to take necessary action to ensure that future performance conforms to contract requirements and (2) reduce the contract price to reflect the reduced value of the services performed.
(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may (1) by contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service or (2) terminate the contract for default.

52.242-15 STOP-WORK ORDER (AUG 1989)
(a) The Contracting Officer may, at any time, by written order to the Contractor, require the Contractor to stop all, or any part, of the work called for by this contract for a period of 90 days after the order is delivered to the Contractor, and for any further period to which the parties may agree. The order shall be specifically identified as a stop-work order issued under this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. Within a period of 90 days after a stop-work is delivered to the Contractor, or within any extension of that period to which the parties shall have agreed, the Contracting Officer shall either--
(1) Cancel the stop-work order; or
(2) Terminate the work covered by the order as provided in the Default, or the Termination for Convenience of the Government, clause of this contract.
(b) If a stop-work order issued under this clause is canceled or the period of the order or any extension thereof expires, the Contractor shall resume work. The Contracting Officer shall make an equitable adjustment in the delivery schedule or contract price, or both, and the contract shall be modified, in writing, accordingly, if--
(1) The stop-work order results in an increase in the time required for, or in the Contractor's cost properly allocable to, the performance of any part of this contract; and
(2) The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stoppage;
provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract.
(c) If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement.
(d) If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order.
52.242-17 GOVERNMENT DELAY OF WORK (APR 1984)
(a) If the performance of all or any part of the work of this contract is delayed or interrupted (1) by an act of the Contracting Officer in the administration of this contract that is not expressly or impliedly authorized by this contract, or (2) by a failure of the Contracting Officer to act within the time specified in this contract, or within a reasonable time if not specified, an adjustment (excluding profit) shall be made for any increase in the cost of performance of this contract caused by the delay or interruption and the contract shall be modified in writing accordingly. Adjustment shall also be made in the delivery or performance dates and any other contractual term or condition affected by the delay or interruption. However, no adjustment shall be made under this clause for any delay or interruption to the extent that performance would have been delayed or interrupted by any other cause, including the fault or negligence of the Contractor, or for which an adjustment is provided or excluded under any other term or condition of this contract.
(b) A claim under this clause shall not be allowed (1) for any costs incurred more than 20 days before the Contractor shall have notified the Contracting Officer in writing of the act or failure to act involved, and (2) unless the claim, in an amount stated, is asserted in writing as soon as practicable after the termination of the delay or interruption, but not later than the day of final payment under the contract.
Section G - Contract Administration Data
SECTION G
CONTRACT ADMINISTRATION
ENVIRONMENTAL QUALITY (EQ) SERVICES FOR AFCEC
1.0 INDEFINITE-QUANTITY, INDEFINITE-DELIVERY (IDIQ) MULTIPLE-AWARD CONTRACTS
(MATOCs)
1.1 This MATOC will include multiple indefinite-quantity/indefinite-delivery (IDIQ) contracts for in support of the AFCEC Environmental Quality (EQ) Program, primarily for work on Alaska Air Force installations.
These contracts will be the result of a single small business set-aside solicitation. The maximum combined capacity for all contracts awarded from this multiple award solicitation will be $30M, for the base period of three years and one option period of two years. The Government will not place a total dollar amount, including all task orders written from all of the multiple award contracts, over the maximum combined capacity of the contract. The maximum amount is based on the life of the contract.
1.2 The minimum guarantee for the contract shall be $10,000. There is no separate minimum guarantee for the option period. See Section H, paragraph 1.0 for additional information on the minimum guarantee.
1.3 The labor rates and indirect rates used for the negotiation and award of task orders shall be the rates on the
Key Personnel Rate Tables that correspond to the timing of the task orders’ performance period unless otherwise capped rates are negotiated.
1.4 Performance shall be authorized only by issuance of task orders by the Contracting Officer; the procedures are discussed in the Ordering Procedures paragraph below. No work will be performed prior to receiving a written and signed (by the Contracting Officer) task order. Task orders may be issued by the Contracting Officer electronically via E-mail or by hard copy. The effective date of the task order will be the date signed by the Contracting Officer.
1.5 There is no limit on the number of task orders that may be issued except that a task order may not be issued over the IDIQ contract capacity. The Government may issue simultaneous task orders requiring performance at multiple locations. See contract clause 52.216-19 for minimum and maximum order amounts.
1.6 Modifications that increase the scope of task orders must be issued within the task order performance period, but the performance period of the task order may extend beyond the contract’s ordering period. The Contractor shall complete all work described in the Scope of Work for each task order within the performance period of each task order.
1.7 Task orders will be issued as firm fixed-price (FFP).
1.8 In the event of any inconsistency between the contract and any task order, the terms and conditions of the contract shall govern.
2.0 FAIR OPPORTUNITY
2.1 More than one contract is being awarded for the same or similar work in this procurement. In accordance with FAR 16.505 all awardees under a MATOC will be given a fair opportunity to be considered for each task order in excess of $3,000 unless an exception in FAR 16.505(b)(2) applies.
2.2 The Contracting Officer need not contact each MATOC contractor before selecting an order awardee for an order under $150,000 if the Contracting Officer has information available to ensure that each MATOC contractor is provided a fair opportunity to be considered for the order.
2.3 Awardees need not be given an opportunity to be considered for a particular order if the Contracting Officer determines that:
a. The agency need is of such urgency that providing such opportunity would result in unacceptable delays;
b. Only one contractor is capable of providing the services required at the level of quality required because the services ordered are unique or highly specialized;
c. The order should be issued on a sole-source basis in the interest of economy and efficiency as a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original task order;
d. It is necessary to place an order to satisfy a minimum guarantee.
e. For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source.
f. In accordance with section 1331 of Public Law 111-240 (15 U.S.C. 644(r)), contracting officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3).
