INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS

2 DELETED 52.215-1 INSTRUCTIONS TO OFFERORS--COMPETITIVE JAN/2017

EVALUATION FACTORS FOR AWARD

M.1 Basis of Award

M.1.1 General. The Government plans to award up to eight firm-fixed-priced type purchase order(s) as a result of this RFQ to separate

Offerors competing independently that do not share a common parent, do not have a parent/subsidiary relationship with the other awardee(s), and are not affiliates (as defined in FAR 19.101) of the other awardee(s). The Government reserves the right to choose not to make any award(s) if such action is in the Government's best interest.

M.1.1.1 There are two evaluation factors:

a. Technical Factor

b. Price Factor

M.1.1.2 Award(s) decision will be made using a Lowest Price Technically Acceptable (LPTA) process. Award(s) will be made on the basis of the lowest total evaluated priced quote(s) meeting the acceptability standards for the non-cost/price factor, to offeror(s) that are eligible for award. The Government will follow the source selection process set forth in Section M.3 below.

M.1.1.3 Award without Discussions: The Government intends to evaluate quotes and select award(s) without discussions with offerors.

Therefore, the offerors initial quote should contain the offerors best terms from a price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If discussions are held, they will be conducted with all offerors included in the competitive range. Offeror(s) not included in the competitive range will be notified at time of award(s). The Government reserves the right to conduct exchanges on matters related to Eligibility, Responsibility, and/or information requested in the Administrative volume as a clarification, which would not be considered a revision to the Technical or Price quote.

M.1.2 Eligibility for Award. Award(s) will only be made to offeror(s) that are eligible for award. To be eligible for award:

a. The offeror must be registered in System for Award Management (SAM) (see provision 52.204-7); and

b. The offeror must be rated Acceptable under the Technical Factor; and

c. The offeror must be determined responsible (See Section M.3.5); and

d. The offeror must have a SECRET Facility Clearance (FCL) (See L.5.5) for the facilities identified in Sections C.13.4 - C.13.5.1 and any location that will handle classified material; and

e. The quote is affordable (See M.1.3)

M.1.3 Minimum Funding Request/Affordability. The offeror shall request a minimum of $1 in its quote. No quote will be considered for award if determined to be unaffordable. The total maximum available for funding for each award is $150,000.00.

M.2 Rejection of Offers

M.2.1 The Government may reject any quote if doing so is in the Government's best interest at any time after receipt of quote. Examples include, but are not limited to, the following conditions:

a. The quote fails to meaningfully respond to the instructions in Section L of this RFQ (e.g.. fails to respond to all items in

Attachment 0003 - Technical Information Questionnaire (TIQ); fails to provide the required substantiating evidence outlined in the TIQ, fails to follow key quote instructions or format requirements in Section L; or fails to provide data and information required in Section

L); or

b. When an offeror's quote offers a product or service that does not meet all stated material requirements of the RFQ; or

c. The quote proposes exceptions to the RFQ requirements, attachments, exhibits, enclosures, or RFQ terms and conditions; or

d. The quote contains one or more OCIs that cannot be avoided or mitigated. Refer to Section L.3 of this RFQ, "Organizational Conflict of Interest"; or

e. The quote's acceptance period does not meet the Government's required minimum acceptance period (Refer to Section L.1.2); or

f. The offeror does not have the required SECRET Facility Clearance (FCL) at time of quote submission; or

g. The offeror does not provide a completed Attachment 0004 (Certification).

9 11

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

M.3 SOURCE SELECTION PROCESS.

This action is subject to FAR 13.106-2 - Evaluation of Quotations or Offers. In accordance with 13.106-2(a)(2), all timely quotes will be considered. In accordance with FAR 13.106-2(b)(1), the Government will follow the source selection process identified below:

M.3.1 Compliance Review. After receipt of quotes, but prior to the evaluation process, the Government will perform a compliance review of the offeror's quote to determine the extent of compliance to the RFQ instructions, and whether the quote meets any of the conditions listed in M.2, Rejection of Offers. The Government reserves the right to reject an offeror's quote without further consideration prior to the Evaluation process, and offeror(s) will be notified at time of award.

M.3.2 Evaluation Process.

M.3.2.1 Unless otherwise rejected, each quote's Price volume will first be reviewed to determine a Total Evaluated Price.

M.3.2.2 The Government will then conduct an evaluation of the Technical Factor quote on an Acceptable/Unacceptable basis on the offeror(s) with the lowest Total Evaluated Price. If any of the lowest total evaluated priced quote(s) are determined to be Unacceptable or are otherwise ineligible for award, then the Government will conduct a technical evaluation on the next lowest total evaluated priced offeror's quote if there are less than eight technically acceptable quotes. Unless the Government determines it is in its best interests to conduct discussions, the Government will follow this process until up to eight of the lowest total evaluated price, technically acceptable quote(s) are identified.

M.3.2.3 The Government will then conduct an assessment of price reasonableness of the lowest priced, technically acceptable offeror(s).

M.3.2.4 The Government reserves the right to conduct additional technical and/or price evaluations on other quote(s) received in response to this RFQ in order to determine price reasonableness of the lowest priced, technically acceptable offer.

M.3.2.5 The Government reserves the right to conduct discussions at any time, which would be conducted with all offerors determined to be in the competitive range.

M.3.2.6 Award will be made on up to eight of the quote(s) with the lowest Total Evaluated Price which are also rated Acceptable under the Technical Factor, and are otherwise eligible for award.

M.3.3 Source Selection Authority: The Source Selection Authority (SSA) is the official designated to direct the source selection process and select the offeror(s) for contract award.

M.3.4 Source Selection Evaluation Board (SSEB): A Source Selection Evaluation Board (SSEB) has been established by the Government to evaluate quotes not otherwise rejected in response to this RFQ. The SSEB is comprised of technically qualified individuals who have been selected to conduct this evaluation IAW the Evaluation Criteria for this RFQ.

M.3.5 Determination of Responsibility

Per FAR 9.103, award(s) will be placed only with an offeror that the Contracting Officer determines to be responsible. Prospective offeror(s), in order to eligible for award for this acquisition, must be able to demonstrate that it meets standards of responsibility set forth in FAR 9.104. In addition, the Government may assess the offeror's financial ability to meet the RFQ requirements. The

Government reserves the right to conduct a Pre-award Survey on any or all offerors (or its subcontractors) to aid the Contracting

Officer in the evaluation of each offeror's quote and ensure that a selected offeror is responsible. No award can be made to an offeror who has been determined not responsible by the Contracting Officer. To ensure that the offeror meets the responsibility criteria of FAR

9.101, the Government may:

a. Arrange a visit to your facility and perform a necessary Pre-Award Survey. The offeror's refusal to authorize the Government to visit the offerors facility may result in a determination that the offeror is not responsible.

And/or

b. Request an offeror provide financial, technical, production, or managerial background information. If the requested information is not submitted within seven calendar days from the date of the receipt of the request, or if an offeror refuses the Government access to its facility, the Government may determine the offeror non-responsible. If the Government visits the offeror's facility, please ensure that current data relevant to the quote is available for Government personnel to review.

M.4 EVALUATION CRITERIA
