EXECUTIVE SUMMARY:

Introduction:

Request for Proposal W56HZV-11-R-0181 (RFP) is hereby issued by the US Army TACOM Life Cycle Management Command (LCMC) for Contractor

Logistics Sustainment and Support (CLSS) for the Mine Resistant Ambush Protected Family of Vehicles (MRAP FOV).

The MRAP FOV provides unique survivability characteristics and include the basic MRAP vehicle family used for Military Police, Convoy

Escort and other missions; Route Clearance Vehicles (RCV); United States Special Operations Command (USSOCOM) vehicles, U.S. Marine

Corps (USMC) vehicles, and vehicles operated by the U.S. Air Force and Navy.

The MRAP FOV provides enhanced capability to defeat Improvised Explosive Devices (IEDs), Vehicle Borne Improvised Explosive Devices

(VBIEDs), Small Arms Fire (SAF) and underbody mines. The MRAP FOV are manufactured by several suppliers and are currently supporting

U.S. Forces supporting Operation New Dawn (OND) and Operation Enduring Freedom (OEF).

The CLSS effort will provide the critical logistics support for all configurations of the MRAP FoV used by U.S. Forces, as well as Other

Government Agencies (OGA) and Coalition Forces (CF) using the MRAP FOV.

Industry Day: 15 Apr 2011

Formal Solicitation (RFP): 7 Jun 2011

Proposals Due: 22 Jul 2011

Award: 15 Nov 2011

Contract Performance Requirements:

2 125

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

Field and Sustainment Maintenance and Repair Support

Fielding and New Equipment Training (NET) Support

Battle Damage Assessment & Repair (BDAR)

Repair Parts Supply and Management

Vehicle Modifications (survivability upgrades, safety modifications, Maintenance Work Orders and other system improvements)

Transportation Support for inbound and outbound major and secondary items to include Radio-frequency Identification (RFID) tagging

Configuration Management

Maintenance and Upgrade of existing facilities and equipment in support of mission requirements

Contract Type:

The Contract will include both Firm Fixed Price and Cost Plus Fixed Fee CLINs. Specifically, the Phase-in CLIN will be Firm Fixed Price, and all Contractor Logistics Sustainment Support Operational Readiness CLINs will be Cost Plus Fixed Fee Level of Effort (LOE).

The contract will be a 5 year effort:

Phase-in: 6 months

Early Operational Readiness: Overlaps with Phase-in

Operational Readiness- Base Period: 8 Months

Operational Readiness Option Years 1-3: 12 months (each option)

Operational Readiness Option Year 4: 10 months

A maximum quantity of 32,280,360 Level of Effort man hours are available to be awarded over the life of the contract.

Payment of fee for the LOE hours shall occur in accordance with the provisions listed in B.4.1 and H.13. No Fee will be applied to

Material, Travel and Other Direct Costs.

Performance Locations:

The locations where services will be provided under this contract have been broken into three worldwide geographical areas:

AOR (Area of Responsibility): Iraq, Afghanistan, and Kuwait (at award of contract the predominance of the work will be in the

AOR).

CONUS (Contiguous United States): Alaska and Hawaii are considered OCONUS

OCONUS (Outside CONUS): with the exception of the AOR as defined above (current known OCONUS locations are Germany and Korea).

Contract Performance Metrics:

The acquisition is based on a Performance Statement of Work (PWS) which defines requirements in clear, concise language and focuses on specific work outcomes, or performance metrics, to ensure that the outcomes are measurable to the greatest extent practicable. Failure to achieve these outcomes consistent with the PWS and Quality Assurance Surveillance Plan (QASP) may result in initiation of a Contract

Discrepancy Report (CDR) and payment withhold as identified in the QASP. The six metrics are:

Maintain a 90% Fully Mission Capable Operational Readiness Rate (ORR)

Sustain a 95% compliance to repair standards;

Repair cycle times not to exceed 15 days non-mission capable over a 60 day period;

Purchase order wait time not to exceed a 30 day average (over a 90 day period);

Not more than 5% of systems repaired will be returned for the same fault within 200 hours;

Class IX parts repaired and returned to stock or disposed of within 90 days of removal 95% of the time.

3 125

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

Acquisition Description:

The Contractor shall provide the Contractor Logistics Sustainment Support services as described in Section C, PWS, of this solicitation.

All CPFF LOE efforts to be performed under the resultant contract will be initiated by the issuance of work directives as detailed in

Section B. The first work directive will be issued upon contract award and will provide the number of hours, skill mix, performance locations, material and Other Direct Costs (ODCs) authorized for the period of performance specified in the work directive. The Period of Performance will cover the timeframe that Early Operational Readiness (EOR) begins through the conclusion of the base Operational

Readiness period.

The contract will consist of two (2) contract types: a Firm Fixed Price Phase-In period of six (6) months and a Cost Plus Fixed Fee

(CPFF) Operational Readiness period of eight (8) months. The contract also includes three (3) 12 month CPFF Option periods and one (1)

10 month option period. These phases are further described below.

a) Phase-in Period (FFP): This period begins at Contract Award shall not exceed 180 days after award.

b) Early Operational Readiness (EOR) Period (CPFF): To the extent that EOR is proposed by the Offeror, the beginning of this period is defined by the Offeror and will end 180 days after award. The beginning of this period is equivalent to the first day after the first employee has arrived at their duty location and completed the transition with the incumbent personnel.

c) Operational Readiness (OR) Base Period (CPFF): This eight (8) month period begins at the end of the Phase-in Period (181 days after award).

d) Operational Readiness (OR) Option Periods(CPFF): This period begins after the Operational Readiness Base Period ends and covers four option periods: three 12 month option periods, and one 10 month option period.

The Phase-in Period will be Firm Fixed Price and should include all costs necessary to complete the phase-in requirements as defined in the PWS. Phase-in is the effort required to provide the necessary personnel to the locations specified in the RFP. Phase-in must be completed 180 days after award. The solicitation does allow offerors to propose Early Operational Readiness (EOR) prior to the end of the 180 day Phase-In period. EOR allows for the contractor to begin performing all tasks as outlined in the PWS that are not related to the Phase-in scope of work. The personnel required to phase-in, and if proposed, begin performing under EOR, do not have to be proposed all on one date. The transition of personnel from Phase-in to EOR can occur on a rolling basis subject to the limitations found in this

RFP. As Phase-In is completed for each employee, and EOR (or Operational Readiness if EOR is not proposed), begins the contract type will be transitioned for that employee from the FFP Phase-in to a Cost Plus Fixed Fee Term Form, also described as a Level of Effort, (CPFF LOE) arrangement.

The contractor will face constraints in its ability to phase-in employees to the AOR. These constraints include, but are not limited to:

CONUS Replacement Center (CRC) throughput constraints

MRAP University throughput constraints

Government transportation throughput constraints

These constraints relate to the ability to timely process significant quantities of personnel through the above activities in order to support the 180 day phase-in requirement.

Evaluation Factors for Award

A formal Best Value source selection will be conducted. Award will be made on a FAR Part 15 Source Selection Trade-off basis to the offeror whose proposal represents the best overall value to the Government.

The evaluation factors are as follows:

Phase-in

Cost/Price

Past Performance

Small business participation

Phase-in is more important than Cost/Price. Cost/Price is significantly more important than Past Performance. Past Performance is significantly more important than Small Business Participation. Taken together, Phase-in and Past Performance and Small Business

Participation are significantly more important than Cost/Price.

Evaluation of Cost/Price and Phase-in Factors:

For the purposes of offeror proposal preparation and Government evaluation under the Cost/Price and Phase-in factor evaluations, it is assumed the first Operational Readiness Work Directive issued will result in staffing of personnel, in the AOR, CONUS and OCONUS, as specified in Attachments 11 and 12.

4 125

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

Important Considerations:

-Phase-in period is 180 days. However offerors may propose to phase-in earlier than 6 months to commence Early Operational

Readiness during the 180 day phase in period

-Work will be located principally at Government sites (all efforts in the AOR will be performed at Government locations)

-All facilities and equipment, transportation to and within the AOR, housing in the AOR, and meals in the AOR will be provided by the Government

-All service kits, repair parts and service parts needed for repair of an MRAP vehicle will be provided to the contractor as

GFE. For RCV and SOCCOM Repair Part requisitioning will be accomplished through normal Army supply channels as a mandatory first preference

-All employees require at least a Favorable Background Clearance; work in USSOCOM areas and on USSOCOM vehicles require Secret clearances.

-All employees require a Common Access Card (CAC)

-Mechanics must complete training at MRAP University or receive a Government waiver

-In the AOR, the contractor shall perform services 12 hours per day/7 days per week, to include on-call and after-hours responses if needed to accomplish the mission. In CONUS and OCONUS, the contractor shall perform services 8 hours per day/5 days per week.

-Note that certain attachments to the RFP have limited distribution and/or export controlled statements in accordance with DoD Directive, Distribution Statements on Technical Documents.

Use of Foreign Nationals (FNs), Local Nationals (LNs), and Third Country Nationals (TCNs):

The Offeror is cautioned that use of FNs, LNs and TCNs will be constrained due to various requirements contained in the PWS, such as, but not limited to, ITAR compliance, SOCOM requirements, Security provisions, CAC Cards, MRAP Security Classification Guidance and MRAP

U attendance. Consequently, the Offeror should carefully consider the practicality of any reliance on FNs, LNs and TCNs for this contract.

PRE-SOLICITATION CONFERENCE

As publicized, the government has scheduled a pre-solicitation (Industry Day) conference for Friday, April 15, 2011 from 7:30 a.m. 4:30 p.m. at the Dearborn Hyatt Regency. Details for the conference can be found at the following website:

http://contracting.tacom.army.mil/majorsys/mrap_cls/contractorlogisticssustainmentsupport_cls2.htm

If interested in attending, please click on the link above to register. Attendance is not mandatory for participation in the acquisition. As a result of discussions that day, the Government may incorporate changes to the final RFP before it is officially released.

Offerors are encouraged to provide feedback to the selected contract type, structure, and evaluation criteria during the draft RFP period and Industry Day.

Publication of this proposed acquisition strategy in no way obligates the Government to conduct the proposed acquisition or, if the acquisition is carried out, to structure that acquisition precisely as described above. The proposed strategy is subject to change or cancellation without notice to the public.

During the pre-solicitation phase the Government will review all interested party submissions and make appropriate revision to the DRFP, leading to the scheduled final RFP release on 7 June 2011. Written submission of questions on draft documents should be addressed to the

Point of Contact (POC) listed below .

POC: ATTN: Ardella Anderson and Alton Marks, email: DAMI_AMS_MRAP_CSS@conus.army.mil

During the pre-solicitation phase, the Government may not individually respond to the questions and comments received. This includes comments/questions received at the pre-solicitation conference. Rather, the Government intends on analyzing and consolidating the questions and comments received to determine whether to make changes to the final RFP documents. The Government also intends to

(2) The Labor categories that are required to accomplish the work

(3) The locations the work shall be performed at

(4) The Material costs, Other Direct Costs, and Travel costs that will be required to perform the work

(5) Period of Performance for the effort to be performed

(6) Identification of the Contract Line Item Number (CLIN) under which the work is to be performed.

(b) The Government has the unilateral right to increase, decrease and prioritize the work to be performed hereunder by the issuance of

Work Directives by the Contracting Officer. It is understood and agreed that such adjustments shall be made within the general scope of work and level of effort of the contract and without equitable adjustment thereto.

(c) If, at any time, the Contractor has reason to believe that the hours which it expects to incur in the performance of a Work

Directive, when added to all hours incurred previously in performance of such Work Directive, shall exceed the estimated total hours set forth in the Work Directive, the Contractor shall notify in writing the Contracting Officer and Technical Representative

for their appropriate action. The Contractor shall furnish a revised statement of total hours to complete such work together with said notice. Said notice must be furnished as early as possible and prior to the incurrence of additional hours.

B.4 The estimated cost and fixed fee for labor hours, and estimated costs for material and ODC's under each CLIN are based upon the contractor furnishing the maximum level of effort specified at the CLIN level during the period of performance set forth in Section F and required in the work directive.

The Government will utilize the calculated Fixed Fee rate per hour found on attachment 12, times the amount of hours required on the

Work Directive to determine the total fixed fee for that Work Directive. Please note this Fixed Fee rate per hour is a composite fixed fee rate and will not be adjusted to account for the specific mix of labor categories required on the Work Directive. Changes to the types of labor categories on the work directive will not result in an adjustment to the fixed fee, provided the amount of hours required on the work directive remain unchanged.

PLEASE NOTE FOR DRAFT RFP PURPOSES THIS CALCULATION HAS NOT BEEN PROVIDED. THIS CALCULATION WILL BE FORTHCOMING

In order to estimate the costs of the labor hours, the Govenment will utilize the labor rates provided in attachment 12 for each of the labor categories required on the work directive.

To support payment for work performed under this contract, the contractor shall, on each voucher submitted, state the level of effort expended and shall certify that said level of effort has been expended in the accomplishment of the work called for by the contract.

Expenditure of labor hours in excess of the quantity specified is not authorized. Allowable cost shall be determined and payment shall be as provided in the Section I clause entitled ALLOWABLE COST AND PAYMENT, FAR 52.216-7.

B.4.1 A fixed fee, as set forth at the CLIN, shall be paid for the labor at the completion of the period of performance set forth in

Section F of this contract, upon certification of the contractor that he has exerted the level of effort specified for the CLIN in performing the work called for herein, and such performance is considered satisfactory by the Contracting Officer. No fee shall be applied to Material, Other Direct Costs and Travel. However, the contractor may present with each voucher for its labor costs, a fee voucher in the amount bearing the same relation to the CLIN fixed fee as the accompanying labor cost voucher bears to the applicable

CLIN cost. Payment of the fixed fee shall be subject to the withholding set forth in Paragraph (B) of the Section I general provision entitled FIXED FEE, FAR 52.216-8.

B.4.2 The creation of additonal CLINs may become necessary when a situation arises or speical funds need to be isolated from other funds in a particular CLIN. Existing rates (labor) shall be used.
