(a) Definitions. As used in this clause-- Internal confidentiality agreement or statement means a confidentiality agreement or any other written statement that the contractor requires any of its employees or subcontractors to sign regarding nondisclosure of contractor information, except that it does not include confidentiality agreements arising out of civil litigation or confidentiality agreements that contractor employees or subcontractors sign at the behest of a Federal agency.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Technical Capability and Price
Technical: In accordance with Title 7 Code of Federal Regulations §330.400-§330.403 and Title 9 Code of Federal Regulations §94: Any individual, corporation, company, association, firm, partnership, society, or joint stock company, engaged in the business of handling or disposing of garbage in accordance with the regulations must first enter into a Compliance Agreement with United States Department of Agriculture (USDA) Animal and Plant Health Inspection Service (APHIS).
Due to the critical nature of this requirement, offerors are required to submit an executed compliance agreement at the time of quote submission in order to be deemed technically acceptable. The purpose of this requirement is to mitigate the risk to the Government of an offeror being awarded a contract but not being able to perform because the required compliance agreement is not in place. The compliance agreement template has been included as Attachment 1 to this solicitation.
Price: Offerors shall fill in unit and total prices for each year as well as total overall price on Attachment 2, Price Schedule in order to be deemed responsive.
Award will be made to the lowest priced offeror who is deemed technically acceptable IAW the criteria above.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
