About this file
This is a template purchasing agreement between the University of Connecticut and a contractor for the provision of a comprehensive Student Health Insurance Plan (RFP CDR083126) commencing with the 2027-28 academic year. The University seeks qualified student health insurance providers to deliver coverage to its student population. The contract document establishes the foundational terms and conditions governing the relationship between UConn and the selected contractor, with specific service requirements and performance standards to be detailed in Exhibit F (Scope of Services and Pricing). The contract term commences upon execution and continues through a specified end date, with incorporated documents establishing the order of precedence: State of Connecticut Terms and Conditions, General Terms and Conditions of Purchase, Confidentiality Specifications, HIPAA requirements, Network Access and Data Use Terms, and detailed Scope of Services and Pricing provisions.
The template establishes that compensation terms, including maximum amounts payable and detailed pricing structures, are to be specified in Exhibit D (which references the Scope of Services and Pricing). Payment terms provide for invoicing within forty-five days of University approval, with the University retaining the right to withhold amounts under good-faith dispute. The University is exempt from sales and use taxes in Connecticut and other states, with the contractor responsible for all applicable federal, state, and local taxes. The contract incorporates comprehensive requirements for insurance coverage, including commercial general liability ($1,000,000 per occurrence), professional liability ($1,000,000 per claim), cyber liability ($2,000,000 per occurrence annually), and other coverage in accordance with State of Connecticut Insurance and Risk Management Board requirements. The contractor must comply with extensive state and federal requirements, including nondiscrimination provisions, ethics laws, HIPAA standards for protected health information, confidentiality obligations, and background check requirements for personnel accessing campus facilities.
