About this file

This is a template professional services agreement between the University of Connecticut and a contractor for the provision of audit services related to the UConn 2000 Infrastructure Program under Connecticut General Statutes Section 10a-109z. The University seeks qualified CPA firms to perform independent audit services in support of statutory compliance requirements. The agreement establishes the framework for service delivery, with specific services, scheduling, deliverables, personnel assignments, and payment terms to be detailed in Exhibit A upon selection of the successful respondent. The contract term commences upon full execution by both parties and continues for a period to be specified in the final agreement, with provisions allowing the University to extend the initial term and potentially renew for additional one-year periods at its discretion. The contractor must maintain regular status meetings with UConn, provide progress reports as requested, and notify the University immediately of any factors that may affect performance or cause material delays.

Compensation structure and specific pricing are to be determined based on the successful proposal response and documented in Exhibit A, with invoicing occurring upon service completion or at intervals specified in the final agreement, with payment due within thirty days of receipt of a properly submitted invoice. The contractor may seek reimbursement for approved expenses in accordance with UConn's travel policy, subject to advance approval and submission of evidence of actual costs. The agreement is contingent upon annual appropriation by the Connecticut State Legislature in sufficient amounts to cover compensation for services. The University retains exclusive ownership of all work product and intellectual property created under the contract, with the contractor required to maintain comprehensive insurance coverage including commercial general liability ($2,000,000 aggregate), technology professional liability ($2,000,000), business automobile liability ($1,000,000), and workers' compensation as required by state law. The contractor must comply with all applicable state and federal requirements, including nondiscrimination provisions, ethics laws, background check requirements for personnel, and restrictions on gifts to state officials.
