About this file

This is a Trade Secret/Confidential Proprietary Information Notice form issued by the Commonwealth of Pennsylvania for use by third parties submitting materials to the state in connection with procurement opportunities. The form serves as a standardized declaration mechanism for vendors and contractors to identify and protect information they believe qualifies for exemption from public disclosure under Pennsylvania's Right-to-Know Law (65 P.S. § 67.101-67.3104). Submitting parties are required to clearly mark and document any portions of their submissions they claim as trade secrets, confidential proprietary information, or information that would jeopardize safety or security if disclosed. The form requires detailed explanations of why specific materials warrant protection and applies to various submission types including bid proposals, quotes, grant applications, statements of work, and technical schematics.

The form explicitly notes that certain information will not be considered protected without substantial justification, including vendor cost responses, technical responses that do not implicate safety or security, information already publicly available, and details regarding product names, quantities, and prices paid by the Commonwealth. The submitting party accepts full legal responsibility for the accuracy of claims and agrees to defend the Commonwealth against any legal challenges to the exemption claims, including indemnifying the Commonwealth for all costs and judgments. The Commonwealth reserves the right to reject inadequate claims of protection and may release unprotected portions of submissions while withholding only materials deemed exempt. Records must be retained according to the Commonwealth's published retention schedule, and the exemption claim survives as long as the Commonwealth possesses the materials unless the submitting party provides written notice withdrawing the protection claim.
