About this file
This is a Statement of Work template issued by the Massachusetts Health Policy Commission for contractor services in response to a Request for Quotes/Responses. The document establishes the framework for engagement between the HPC and selected contractors to provide services as detailed in individual RFQ/RFR solicitations. The SOW incorporates by reference the Commonwealth's Standard Contract Form and Terms and Conditions, the specific RFQ/RFR, and the contractor's response to the solicitation. Contract terms vary based on whether the engagement is hourly rate-based or deliverables-based, with specific termination dates to be established in individual contracts.
The payment structure accommodates both hourly rate and deliverables-based compensation models, with all rates and maximum obligation amounts detailed in Exhibit B. Hourly rates include all materials, expenses, travel, communication, overhead, and ancillary charges, while deliverables-based contracts similarly encompass all costs within specified budget amounts. Contractors must provide written notice upon reaching fifty percent and seventy-five percent of maximum obligation amounts before proceeding with additional services. The contract requires compliance with Massachusetts conflict-of-interest law, completion of mandatory ethics training by key personnel within thirty days of execution, and execution of a Confidentiality and Non-Disclosure Agreement before service commencement. All work product, deliverables, data, and intellectual property created during the engagement vest exclusively with the HPC as works made for hire, except for contractor-owned pre-existing methodologies and tools for which the HPC receives a perpetual, non-exclusive, royalty-free license. Contractors are prohibited from using artificial intelligence in service delivery without prior HPC authorization and must not disclose confidential information to any third parties or unauthorized AI tools.
