About this file
This document is a response to Request for Proposal (RFP) questions for a Professional Services Registered Dietician contract with the Delaware Veterans Home. The document addresses various administrative and contractual details, including supplemental solicitation definitions, RFP revision procedures, and critical insurance requirements. Key highlights include the State's approach to contract modifications, vendor notification processes, and specific insurance requirements for dietitian services, which include Worker's Compensation, Commercial General Liability, Automotive Liability, and Professional Liability Insurance.
The document provides detailed guidance on insurance expectations, noting that proof of insurance is typically not required during bid submission but must be provided by the finalist vendor prior to contract execution. Vendors are advised that subcontractors listed in Attachment 6 will be required to complete background checks, drug screenings, and health requirements after contract award but before providing services. The State requires a 60-calendar-day notice from vendors if they wish to terminate the contract, and the State reserves the right to terminate with a 20-day notice. The document emphasizes the importance of compliance with federal and state laws, facility policies, and the need to ensure safety and continuity of services throughout the contract period.

Response to RFP Dietician Questions
Section 1V
Professional Services RFP Administrative Information
1. Paragraph #19 Supplemental Solicitation
Q: Please clarify Supplemental Solicitation.
A: Supplemental Solicitation as the State determines may include, but are not limited to, the need to expand the scope of services, address changes in law or policy, meet emerging needs not anticipated in the original solicitation, or obtain additional qualified vendors.
2. Paragraph #21 Revisions to the RFP
Q: If there is a revision to the RFP, will the vendors receive notification to review the addendum?
A: No, vendors will not receive individual notifications. If it becomes necessary to revise any part of the RFP, an addendum will be posted on the State of Delaware’s procurement website at bids.delaware.gov.
It is the vendor’s responsibility to monitor this site for any updates, amendments, or addenda related to the solicitation.
Section V
Contract Terms & Conditions
C. General Information
Paragraph #1 As a Service subscription license costs shall be incurred …
Does this pertain to RD services?
A: No.
Paragraph #5 the State of Delaware’s standard contract will most likely be supplemented with the vendor’s software license…
Q: Is the Registered Dietician contractor required to furnish any software?
A: Not necessarily. The reference to software licenses and related agreements applies only if the contractor’s services include the use or provision of proprietary software. If the Registered Dietician contractor is not offering software as part of their services, they are not required to furnish any. Any applicable agreements, including software-related terms, will be negotiated during contract negotiations.
Paragraph #8 Insurance
Paragraph C
As a part of the contract requirements, the contractor must obtain at its own cost and expense…
Q: As this contract pertains to Dietitian services, is the vendor required to provide Worker’s Compensation, Commercial General Liability, and Automotive Liability in addition to Professional Liability Insurance?
A: Yes, the vendor may be required to provide the following types of insurance. The State has provided a general description of the types of insurance as a courtesy, however, vendors and contractors should consult with their insurance broker to obtain and provide the insurance coverage required for the services under the RFP:
1. Worker’s Compensation and Employer’s Liability Insurance:
Required if the contractor has employees. Sole proprietors or independent contractors without employees may not be required to carry this, depending on Delaware state law.
2. Commercial General Liability Insurance:
Typically required for all vendors to protect against third-party claims for bodily injury or property damage that could occur in the course of delivering services on State premises or with State clients.
3. Automotive Liability Insurance:
Required only if the vendor will use vehicles in the course of performing contract duties—such as transporting clients, staff, or traveling to multiple State sites. If no vehicle use is involved, this coverage may not be necessary.
4. Professional Liability Insurance (a.k.a. Errors & Omissions):
Yes, this is generally required for Registered Dietitian services, as it covers professional negligence, errors, or omissions in the delivery of licensed health or nutritional services.
Q: If all the stated insurance requirements must be met, when is proof of coverage for Workers’ Compensation and Commercial General Liability due? With the bid submission or after the contract is awarded.
A: Valid proof of insurance coverage for the insurances required under the RFP is typically not required but may be provided as part of bid submission but must be provided by the finalist vendor prior to the execution of the contract. The State will request valid Certificates of Insurance once a vendor is selected to begin contract negotiations. Failure to timely provide proof of the required coverage may result in forfeiture of an award.
Paragraph #18 Termination of Contract
Q; The State is terminating the contract with a 20-day notice (Termination for Cause or Convenience).
What is the notice requirement for the vendor to cancel the contract?
A: Unless otherwise stated in a contract, the vendor is generally required to provide the State with a minimum of 60 calendar days’ written notice prior to terminating a contract. This allows the State adequate time to transition services and ensure continuity of operations. Vendors should refer to the executed contract for specific termination clauses or alternative notice requirements.
Paragraph #25 Vendor Background Check Requirements
Q: Will the subcontractors identified in Attachment 6 be required to complete background checks, drug screens, health requirements, etc., after the contract is awarded and before they are approved to provide services?
A: Yes. All subcontractors listed in a vendor’s Attachment 6 will be required to complete and pass all applicable pre-service requirements—including but not limited to background checks, drug screening, and health clearances—after the contract is awarded but prior to the State approving the subcontractors to provide services. These requirements must be met in accordance with federal and State laws and regulations and facility policies to ensure the safety and compliance of all personnel working under the contract.
