Justification for Other than Full and Open Competition

Under Authority of 10 U.S.C. 2304(c)(l)

Full Foodservice Prime Vendor for Customers

In Northern Europe

1. Defense Logistics Agency (DLA) Troop Support, Subsistence Supply Chain, is the contracting activity.

2. The action being approved is the ability to solicit for DLA requirements on an other than Full and Open Competition basis.

3. The proposed acquisition will be an indefinite-delivery, indefinite-quantity, fixed price with Economic Price Adjustment (EPA) bridge contract for a period of274 days to provide perishable and semi-perishable subsistence supplies to authorized customers in the Northern Europe Area of Responsibility (AOR). The proposed period of performance will allow time for a new, competitive award to be made, and will include coverage for the 180 days needed for the implementation of that competitive contract. The implementation period will transition operations between the current and follow on contract and will involve actions which include, but are not limited to, establishing new, fully-operational catalogs, establishing Electronic Data Interchange (EDI) support systems, receiving inventory, and obtaining Government clearances and base access. The supplies to be acquired are commercial food items, which are distributed to ordering facilities by Theodor Wille Intertrade (TWI), the current Prime Vendor contractor. The estimated contract value of the proposed bridge contract is $25,000,000.00. The proposed guaranteed minimum dollar value is $2,500,000.00 or 10% of the estimated contract value and the proposed contract maximum dollar value is $50,000,000.00 or 200% of the estimated contract value. The necessary funds for the guaranteed minimum will be reserved after the approval of the Justification for Other than Full and Open Competition and obligated upon award.

4. The statutory authority permitting other than full and open competition is 10 U.S.C. 2304( c )(1 ), as implemented by FAR 6.302-1 Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. The use of this authority is necessary because the required foodservice supplies are available only from the current contractor in the timeframe required, and award to any other source would result in unacceptable delays in fulfilling the agency's requirements. The cunent Prime Vendor contract for foodservice support in the Northern Europe AOR, contract SPE300-17-D-4025 with TWI, was awarded on July 04, 2017and expires July 04, 2018. The follow-on acquisition has not yet been awarded. The proposed action will result in the award of a bridge contract to TWI, effective July 05, 2018 through April 04, 2019, a period of274 days.

This bridge contract is necessary due to several unforeseen issues that caused delays with the award of a follow-on procurement. Solicitation SPE300-17-R-0016, the follow-on solicitation for Subsistence Prime Vendor support in the Europe region (inclusive of Northern Europe), was issued on December 1, 2016, with a closing date of January 20, 2017.
