(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $100.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor --

(1) Any order for a single item in excess of $800,000.00;

(2) Any order for a combination of items in excess of $2,515,330.00; or

(3) A series of orders from the same ordering office within fifteen (15) days that together call for quantities exceeding the limitation in subparagraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal

Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the

Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within five (5) days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

(End of Clause)

52.216-22 – INDEFINITE QUANTITY (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the

Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and

Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after one year after the last day of Ordering Period 5.

FAR 52.217-8 --Option to Extend Services (NOV 1999)

Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the

Contractor within 60 days from the expiration date of the contract.

FAR 52.219-6 – NOTICE OF TOTAL SMALL BUSINESS SET-ASIDE (DEVIATION 2019-O0003).

(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities.

Any work that a similarly situated entity further subcontracts will count toward the 85 percent subcontract amount that cannot be exceeded; or

(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the

ADDENDA TO FAR 52.212-2 EVALUATION – COMMERCIAL ITEMS (OCT 2014)

The Government will award one (1) contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The

Government intends to award one contract to the responsive, responsible offer using the Lowest Technically

Acceptable Price process, with the lowest overall price for all CLINs. Award will be made on all or none basis. In order to be considered for award, an offer must be provided for all CLINS. Technical tradeoffs will not be made and no additional credit will be given for exceeding acceptability. Award will be made to the acceptable offeror with the overall lowest evaluated price, inclusive of options, which is deemed responsible in accordance with the Federal

Acquisition Regulations (FAR). The requirements include all stated terms, conditions, completion of representations and certifications, and all other requirements of this solicitation. The Government intends to award without discussions; therefore, the initial offer should contain the offeror’s best terms from a price and technical standpoint.

http://www.sam.gov/

However, the Government reserves the right to conduct discussions if determined necessary by the Contracting

Officer.

Request for Quote shall be evaluated for acceptability or unacceptability only and shall not be rated. Award will be based on the overall lowest evaluated price of the quotes meeting or exceeding the acceptability standards for the non-price factors. Any offeror who has submitted a technically acceptable quote and who has been found to have an acceptable past performance will then have the quote evaluated for lowest price.

This competition is not being conducted using FAR Part 15 procedures. The award decision process is being conducted under FAR Part 12.6 and FAR Part 13.5. IAW FAR Subpart 13.106-2(b)(3), the Government does not intend to conduct discussions but reserves the right to hold discussions if deemed necessary by the Contracting

Officer. The Government reserves the right to seek clarifications, i.e., "limited exchanges" between the Government and interested bidders that may allow bidders to clarify certain aspects of their quotes or to resolve minor or clerical errors.

The Government reserves the right to evaluate quotes and may seek to make an award without asking for revised quotes. Accordingly, contractors are encouraged to provide their most realistic and competitive terms with their initial quotes.

If the Contracting Officer does determine it is in the Government’s best interest to conduct communications with offerors, and a contractor is given an opportunity to correct any deficiencies in a quote, and after correction the quote is still determined to be unacceptable, such determinations will be cause for rejection of the quote. No offeror will be given an unlimited amount of opportunities for correction of a quote. The Government reserves the right to make a final determination whether a quote is acceptable or unacceptable solely on the basis of the information submitted and proceed without requesting additional information.

The following non-price factors shall be used to determine acceptability of a quote:

Factor 1: Technical Capability

Factor 2: Past Performance

Factors 1 and 2 shall be evaluated on an Acceptable/Unacceptable basis. To be considered acceptable and eligible for award, an offeror must address separately all the factors set forth in accordance with the instructions of this solicitation. A major item and/or gross omission which precludes meeting solicitation objectives that cannot be corrected prior to or during communications without major revision or complete resubmission of the quote will cause a quote to be found technically unacceptable.

FACTOR 1: TECHNICAL CAPABILITY

The Government intends to evaluate quotes in response to this solicitation and will award one Indefinite Delivery, Indefinite Quantity contract to the responsible offeror with the technically acceptable lowest price offer. The

Government will evaluate the Offeror’s Technical Capability to determine acceptability of the Offeror’s proposal.

Technical Capability will be evaluated on an acceptable/unacceptable basis.

To be technically acceptable, the Offeror’s proposal must comply with the requirements of law, regulation, and all conditions set forth in this solicitation. To be technically acceptable, the Offeror must demonstrate a clear understanding of the requirements of the solicitation. To be acceptable, the Offeror must submit upon request of the

Contracting Officer, current certification by the National Association of the Deaf or the Registry of Interpreters for the Deaf for each interpreter proposed to perform under this contract. To be technically acceptable, the offeror must clearly demonstrate its ability or discuss how they will process Government task orders and meet contract delivery timeframes.

Failure to provide a complete, detailed, realistic, and reasonable proposal may reflect a lack of understanding of the requirements, and may result in a determination that the Offeror’s proposal is unacceptable. The Government does not assume a duty to search for clarification data to cure problems or inconsistencies with an Offeror’s proposal.

FACTOR 2: PAST PERFORMANCE

By past performance, the Government means the offeror’s record of conforming to the solicitation specifications and to standards of good workmanship; the offeror’s adherence to contract schedules, including the administrative aspects of performance; the offeror’s reputation for record of reasonable and cooperative behavior and commitment to customer satisfaction; and generally the offeror’s business-like concern for the interest of the customer. Evaluation of past performance will be a subjective assessment based on consideration of all relevant facts and circumstances. It will not be based on absolute standards of acceptable performance. The Government is seeking to determine whether the offeror has consistently demonstrated a commitment to customer satisfaction and timely deliveries. Offerors who have submitted a technically acceptable quote will be given an opportunity to address any unfavorable reports of past performance. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror will not be evaluated favorably or unfavorably on past performance. The minimum criteria for acceptability for this factor shall be the submittal by the offeror of past performance information from three (3) sources that clearly indicate that the offeror has satisfactorily performed American Sign Language Interpretation Services either commercially or for the Government within the past three (3) years. This past performance information shall include the following:

a. Contractor Name

b. Name of the customer/agency

c. Contract/Purchase Order Number

d. Customer Point of Contact (provide name, telephone number, and email address)

e. Length of contract/period of performance (dates)

f. Dollar Amount of Contract (initial price and final price)

g. Description of service performed

h. A narrative synopsis that describes the specific nature of the work; similarities with the proposed work; and the relevant experience gained.

The Government is not limited to the information provided above, but reserves the right to independently seek past performance information through open market contacts, government systems, and other government agencies.

PRICE

The offeror shall complete Attachment 3 – Schedule of supplies/services. If a quote has been determined acceptable under each of the non-price factors listed above, the Government will then evaluate the quote for the lowest price.

The proposed total price, the sum of the total amount for all CLINS, between offers that are determined to be technically acceptable will be the determining factor in the selection of a quote for award. Price analysis shall not be conducted on offers or offerors determined to be unacceptable for award. Government will perform a price analysis to determine the reasonableness of proposed price in accordance with FAR 15.404-1(b). The Government will utilize a comparison of proposed prices received in response to the solicitation.

(a) Award will be based on the overall lowest priced quote that meets or exceeds the acceptability standards for the non-cost factors.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

FAR 52.209-5 – CERTIFICATION REGARDING RESPONSIBILITY MATTERS (OCT 2015)

(a)

(1) The Offeror certifies, to the best of its knowledge and belief, that --

(i) The Offeror and/or any of its Principals --

(A) Are [_] are not [_] presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have [_] have not [_], within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

(C) Are [_] are not [_] presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision; and

(D) Have [_], have not [_], within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples.

(i) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek

Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.

Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has [[_] has not [_], within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) “Principal,” for the purposes of this certification, means an officer; director; owner; partner; or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;

head of a division or business segment; and similar positions).

This Certification Concerns a Matter Within the Jurisdiction of an Agency of the United States and the Making of a

False, Fictitious, or Fraudulent Certification May Render the Maker Subject to Prosecution Under Section 1001, Title 18, United States Code.

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror’s responsibility.
