About this file

This document is a memorandum from the Office of the Arizona Attorney General (AGO) Operations Division/Procurement Section, specifically authored by Cindy Palmer, the Chief Procurement Officer. The memorandum pertains to a procurement action involving ThoughtSpan Technology LLC, addressing a contract for a Consumer Complaint Management Software System initially awarded in April 2015.

The memorandum details a contract renewal and continuation for software maintenance, which was originally procured through an RFP issued on August 27, 2014. The contract was renewed for 48 months under the original contract's Special Terms & Conditions, Section 2.4. The AGO is seeking to negotiate further with ThoughtSpan Technology LLC, citing cost-effectiveness of maintaining the current software versus replacing it, as well as the significant staff training investment. The procurement is being processed under A.R.S. § 41-2537, which allows for direct negotiation when competitive quoting is not practicable, with the goal of securing a contract advantageous to the AGO and the State of Arizona.

OFFICE OF ATTORNEY GENERAL KRIS MAYES

OPERATIONS DIVISION/PROCUREMENT SECTION

MEMORANDUM

TO: Procurement File: AG14-0029

FROM: Cindy Palmer, Chief Procurement Officer

DATE: October 2, 2023

RE: Competition Not Practicable in Accordance with A.R.S. § 41-2537

The Office of the Arizona Attorney General (AGO) issued an RFP for a Consumer Complaint Management Software System on August 27, 2014. The award was made to ThoughtSpan Technology LLC on April 3, 2015.

The contract was renewed for 48 months pursuant to Special Terms & Conditions, Section 2.4. The AGO is satisfied with the software and continues to use it.

It would be advantageous to the State, the Office of the Arizona Attorney General, to negotiate a contract with ThoughtSpan Technology LLC to maintain and update the software. The software continues to work well and it is much cheaper to maintain the software than to replace it. The AGO has also invested much in training staff to use the software. The cost for retraining can be expensive. This should save the State time, effort and money and also result in a more favorable outcome for the State.

This procurement is determined not practicable to quote per A.R.S. §41-2537. A contract advantageous to the AGO and the State of Arizona shall be negotiated with ThoughtSpan Technology LLC.

This is in accordance with A.R.S. § 41-2537.

Cindy Palmer Chief Procurement Officer
