Note: Hand-carried, mailed, or facsimile offers are not acceptable forms of transmission of initial proposals or revisions to initial proposals.
E-mail offers are acceptable, and the suggested form of transmission, for submission of initial proposals. E-mail offers should be sent to the Contract Specialist, Madelyn Kane (Madelyn.Kane@dla.mil) and the Contracting Officer, Matthew Conroy (Matthew.conroy@dla.mil).
Note:
Offerors are advised that DLA Troop Support systems have certain email size and transmission limitations. Proposal submissions must be prepared accordingly. Individual email attachments should not exceed 5MB in size, and no individual email should exceed more than 10 MB per email (multiple email submissions may be necessary). When submitting multiple emails as a submission, label each email with a number (e.g., 1 of 8), accordingly. After transmitting an email submission, offerors should confirm receipt of all emails with the intended recipients.
It is an offeror's responsibility to ensure its entire proposal is received by the date and time specified; emails must be transmitted in sufficient time to ensure and confirm receipt by the Government. Offerors are advised that DLA Troop Support's email system may rely on several different servers and/or security firewalls. As a result, there may be a lag time between the date/time stamp the offeror sends an offer via email and the date/time stamp indicates the offer is received by the authorized email address. For the purposes of establishing the timeliness of a proposal, only the date/ time indicated by the authorized email address as having been received will be used. Any offer that is received by the authorized email address with a date/time stamp after the closing date/time of the subject solicitation will be considered late, regardless of the date/time when the email was sent or when initially received by Government servers. Late proposals will not be accepted or considered.
As directed by the Contracting Officer, e-mail may also be used during discussions/negotiations, if discussions/ negotiations are held, and for proposal revision(s), including Final Proposal Revision(s). The Contract Specialist, Madelyn Kane (Madelyn.Kane@dla.mil) and the Contracting Officer, Matthew Conroy (Matthew.conroy@dla.mil) may receive the e- mailed proposal revisions. If and when a request for proposal revision is issued, the date and time for receipt of proposal revisions, will be designated in that request. Submission of proposals and any revisions are subject to the terms of FAR 52.215-1.
Note: The Government reserves the right to evaluate offers and make award without discussions with offerors.
Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint.
However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.

CAUTION - CONTRACTOR CODE OF BUSINESS ETHICS
FAR Part 3.1002(a) requires all Government contractors to conduct themselves with the highest degree of integrity and honesty. Contractors should have a written code of business ethics and conduct. To promote compliance with such code of business ethics and conduct, contractors should have an employee business ethics and compliance training program and internal control system that is suitable to the size of the company and extent of its involvement in Government contracting, that facilitates timely discovery and disclosure of improper conduct in connection with Government contracts, and ensures corrective measures are promptly instituted and carried out. A contractor may be suspended and/or debarred for knowing failure by a principal to timely disclose to the Government, in connection with the award, performance, or closeout of a Government contract performed by the contractor or a subcontract awarded there under, credible evidence of a violation of federal criminal law involving fraud, conflict of interest, bribery, or gratuity violations found in title 18 of the United States Code or a violation of the False Claims Act. (31 U.
S.C. 3729-3733)
This solicitation and the resulting contract includes FAR clause 52.203-13 - CONTRACTOR CODE OF BUSINESS ETHICS AND CONDUCT; contained elsewhere in the solicitation or contract. The contractor shall comply with the terms of the clause and have a written code of business ethics and conduct; exercise due diligence to prevent and detect criminal conduct; promote ethical conduct and a commitment to compliance with the law within their organization; and timely report any violations of federal criminal law involving fraud, conflict of interest, bribery or gratuity violations found in title 18 of the United States Code or any violations of the False Claims Act. (31 U.S.C.
3729-3733)
**NOTE: Offerors must be registered in the System for Award Management (www.SAM.gov). Those not registered in SAM may be considered non-responsible. Upon registration, a CAGE code will be assigned to the registered firm. This code must be placed in the box next to “code” in block 15A of the cover sheet.
All clauses incorporated in full text throughout the entire solicitation must be filled out as applicable.
FOB Origin terms are applicable to this solicitation.
Refer to Section L for contracting pricing and instructions on certified cost or pricing data.
SECTION B - SUPPLIES OR SERVICES AND PRICES OR COSTS

B. Delivery Schedule
The Tray Ration Heater System (TRHS) and associated parts will have an indefinite number of delivery orders.
Delivery is FOB Origin to CONUS and OCONUS locations. Required Delivery Date is 90 Days ADO for all items.
B-2 General Information
The effective term of the contract will contain five (5) consecutive tiered delivery periods. Each tier will be 365 days in length. The first delivery period will begin upon date of award, unless otherwise specified in the resultant contract.
This is a sole source solicitation, for Other Than Full and Competition . The North American Industry Classification System (NAICS) code under this solicitation is 333241 (500 employees).
CONTINUATION SHEET REFERENCE NO. OF DOCUMENT BEING CONTINUED: PAGE 6 OF 39 PAGES
B-3 Pricing
The effective period of the contract for Tier 1 will be from the effective date of award through 365 days. Tier 2 will begin after the 365th day of Tier 1 and will be the same length of 365 days. The same pattern will follow for Tiers 3,4, and 5. The performance period of the contract will end on the 365th day of Tier 5.
The resultant contract will contain Fixed Price, with Economic Price Adjustments (EPA) pricing terms. Pricing will differ per tier depending on the EPA calculated for that given line item. Failure to indicate an offer on all lines items could result in rejection of the offeror's entire proposal.
Note: Pricing must be made on an FOB Origin basis. Prices per delivery order will be based on the tier period an order is placed, not when an order is shipped or delivered. For example, if an order is placed during tier 2, but delivery is made during tier 3, then the prices in effect for that order will be the tier 2 price.
B-4 Indefinite Quantity Contract
This solicitation will result in an Indefinite-Quantity Contract (IQC), as provided in FAR Clause 52.216-22 Indefinite Quantity (OCT 1995). In an IQC, the Government awards a range of quantities rather than a single fixed quantity. The bottom of the range is the minimum (the IQC minimum quantity), which the Government is obligated to order, and which is all it is committed to order. The top of the range is the maximum (The IQC maximum quantity) which is the largest quantity the Government may order, and which the contractor agrees to provide if ordered. The Government may order a quantity within that range. Sometimes an estimated quantity is stated also, which may be the same as the minimum or the maximum, or it may be a quantity within the IQC range.
The resultant contract from this acquisition will utilize dollar values as the guaranteed minimum and maximum IQC ranges in accordance with FAR 16.504(a). The guaranteed minimum dollar value will be the total value of delivery orders the government orders under this resultant contract. The Government reserves the right to order any line item at any total quantity over five years to fulfill this obligation. The maximum dollar value of this acquisition will be the total value of delivery orders the Government can order under this resultant contract.
The IQC Dollar Values are below:
Guaranteed Minimum Dollar Value (Over a 5-year period): $2,600,000.00
Maximum Dollar Value (Over a 5-year period): $25,760,000.00

warrants that --
(1) The base unit prices set forth in the Schedule do not include allowances for any portion of the contingency covered by this procurement note; and
(2) Prices invoiced shall be computed in accordance with the terms of this procurement note.
(b) Definitions. As used throughout this procurement note --
(1) "Index", for the purpose of price adjustment under this procurement note, means the Producer Price Index(es) reported in the monthly publication entitled, “Producer Price Indexes”, published by the United States (U.S.)
Department of Labor (DOL), Bureau of Labor Statistics (BLS) for the following code number(s) and title(s):
TITLE INDEX #
US, PPI, Heating Equipment WPIP106
US, PPI, Fabricated Metal Products PPI332
US, PPI, Hardware PPI332510
; or the Employment Cost Index(es) reported in the quarterly publication entitled, “Employment Cost Indexes,” published by the United States (U.S.) Department of Labor (DOL), Bureau of Labor Statistics (BLS) for the following code number(s) and title(s): N/A
(2) "Base index" means the arithmetic average of the final version of the indexes published for the months, or quarters for ECI, preceding the closing date for receipt of proposals or the date required for receipt of final proposal revisions, if discussions were held.
(3) "Adjusting index" means the arithmetic average of the [ ] first published or [X ] final version of the index for the months, or quarters for ECI, prior to the month in which the adjusting contract modification is effective.
(4) "Base unit price" means the unit price applicable to a quantity of a contract line item established at contract award, exclusive of any price adjustment pursuant to this procurement note.
(5) “Adjustment period” means the period during which a particular adjustment to the unit price under this procurement note (calculated at the beginning of the adjustment period) will apply. The length of each adjustment period in months is the number of adjustments allowed per year in (c)(1) below divided by 12.
(c) Adjustments. Prior to the end of each adjustment period, the contracting officer will calculate the average of the adjusting indexes and any adjusted contract unit price(s) for the new adjustment period, and modify the contract accordingly. The contracting officer will make price adjustments in accordance with this procurement note by issuing a contract modification showing the base indexes, the adjusting indexes, the base unit price, the mathematical calculations, and the changed unit price(s). The price adjustment shall apply to orders issued after the effective date of the contract modification establishing the unit price for the adjustment period. The contracting officer will base the price adjustment(s) for each adjustment period on the percentage change between the average of the base indexes and the average of the adjusting indexes for the adjustment period, as applied to the base unit price.
(1) The contractor shall decrease its price in any particular adjustment period if the adjusting index is less than the base index. This contract allows one price adjustment at the beginning of each contract year, not including the first year of contract award, where awarded base unit prices will be utilized.
(2) Example of adjustment calculation:
Average of Base Indexes= 109.88* Average of Adjusting Indexes = 112.72* Less average of base indexes = 109.88

SECTION B - SUPPLIES OR SERVICES AND PRICES OR COSTS (CONTINUED)
Change to average of indexes = 2.84 Divide change to average of indexes by average of base indexes = 2.84 / 109.88 = .02585 (2.585%)** Multiply by the base unit price = $50.00 x .02585 = $1.29*** = Unit Price Adjustment Adjusted unit price = $51.29 *In computing the base and adjusting indexes, the contracting officer will round the resulting figure to the second decimal place.
**The contracting officer will round this number to the fifth decimal place.
***The contracting officer will round all dollar figures to the nearest cent.
(d) Upward ceiling on economic price adjustment. No upward ceiling shall apply under this economic price adjustment procurement note, unless the BLS series is based on indices below the six-digit level. (An index “below the six-digit level” in BLS usage means an index with an identifier exceeding six-digits). For any BLS series that is below the six-digit level, the following ceiling shall apply: The contractor agrees that the aggregate of the increases in any contract unit price under the terms of this procurement note shall not exceed 10% (percent) of the original base unit price, except as provided hereafter.
(1) If at any time the contractor has reason to believe that within the near future a price adjustment under the terms of this procurement note will be required that will exceed the adjustment ceiling for any item, the contractor shall promptly notify the contracting officer in writing of the expected increase. The notification shall include a revised ceiling the contractor believes is sufficient to permit completion of remaining contract performance, along with appropriate explanation and documentation as required by the contracting officer.
(2) If an increase in the index would raise a contract unit price for an item above the current ceiling, the contracting officer may issue a contract modification to raise the ceiling. If the contracting officer does not raise the contract ceiling, the contracting officer will promptly notify the contractor in writing.
(e) Invoices. The basis for prices payable under this contract is the latest adjusted unit price incorporated into the contract as of the date of order.
(f) Retroactive adjustment. This paragraph applies only if the contracting officer selected “first published index” in paragraph (b)(3). If the Government has already paid for orders delivered during an adjustment period, the contractor may request a retroactive adjustment. The contracting officer will, base the retroactive adjustment on the difference between a higher final revised index applicable to an adjustment period and the index values used in calculating the unit price for that adjustment period, subject to the adjustment ceiling in paragraph (d) and under] the following conditions:
(1) The request for equitable adjustment clearly establishes that the unit price adjustment for the adjustment period would have been higher if the final revised index had been used;, and identifies all invoices and payments to which it applies cites the specific index differences relating to the requested adjustment, and provides a calculation of the total net price adjustment for items delivered during that adjustment period.
(2) The total dollar change for items delivered is $ ($500.00 unless otherwise stated) or more for the applicable adjustment period(s).
(3) The contracting officer received the contractor's written request within 45 days following publication of the final revised index. The contractor shall adjust its prices downward based on the difference between a lower final revised index applicable to an adjustment period and the index values used in calculating the unit price for that adjustment period, subject to the limitation in paragraph (f)(2).
(g) Revision of index. If any applicable index is discontinued or its method of derivation is altered substantially, or if the contracting officer determines that the index consistently and substantially fails to reflect market conditions, the

parties shall mutually agree upon an appropriate and comparable substitute. The contracting officer will modify the contract to reflect such substitute effective on the date the index was discontinued, altered, or began to consistently and substantially fail to reflect market conditions.

If the item shipping costs, based on the actual shipping characteristics, exceed the item shipping costs used for evaluation purposes, the Contractor agrees that the contract price shall be reduced by an amount equal to the difference between the transportation costs actually incurred, and the costs which would have been incurred if the evaluated shipping characteristics had been accurate.

(a) This clause shall become operative only for any modification to this contract involving a pricing adjustment expected to exceed $2 million on the date of execution of the modification, except that this clause does not apply to any modification if an exception under Federal Acquisition Regulation (FAR) 15.403-1(b) applies.
(b) If any price, including profit or fee, negotiated in connection with any modification under this clause, or any cost reimbursable under this contract, was increased by any significant amount because --
(1) The Contractor or a subcontractor furnished certified cost or pricing data that were not complete, accurate, and current as certified in its Certificate of Current Cost or Pricing Data;
(2) A subcontractor or prospective subcontractor furnished the Contractor certified cost or pricing data that were not complete, accurate, and current as certified in the Contractor's
Certificate of Current Cost or Pricing Data; or
(3) Any of these parties furnished data of any description that were not accurate, the price or cost shall be reduced accordingly and the contract shall be modified to reflect the reduction. This right to a price reduction is limited to that resulting from defects in data relating to modifications for which this clause becomes operative under paragraph (a) of this clause.

(d)(1) If the Contracting Officer determines under paragraph (b) of this clause that a price or cost reduction should be made, the Contractor agrees not to raise the following matters as a defense:
(i) The Contractor or subcontractor was a sole source supplier or otherwise was in a superior bargaining position and thus the price of the contract would not have been modified even if accurate, complete, and current certified cost or pricing data had been submitted.
(ii) The Contracting Officer should have known that the certified cost or pricing data in issue were defective even though the Contractor or subcontractor took no affirmative action to bring the character of the data to the attention of the Contracting Officer.
(iii) The contract was based on an agreement about the total cost of the contract and there was no agreement about the cost of each item procured under the contract.

(2)(i) Except as prohibited by subdivision (d)(2)(ii) of this clause, an offset in an amount determined appropriate by the Contracting Officer based upon the facts shall be allowed against the amount of a contract price reduction if --
(A) The Contractor certifies to the Contracting Officer that, to the best of the Contractor's knowledge and belief, the Contractor is entitled to the offset in the amount requested; and
(B) The Contractor proves that the certified cost or pricing data were available before the “as of” date specified on its Certificate of Current Cost or Pricing Data, and that the data were not submitted before such date.
(ii) An offset shall not be allowed if --
(A) The understated data were known by the Contractor to be understated before the “as of” date specified on its Certificate of Current Cost or Pricing Data; or
(B) The Government proves that the facts demonstrate that the contract price would not have increased in the amount to be offset even if the available data had been submitted before the “as of” date specified on its Certificate of Current Cost or Pricing Data.
(e) If any reduction in the contract price under this clause reduces the price of items for which payment was made prior to the date of the modification reflecting the price reduction, the Contractor shall be liable to and shall pay the United States at the time such overpayment is repaid --
(1) Interest compounded daily, as required by 26 U.S.C. 6622, on the amount of such overpayment to be computed from the date(s) of overpayment to the Contractor to the date the Government is repaid by the Contractor at the applicable underpayment rate effective for each quarter prescribed by the Secretary of the Treasury under 26 U.S.C. 6621(a)(2); and
