Schedule A - Statement of Work Summary
This is a Statement of Work for RFP 260000002479 issued by the Michigan Department of Labor and Economic Opportunity's Office of Employment and Training (LEO-E&T) and the Community and Worker Economic Transition Office (CWETO) to conduct a comprehensive assessment of Michigan's workforce system's early warning and layoff aversion practices. The scope involves conducting a literature review of national best practices in layoff aversion and early warning systems, developing and implementing an engagement plan with state and local workforce agencies (MWAs), conducting approximately 16 site visits (potentially on a regional basis) to MWAs across Michigan, facilitating roundtable discussions with key stakeholders, and producing a detailed Assessment Report with recommendations for establishing a statewide standard for early warning and layoff aversion. Specific deliverables include a final workplan (within 14 business days of award), a literature review and best practices brief (within 90 days), an LEO and MWA engagement plan (within 45 days), monthly progress updates with PowerPoint presentations, a draft assessment report with case studies (months 9-10), consolidated feedback from stakeholder review (month 11), and a final assessment report with virtual briefing (month 12). The contract term is 12 months, with the contractor required to conduct ongoing stakeholder engagement through monthly 60-minute virtual meetings with LEO-E&T and CWETO leadership.
Pricing is firm for the entire contract term, with adjustments possible only based on documented changes in actual contractor costs supported by evidence such as the Consumer Price Index or industry data, subject to mutual agreement following a 30-day review period. The contractor must assign a dedicated Program Manager and designate one Key Personnel individual responsible for day-to-day operations who must be approved by the State and respond to inquiries within 24 hours; unauthorized removal of Key Personnel without prior written consent may result in $10,000 per individual credits to the State. The State will make payments by electronic funds transfer (EFT) based on invoices meeting specified requirements. All digital deliverables must comply with ADA accessibility standards, and the contractor must establish data retention, disposal, and retrieval protocols to enable the State to retain data for the contract term, delete data as needed, transfer data to new vendors or the Archives of Michigan, and retrieve data from offline storage or backups. Any subcontractors used must be fully disclosed with information regarding their qualifications, the services they will provide, pricing, and prior working relationships with the contractor.

RFP 260000002479
Workforce Development Layoff Aversion This schedule identifies the anticipated requirements of any Contract resulting from this RFP. The term “Contractor” in this document refers to a bidder responding to this RFP, as well as the Contractor who is awarded the contract. The term “bidder” is used to identify where specific responses to the RFP are required. Yellow fields are also used to identify areas where a bidder response is required.
The Contractor must respond to each requirement or question and explain how it will fulfill each requirement. Attach any supplemental information and reference it appropriately within your response.
Background The Michigan Department of Labor and Economic Opportunity’s Office of Employment and Training (LEO-E&T) and the Community and Worker Economic Transition Office (CWETO) share a common mission of supporting workers, employers, and communities experiencing economic disruptions due to business contraction and/or closure and the associated worker dislocations. Research shows that early warnings of potential closures and worker dislocations allow for interventions that could help support business’ ability to diversify or take other steps to mitigate losses which can potentially avert layoffs and even closures. Federal guidance also recognizes the importance of layoff aversion by encouraging states to engage employers early, strengthen business intelligence, coordinate with workforce partners, and implement proactive strategies that help employers retain workers, minimize layoffs, and reduce the length of unemployment for affected individuals.
In 2024, LEO-E&T initiated efforts to realign Michigan’s Rapid Response system to better support the federal vision. This realignment will ultimately shift the state’s Rapid Response strategy from one that is primarily reactive to a proactive model through the establishment of a statewide Early Warning Network (EWN). An EWN is characterized by tools to identify at-risk businesses before layoffs occur coupled with strong employer relationships with community workforce and economic development partners. Once risks are identified, those partners rapidly and collaboratively implement proactive layoff aversion tactics and deploy services to both employers and impacted workers.
Scope The next phase of this effort is assessment of the Michigan workforce system’s current state of early warning and layoff aversion practices in the Rapid Response program as well as other business engagement activities. To do this work, Michigan seeks a contracted partner, ideally with knowledge and experience with the public workforce system’s Rapid Response and business services programs, including early warning and layoff aversion strategies. This assessment will identify early warning and layoff aversion activities currently occurring in Michigan at the state and local levels, the gaps between Michigan’s current state and other best practices from around the country, and provide recommended actions to move from the current state to a desired future state.
General Requirements
Contractor, LEO-E&T, and CWETO Project Kickoff Meeting

Develop LEO and MWA Engagement Plan to outline steps and timing for information gathering activities to identify the state and local “current state” and collect input on what is working well, where challenges persist, and ideas for a desired “future state”. Activities must include those listed below but contractor may also suggest other activities for LEO consideration.
a. LEO staff interviews: 30–60-minute virtual interviews with the following:
i. LEO E&T Director, CWETO Director, WD Deputy Director, RR Lead, and 4-5 key staff (9-10 total interviews)
b. Survey development and implementation
ii. Develop approach and content for an online information gathering tool to be completed by each MWA (MWAs will be asked to coordinate with their staff to complete one collective response for the local area). Questions will gather:
1. input on the effectiveness of the current state of RR and Layoff Aversion including state and local roles and collaboration, activities, and resources (i.e. what works well and what has challenges)
2. Innovative RR and/or Layoff Aversion practices implemented by the MWA including what they are, what outcomes they achieve, any associated challenges and opportunities
3. MWAs’ ideas and input on the desired state/local collective “future state” for RR and layoff aversion going forward including what would be needed to implement those ideas.
c. MWA site visits with interview protocol and onsite activities. The purpose of these site visits is to gather additional insight from the MWAs, using their survey responses to tee up those conversations with the opportunity to delve deeper into their current practices and ideas for the future state, potentially observe RR and layoff aversion in person (if possible), and for the identified models, conduct deep discussion to gather information needed to develop case studies that explain the MWA’s innovative practice, steps to implementation, involvement of partners, and outcomes. (16, 1.5 – 2-day site visits; note that trips can be done on a regional basis rather than 16 individual trips)
iii. Roundtable discussions: Using initial input gathered through discussion with LEO-E&T, CWETO, and the survey, the contractor will identify and suggest three to four MWAs with examples of successful layoff aversion. (Note - the contractor will ultimately highlight those examples including the structure, partners, practices, funding, etc. used to support the work, through three to four case studies as noted in the Deliverables section of Step 5.) A minimum of two of those examples will reflect a layoff aversion effort involving deep partnerships with industry and key stakeholders and community members. For these locations, the contractor will collaboratively plan with the MWA and then facilitate a roundtable discussion with the involved partners as part of their on-site visit. The purpose of the discussion is to gather perspectives on the work from all involved stakeholders and to gather sufficient information on the example to develop a detailed case study that supports replication by other regions. These discussions should be scheduled in conjunction with the other on-site work at the MWA and last no more than a half day.
Deliverable: Final LEO and MWA Engagement Plan Timing: Developed within 45 days of contract award Bidder Response

Schedule A – Attachment 1 – Key Personnel
1. Key Personnel The Contractor must appoint one individual who will be directly responsible for the day-to-day operations of the Contract (“Key Personnel”). Key Personnel must be specifically assigned to the State account, be knowledgeable on the contractual requirements, and respond to State inquiries within 24 hours.
The State has the right to recommend and approve in writing the initial assignment, as well as any proposed reassignment or replacement, of any Key Personnel. Before assigning an individual to any Key Personnel position, Contractor will notify the State of the proposed assignment, introduce the individual to the State’s Project Manager, and provide the State with a resume and any other information about the individual reasonably requested by the State. The State reserves the right to interview the individual before granting written approval. In the event the State finds a proposed individual unacceptable, the State will provide a written explanation including reasonable detail outlining the reasons for the rejection. The State may require a 30-calendar day training period for replacement personnel.
Contractor will not remove any Key Personnel from their assigned roles on this Contract without the prior written consent of the State. The Contractor’s removal of Key Personnel without the prior written consent of the State is an unauthorized removal (“Unauthorized Removal”). An Unauthorized Removal does not include replacing Key Personnel for reasons beyond the reasonable control of Contractor, including illness, disability, leave of absence, personal emergency circumstances, resignation, or for cause termination of the Key Personnel’s employment. Any Unauthorized Removal may be considered by the State to be a material breach of this Contract, in respect of which the State may elect to terminate this Contract for cause under the Termination for Cause section of the Standard Contract Terms. It is further acknowledged that an Unauthorized Removal will interfere with the timely and proper completion of this Contract, to the loss and damage of the State, and that it would be impracticable and extremely difficult to fix the actual damage sustained by the State as a result of any Unauthorized Removal. Therefore, Contractor and the State agree that in the case of any Unauthorized Removal in respect of which the State does not elect to exercise its rights under Termination for Cause, Contractor will issue to the State the corresponding credits set forth below (each, an “Unauthorized Removal Credit”):
For the Unauthorized Removal of any Key Personnel designated in the applicable Statement of Work, the credit amount will be $10,000.00 per individual if Contractor identifies a replacement approved by the State and assigns the replacement to shadow the Key Personnel who is leaving for a period of at least 30-calendar days before the Key Personnel’s removal.
If Contractor fails to assign a replacement to shadow the removed Key Personnel for at least 30-calendar days, in addition to the $10,000.00 credit specified above, Contractor will credit the State $500.00 per calendar day for each day of the 30-calendar day shadow period that the replacement Key Personnel does not shadow the removed Key Personnel, up to $10,000.00 maximum per individual. The total Unauthorized Removal Credits that may be assessed per Unauthorized Removal and failure to provide 30-calendar days of shadowing will not exceed $10,000.00 per individual.
Contractor acknowledges and agrees that each of the Unauthorized Removal Credits assessed above: (i) is a reasonable estimate of and compensation for the anticipated or actual harm to the State that may arise from the Unauthorized Removal, which would be impossible or very difficult to accurately estimate; and (ii) may, at the State’s option, be credited or set off against any fees or other charges payable to Contractor under this Contract.
