SENSITIVE BUT UNCLASSIFIED

JUSTIFICATION AND APPROVAL (J&A)

FOR OTHER THAN FULL AND OPEN COMPETITION

EXTENSION OF SAQMMA15D0046

FAR Part 6.3

1. Identification of the agency and the contracting activity:

U.S. Department of State, Bureau of Consular Affairs, Office of Consular Systems Technology

(CA/CST). The Contracting Activity is the Office of Acquisition Management, Worldwide

Operations Division, TCA Branch (A/OPE/AQM/WW/TCA).

2. Nature and/or description of the action being approved.

The purpose of this Justification and Approval (J&A) is to outline the need to extend the current maintenance contract for CA/CST legacy passport book printers (SAQMMA15D0046) held by

Idemia NSS (formerly known as Trans Digital Technologies or TDT). This will ensure the continuity of printer maintenance until the Next Generation (NextGen) printers are fully deployed and in production. CST is requesting an additional extension of 6 months with two 3-month options to allow for the issuance of a new task order for the legacy book printer maintenance.

This IDIQ contract extension is necessary as the replacement NextGen printers are currently in the deployment phase, and full deployment is not anticipated to be completed until January 31, 2023. However, that schedule could be delayed if unforeseen circumstances occur. A new task order with a 6-month base period and two 3-month options will allow for any delays or slippages in full deployment of the NextGen printer schedule and the procurement of consumables for the

Passport Office. The deployment schedule is outlined as follows:

NextGen Printer Project Delayed Milestones end date Status

Initiation 10/8/2019 Completed

Integral (software, hardware) 1/28/2020 Completed

TSI 6.0 Passport Services Dev 9/16/2019 Completed

TRR 8/20/2019 Completed

System testing (IV&V Printers) 11/4/2019 Completed

Deployment Phase 6/22/2021 In Process

Training (NextGen Operator/Support) 6/14/2021 In Process

Toppan Decommission 7/7/2021 Pending

Project Delivery Complete 6/22/2021 December 2022

Transition Start – 120 Days 12/31/2021 N\A

Full Deployment 12/31/2021 January 31, 2023

3. A description of the supplies or services required to meet the Department’s needs.

The Bureau of Consular Affairs (CA) is responsible for the welfare and protection of US

Citizens abroad for the issuance of passports. The current IDIQ Contract provides for consumables supplies and maintenance in support of the Book Personalization Printers.

Contract SAQMMA15D0046 is an indefinite delivery, indefinite quantity (IDIQ) contract that was awarded on 4/27/2015. On 6/20/2019 it was extended under exceptional circumstances to include a base year and two one-year options through June 26, 2022.

This IDIQ contract extension is necessary as the replacement Next Gen printers are currently in the deployment phase, and full deployment is not anticipated to be completed until January 31, 2023. However, that schedule could be delayed if unforeseen circumstances occur.

If the IDIQ contract is not extended, new task orders cannot be issued for continued maintenance on the legacy printers, and critical passport production consumables such as the specialized ink, foils and ribbons and secure coding used to print passports could not be procured, which would result in the inability to produce and issue passports to U.S. citizens. A new task order with a 6-month base period and two 3-month options will allow for any delays or slippages in full deployment of the NextGen printer schedule and the procurement of consumables for the

Passport Office.

In addition, the extension will provide for the time needed for the decommission/destruction activities associated with the legacy Toppan Book Printers which would occur after full deployment of Next Gen Printer across all the agencies, also justification for this additional time after the final date of the full roll out of Next Gen. It is expected to take an additional three months for the transition-out activities to be completed. Transition-out activities are within the scope of the IDIQ contract.

Lastly, the decommissioning process of the legacy printers cannot begin until full deployment of the NextGen printers is completed. The decommissioning process is expected to take three to six months to complete.

4. An identification of the statutory authority permitting other than full and open competition.

The statutory authority permitting other than full and open competition is 41 U.S.C. 3304 (a)(2), as implemented by Federal Acquisition Regulation (FAR) 6.302-2 entitled, “Unusual and compelling urgency” with the specific authority of FAR 6.302-2(d).

5. A demonstration that the proposed contractor’s unique qualifications or the nature of the action requires use of the authority cited.

a) Idemia NSS is the incumbent contractor, currently performing this work under the existing task order.

b) The IDIQ contract is set to expire on June 26, 2022.

c) Idemia NSS is the only company uniquely qualified and trained to provide the labor needed to perform the necessary preventive and routine maintenance for the legacy printers;

d) An extension of the existing IDIQ contract will ensure the mission is met while the Next

Generation deployment schedule is completed and in production. Without the extension of the IDIQ contract, the Government is at risk of not being able to produce and issue passports.

e) Expiration of Idemia’s current contract without an extension would cause mission-critical interruptions in passport production and issuance.

6. A description of efforts to ensure that offers were solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by FAR Subpart 5.2 and, if not, which exception under FAR 5.202 applies.

The follow-on contract (NextGen) was competed under an unrestricted full and open competition although the NextGen solution is not intended to provide continuing support to the legacy printers.

7. A determination by the ordering activity Contracting Officer that the anticipated cost to the Government is fair and reasonable.

The Contracting Officer determines the anticipated price for the task order that will be issued against the IDIQ contract will be fair and reasonable based on an assessment of historical pricing data from the existing task order with Idemia NSS.

8. A description of the market survey conducted (see Part 10) and the results or a statement of the reasons a market survey was not conducted.

No market research was conducted as this effort is an interim effort while the current effort

NextGen transition to full deployment. Idemia NSS is the incumbent company able to provide legacy passport book printer maintenance to deployed throughout CONUS without incurring significant delays, which would result in a work stoppage at passport offices throughout the country.

9. Any other facts supporting the use of this justification.

None.

10. A listing of any sources that expressed a written interest in the acquisition.

No other sources have expressed interest in this acquisition.

11. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required.

There are no barriers to future competition since the legacy printers are being replaced and decommissioned with no further acquisition activity required.
