Annual Safety Shoes Procurement for Naval Foundry and Propeller Center
1.0 INTRODUCTION
1.0.1. The Naval Surface Warfare Center Philadelphia Division (NSWCPD) is a Department of Defense entity responsible for research and development, test and evaluation, engineering and fleet support organization for the Navy’s ships, submarines, military watercraft and unmanned vehicles. This requirement is for Naval Foundry and Propeller Center (NFPC) who is responsible for the design, manufacture, and repair propellers for the US Navy.
1.0.2. This contract is for non-personal services. It does not create employment rights with the U.S. Government whether actual, inherent, or implied
1.0.3. Government / Contractor Relationship
(a) The services to be delivered under this contract are non-personal services and the parties recognize and agree that no employer-employee relationship exists or will exist under the contract between the Government and the Contractor's personnel. Therefore, it is in the best interest of the Government to provide both parties a full understanding of their respective obligations.
(b) The Contractor employees shall identify themselves as Contractor personnel by introducing themselves or being introduced as Contractor personnel and displaying distinguishable badges or other visible identification for meetings with Government personnel. In addition, Contractor personnel shall appropriately identify themselves as Contractor employees in telephone conversations and in formal and informal written correspondence.
(c) Contractor personnel under this contract shall not engage in any of the inherently Governmental functions listed at FAR Subpart 7.5 or DFARS Subpart 207.5.
(d) Employee Relationship:
1) The services to be performed under this contract do not require the Contractor or its personnel to exercise personal judgment and discretion on behalf of the
Government. Rather the Contractor's personnel will act and exercise personal judgment and discretion on behalf of the Contractor.
2) Rules, regulations, directives, and requirements that are issued by the U. S. Navy and NSWCPD under its responsibility for good order, administration, and security are applicable to all personnel who enter a Government installation or who travel on Government transportation. This is not to be construed or interpreted to establish any degree of Government control that is inconsistent with a non-personal services contract.
(e) Inapplicability of Employee Benefits: This contract does not create an employer-employee relationship. Accordingly, entitlements and benefits applicable to such relationships do not apply.
(f) Notice. It is the Contractor's, as well as the Government's, responsibility to monitor contract activities and notify the Contracting Officer if the Contractor believes that the intent of this Section has been or may be violated.
1) The Contractor shall notify the Contracting Officer in writing via letter or email within three (3) calendar days from the date of any incident that the Contractor considers to constitute a violation of this Section. The notice should include the date, nature, and circumstances of the conduct; the name, function, and activity of each Government employee or Contractor official or employee involved or knowledgeable about such conduct; identify any documents or substance of any oral communication involved in the conduct; and the Contractor's estimated date when, absent a response, cost, schedule or performance will be impacted.
2) The Contracting Officer will, within five (5) calendar days after receipt of notice, respond to the notice in writing. In responding, the Contracting Officer will either:
(i) Confirm the conduct is in violation and when necessary direct the mode of further performance,
(ii) Countermand any communication regarded as a violation,
(iii) Deny that the conduct constitutes a violation, and when necessary direct the mode of further performance, or
(iv) In the event the notice is inadequate to make a decision, advise the Contractor what additional information is required, and establish the date by which it should be furnished by the Contractor.
1.1 BACKGROUND
NFPC is in need of mobile, on-site, safety shoe services throughout its facility. In addition, a supplementary online store shall be available for NFPC employees. This service is requested to ensure OSHA safety shoe standards are maintained and that proper footwear being used in an industrial environment is available.
1.2 SCOPE OF WORK
NFPC requires contractor support to provide an on-site shoe mobile for fitting, sizing, and distribution of safety shoes to the entire workforce. The workforce includes welders, electricians, foundry molders/melters, machinists, and administrators.
The total estimated requirement to be filled is 670 pairs of safety footwear in no more than 15 mobile shoe truck, on-site visits. The total will consist of an assortment of footwear listed in paragraph 3.1 below. The footwear is for Government personnel only; as such, only Government personnel will be eligible to participate and be covered under this contract.
This requirement shall be awarded as an unpriced purchase order pursuant to FAR 13.302-2 Unpriced Purchase Order. CLIN 0001 is established with a Not-to-Exceed (NTE) price. Once all required safety footwear have been ordered during the shoe mobile event(s), the contractor shall provide the Government with a detailed itemized invoice that captures all of the purchased footwear. The Government shall analyze the invoice to verify the footwear purchases, to ensure the footwear prices are at or under those prices listed in the pre-negotiated price list, and to ensure the prices charged to the Government on the contract are at (or under) all established subsidy prices. Any discrepancies must be resolved to come to an agreement of final price with the contractor. The negotiated price shall be established as a firm fixed price CLIN through issuance of a single modification. This modification will be processed after ALL shoe events are completed within the period of performance (POP).
In the unlikely event that the contractor foresees that the footwear costs are to exceed the NTE amount, the contractor shall immediately stop providing footwear. Continuing will be at the contractor’s own risk/cost. The contractor shall notify the Government immediately of the contractor’s inability to complete the requirement under the NTE amount. The contractor shall provide the Government with a proposal for a new CLIN amount along with proper documentation to justify the new proposed amount. If and when the amount is agreed upon, a modification to the purchase order will be issued allowing the vendor to proceed with footwear purchases and distribution.

3.4.3. The online shoe catalog shall allow Government personnel to procure the safety footwear without payment of any subsidized portion at the time of purchase. The vendor shall provide a phone number for ordering. Invoicing and payment shall adhere to the procedures listed in Section 3.5.
3.4.4. If the Government procures safety footwear through the Online Shoe Catalog, the contractor shall deliver the shoes within 7 days after receipt of purchase. In the event that an abnormal shoe order is ordered and the contractor cannot meet the 7 day delivery date, the contractor shall immediately notify the Safety Department
POC.
3.5 Invoicing and Payment.
3.5.1. The Government shall reimburse the contractor up to the stated subsidy threshold for each footwear category (e.g. $110 for general safety shoes/boots and $150 for specialty safety shoes/boots). Any difference between the contractor’s contract price for particular footwear and the stated subsidy threshold amount will be paid by the individual Government personnel during the event (or by phone for catalog ordering) at time of purchase. The Government portion of the bill will be invoiced and paid for at a later date. The contractor will be reimbursed by the Government against this contract for the full price of the shoe if the shoe price is not greater than the subsidy amount.
Examples:
1) A safety shoe that is priced at $120 per pair will have the $110 subsidy applied to that pair that will be invoiced to and paid by the Government. The remaining $10 delta amount will be paid by the individual Government personnel via the computerized point of sale system that shall be available during the event (or via phone for Online Shoe Catalog orders).
2) A safety shoe that is priced at $100 per pair will be invoiced to and paid by the Government for the $100 price and NOT for the $110 subsidy amount. In this case, the individual Government employee does not owe the contractor any payment.
3.5.2. No later than 2 weeks after the conclusion of each truck event the contractor shall provide the Contracting Officer with a detailed itemized invoice that captures all of the purchased footwear, to include at a minimum footwear prices, Government personnel payment amounts and the delivery status. The signed-off event log shall be attached to the invoice.
3.5.3. Detailed itemized invoices of all Online Shoe Catalog purchases shall be provided to the Contracting Officer on a quarterly basis.
3.5.4. If additional safety footwear is required beyond the Government’s estimated NTE amount, the contractor shall utilize the FAR 13.302-2 Unpriced Purchase Order procedures set forth in section 1.2. Additional safety shoes can be ordered to restock emergency supply, not to exceed the funds remaining in the contract and not to include footwear over the subsidy amounts.
3.5.5. The vendor will NOT be paid for any invoices until the period of performance of this contract ends.
3.6 Returns/Warranty.
3.6.1 The contractor shall provide return shipping labels within 30 days for shoes with manufacturer defects and wrong sizes. Return shipping for any returns due to comfort/fashion issues will be paid for by the individual Government employee.
3.6.2 All footwear shall be warranted against defects and workmanship issues for a period of at least 6 months. Vendor shall provide a commercial warranty policy within their solicitation response.

The “acceptance criteria” is that it must be visually obvious to untrained personnel that the camera feature has been disabled. Accordingly, claiming that the camera feature or function has been “deprogrammed”, “inactivated” (or similar) would NOT be acceptable, since this cannot be readily verified by untrained personnel. Also, the camera feature or function could be reprogrammed or re-activated after inspection.
Cell phone owners should consider locations into which they intend/desire to carry cellphones before permanently modifying them. Modifications to cell phones are solely the decision and the responsibility of the owner.
Personnel camera cell phones are permitted in Personally Owned Vehicles parked outside of the Controlled Access Area. (General parking lots across the street.)
Personal camera cell phones are permitted in areas outside of the CAA and where Naval Sea Systems Command (NAVSEA) business of a sensitive nature is NOT conducted.
This means that camera cell phones are PROHIBITED in Secure Rooms (regardless of where any of these areas are located), and in any meeting, discussion or forum where NAVSEA business of a sensitive nature is carried on.
Cellphone lockers/boxes will be placed at the entrance to facilities, or as close to the entrance as possible in order to facilitate this policy.
********CAA-Controlled Access Area is anywhere within the fence line********
