CONCESSION AGREEMENT

Each qualified car rental company (“Respondent”) who is selected will be required to enter into an Airport Rental Car Concession Agreement (“Agreement”). If, during the term, any Concession becomes unable to meet the requirements of the Agreement, for any reason, the City may negotiate with a replacement operator on terms deemed favorable to the City; such terms shall be no more favorable than those offered to incumbent on-airport operators.

Rent and fees paid by the successful respondents are detailed in the Agreement and are subject to the respondent’s proposal. PARTICIPATION BY AIRPORT CONCESSION DISADVANTAGED BUSINESS ENTERPRISE

(ACDBE) BUSINESSES

In accordance with the regulations of the U.S. Department of Transportation, 49 CFR Part 23 and Part 26, the City of Idaho Falls has implemented an ACDBE program under which qualified firms may have the opportunity to operate an airport business. An ACDBE goal for fiscal years 2023-2025 has been established and approved for nine-tenths of one percent (0.9%) and determined to be accomplished on a zero percent (0.0%) Race Conscious and nine-tenths of one percent (0.9%) Race Neutral basis. The proposed fiscal year 2026-2028 ACDBE goal is two percent (2.0%), to be accomplished through zero percent (0%) Race Conscious and two percent (2.0%) Race Neutral, as measured by total estimated annual gross receipts, has been established for the Agreement. Fiscal year 2026-2028 ACDBE goals are anticipated to be approved during the RFP process or prior to the effective date of any new agreement. The ACDBE percentage goal may be subject to change during the term of this Agreement.

A successful respondent shall agree to make a good faith effort to ensure that business concerns owned and controlled by socially and economically disadvantaged individuals as defined in 49 CFR Part 23, as amended, participate in the activity, service or facility provided by a concessionaire during the entire term of its agreement by means of a joint venture, partnership, franchise, or any other legal arrangement that results in a bona fide ownership and control of the activity.

If a selected respondent is unable to achieve this goal under joint venture, partnership, franchise or similar legal arrangement, the respondent shall seek to obtain the required ACDBE participation by other means, such as the purchase of goods, services, supplies and/or products from certified ACDBE vendors. In the event that a selected respondent for this solicitation qualifies as a certified ACDBE, the agreement goal shall be deemed to have been met. There are no requirements to make any submittal of anticipated ACDBE performance with this proposal, but respondents must include a statement affirming that if awarded a contract they will comply with all Federal Nondiscrimination Acts and Authorities and selected respondents will be required to report annually on ACDBE participation.

UNACCEPTABLE PROPOSALS

Proposals containing any alteration, addition, omission, condition, limitation, or irregularity of any kind, may be rejected by the City as non-responsive or irregular. The City reserves the right to reject any or all proposals at any time, with or without cause, and to waive any irregularities, technicalities, or informalities in any proposal. The City may disqualify any respondent if evidence of collusion with another respondent or other respondents is found, or if the respondent has attempted to exert influence upon any member of the City, staff, officer, representative, or member of an evaluation committee.

OPENING OF PROPOSALS

Proposals will be made available to Airport staff at 2:00PM MST on October 30th, 2025, in the Airport Conference Room located at 2140 N Skyline Drive, Idaho Falls, Idaho, 83402.

Respondents may attend virtually or in person. All registered parties will receive a calendar invitation for the Opening of Proposals. Any proposals received after this time will be deemed non-responsive and will not be considered. The opening of proposals does not constitute

RFB 25-008 On-Airport Rental Car Concession 6 acceptance of any proposal submitted by a respondent or a determination that the proposal is qualified or responsive. Upon opening, each bid amount will be read aloud (Appendix A). All other documents will not be read aloud, and their contents will remain confidential to the extent permitted by law, but such documents may be subject to disclosure to the extent required by Idaho’s Public Records Act. An Agreement and space allocation will be awarded by the City only after reviewing all documentation submitted for responsiveness with this RFP document and the requirements contained within the Agreement.

BASIS OF AWARD

Subject to the conditions and reserved rights set forth within this RFP, respondent’s proposals shall be awarded based on the following process with the expectation to award four Agreements for on-airport car rental operations. Respondent’s will be reviewed by the following tiers, with each tier acting as an approval step moving on to the next tier. The final tier resulting in no more than four qualified respondents.

The City reserves the right to investigate the financial capability, reputation, integrity, business acumen, experience, and performance history of each respondent, including principals, members, and joint venturers, and to reject any or all proposals that do not meet the minimum qualifications.

The City reserves the right to reject any or all proposals, reject proposals from unqualified respondents, or accept any proposal deemed most advantageous to the City.

If fewer than four qualified respondents are selected, the City may, at its discretion, reallocate office and counter space, ready/return stall blocks, QTA facilities, and overflow storage as outlined in the exhibits to this RFP. The City may also negotiate an agreement with other rental car companies for the use of available on-airport rental car concessions, under terms and conditions that, taken as a whole, are no more favorable than those granted to current on-airport operators.

To determine the order of successful respondents, the following process shall be employed.

Tier 1 (Pass or Fail) Respondent’s proposals will be reviewed on pass or fail criteria, initially. This review will answer the following questions:

1. Has the respondent operated a car rental business for a total of at least three years out of the past five years?

YES – or – NO

2. Does the agency demonstrate an ongoing business operation with a net-worth sufficient to sustain the business operations required to be performed and maintained pursuant to the sample agreement requirements?

3. Has the respondent demonstrated ownership of late model cars sufficient to meet the needs of the traveling public at the Airport, or the ability to obtain one?

RFB 25-008 On-Airport Rental Car Concession 7

4. Does the respondent demonstrate the possession of a corporate reservation system?

5. Is the respondent authorized to do business in the State of Idaho? YES - or - NO

Tier 2 (Quantitative Ranking) Utilizing the included bid form, Tier 2 of the evaluation will be a quantitative calculation of the information provided. The calculation will be calculated as follows:

Terminal Office and Counter Rent – Respondents shall indicate the rental rate for office space and counter space. The rate shall be submitted as a dollar value per square foot per year for each year of the contract. The submitted value will be multiplied by the square footage of the office and counter space of Area 2 of Exhibit 2 – Office and Counter Space. The result of this equation shall be the dollar value of respondents’ bid for this area of the quantitative ranking.

Minimum bid: the minimum bid amount shall be $29.46 per square foot per year.

Ready/Return Stall Rent – Respondents shall indicate the rental rate for each ready/return stall. The submitted rate shall be as a dollar value per stall per year for each year of the contract. The submitted value will be multiplied by the number of stalls in Block B of Exhibit 3

– Ready/Return Stall Blocks. The result of this equation shall be the dollar value of respondents’ bid for this area of the quantitative ranking.

Minimum bid: the minimum bid amount shall be $960.00 per stall per year.

QTA Facility – Respondents shall indicate the rental rate for the area associated with a QTA facility. The rate shall be submitted as a dollar value per square foot per year of the contract.

The submitted value will be multiplied by the total square footage contained in Area 2 indicated in Exhibit 4 – QTA Facilities. The result of this equation shall be the dollar value of respondent’s bid for this area of the quantitative ranking.

Minimum bid: the minimum bid amount shall be $0.48 per square foot per year.

Skyline Drive Shared Storage – Respondents shall indicate the rental rate for the area associated with the shared storage on Skyline Drive. The rate shall be submitted as a dollar value per square foot per year of the contract. The respondents’ submitted value will be multiplied by one-fourth of the total square footage contained indicated in Exhibit 5 – Skyline Drive Shared Storage, which is 24,093 square feet. The result of this equation shall be the dollar value of respondent’s bid for this area of the quantitative ranking. Special note:

Respondents wishing not to utilize the shared storage area on Skyline drive may omit a bid for this space by indicating $0.00 or N/A. However, this will reduce the overall total of the respondent’s bid.

Minimum bid: the minimum bid amount shall be $0.42 per square foot per year.

Quantitative Ranking of Respondent Proposals Respondents’ bid forms shall be totaled. The highest total shall be ranked first, the next highest ranked second, and so on.

Tier 3 (Reference Check or Interview)

RFB 25-008 On-Airport Rental Car Concession 8

In the unlikely event of a tie between proposals under Tier 2, Tier 3 will employee a review of references and/or interviews with respondents. Scoring interviews and reference checks shall be determined at the sole and absolute discretion of the City.

Tier 4 (Timely Receipt of Signed Agreement) Failure by any respondent to return a signed agreement to City for approval within 30 days of a final agreement being provided shall deem respondent non-responsive to the RFP process and the next ranked respondent shall be offered an agreement to operate at the Airport.

AWARD OF SPACE

The award of space shall be conducted via a hybrid meeting after the opening of bids.

Respondents may attend virtually or in person. The date is to be determined as the City does not know how much time it will take to review respondents’ proposals. The airport will notify all selected respondents of the date, time, and location of the space selection meeting. All criteria and information on the space to be selected shall be provided at least 48 hours in advance of the meeting.

The Airport shall award space by each of the following bid areas independently and separately, as follows:

1) Office and Terminal counter space will be awarded to the first ranked respondent, followed by the second, and so on.

2) Ready/Return Stall space will be awarded to the first ranked respondent, followed by the second, and so on.

3) QTA Facility space will be awarded to incumbent car rental concession companies by their existing facility in use, first. This is in accordance with provisions contained in the current, expiring, agreements. Incumbent respondents will be asked if they wish to retain existing facilities. After determining incumbent respondents’ desires, QTA facilities will be awarded to the first ranked respondent, followed by the second, and so on. At no time does a new entrant or top ranked respondent have the right to a QTA facility that is currently under an agreement to an incumbent respondent until that incumbent respondent opts out of its existing QTA facility.

a. The current allocation of QTA facility space is as follows:

i. QTA Facility 1 – Overland West, Inc., operating as Hertz

ii. QTA Facility 2 – Avis Budget Car Rental, LLC, operating as Avis and Budget

iii. QTA Facility 3 - Enterprise Rent-A-Car Company of Utah, LLC, operating as

Alamo and National.

iv. QTA Facility 4 – Enterprise Rent-A-Car Company of Utah, LLC, operating as

Enterprise

In the event that Enterprise Rent-A-Car Company of Utah, LLC, submits a single bid, or submits only one top four bid, this company shall elect to proceed forward with only one facility.

4) Skyline Drive Shared Storage space shall be awarded based on the total area divided by the total number of successful respondents who submitted a bid for utilization of the space. The first ranked firm shall select storage space first, followed by the second, and so on.

RFB 25-008 On-Airport Rental Car Concession 9

Respondents shall pay the rates indicated on each of its bid forms for the space that is selected by that respondent. Said rates and amounts shall be indicated in any final agreement offered to successful respondents.
