SECTION B (CONT'D) – SUPPLIES AND SERVICES AND PRICES/COSTS
B.1 SUPPLIES AND SERVICES. Contractor shall perform all services and deliver all work product to USHMM described in Section C, below, and otherwise in the awarded Proposal (“Permanent Exhibition A/V Systems and Infrastructure Modernization”), including without limitation:
B.1.1 Develop a well-designed Audio-Visual (AV or A/V) architecture to replace the existing systems and the infrastructure to fulfill USHMM requirements as delineated in this RFP;
B.2 PRICING STRUCTURE. Offerors shall submit pricing as defined in RFP Section L.7.2 below.
B.3 LABOR CATEGORIES AND RATES. Offerors shall submit fully-burdened hourly rates for all relevant labor categories against which the cost of anticipated optional services may be estimated.
B.4 PRICING WARRANTY. Contractor warrants that the prices for the supplies and services under this Contract are not greater than the prices charged the Contractor’s most favorable customer under similar circumstances.
SECTION C – DESCRIPTION, SPECIFICATIONS, STATEMENT OF WORK
C.1 BACKGROUND
C.1.1 The office of Information and Technology of the United States Holocaust Memorial
Museum (hereinafter referred as “USHMM” or “the Museum”) is looking to engage an audio visual engineering and design firm to conduct a complete review of the AV technologies of the Museum’s permanent exhibit (PE) and consolidate, update, upgrade and/or replace applicable technologies to bring the PE infrastructure to current standards.
Briefly, the company selected through this solicitation (hereinafter referred to as “the contractor”) shall be responsible for generating a comprehensive system design for AV delivery infrastructure for the Museum’s PE. The design aspects also include elements to integrate a show-control system for management and maintenance of the AV infrastructure.
C.1.2 The Museum’s current AV system is comprised of various obsolete equipment that has served the museum for about 27 years and they have reached their end of life status. The scope of this project addresses the redesign of the backend systems and cabling infrastructure that currently supports audio and video content to the Museum’s PE. To date, the museum has replaced approximately ninety percent of the video monitors on the Museum floors that our current system feeds. While this project is focused primarily on a redesign of the backend system, USHMM anticipates that some endpoints such as
USHMM RFP-954767-20-R-0007 2 of 54 [PE A/V Infrastructure Modernization] lighting controllers, amps, speakers and a small percentage of monitors will need to be replaced on the exhibit floors to integrate with proposed redesign.
C.2 STATEMENT OF WORK. At minimum, the Contractor shall provide all services and work product related to performance of the tasks described below and as otherwise described in paragraphs B.1 (“Supplies and Services”) and F.2 (“Deliverables Schedule”) herein.
The overall scope of the current project, which the Museum considers as Phase 1, is to develop a well-designed AV architecture to replace the existing system and the infrastructure. A summary of this scope is listed below.
● Conduct a thorough review of the current status and architecture of the PE system and infrastructure
● Review a previously developed redesign document
● Develop a new flexible and scalable architecture for the Museum’s PE that provides a robust monitoring, management and automation capabilities
● Identify exhibit end points that need to be replaced to integrate with the new system
● Develop a complete set of design and engineering documents that will be used for its implementation.
C.2.1 Museum Current AV Technology Profile
The Museum, located at the intersection of 14th Street and Independence Avenue of Washington DC, is a multi-level building with four floors of PE space. All of the AV systems are located within the Museum building and all contents are distributed to various endpoints from a single data center located within the Museums. The data center has several racks of digital and analog players and the signals from these players are amplified and delivered to the Museum floors through coaxial cables.
C.2.2 Supporting Documents
The Museum has conducted a redesign exercise to document a possible future state of its PE in 2013. This effort resulted in a design document detailing the replacement of the backend technologies. However, the implementation that design was not pursued since additional requirements have been identified over the past few years. While a major portion of the design developed in 2013 can still be applicable, the contractor is advised to review the document and use it as a baseline for their own design. Furthermore, many of the components referenced in the 2013 document are outdated and therefore offerors shall identify a suitable but most up-to-date alternatives to replace such components.
As detailed in Section J, the following documents are provided for reference:
● PE redesign document developed in 2013 [Addendum A]
● Inventory of components providing AV streams to the PE [Addendum B]

● Number of AV streams currently provided to the PE [Addendum C]
● General layout of racks in the data center [Addendum D]
● List of endpoints (monitors) currently operating in the PE [Addendum E]. Note:
Replacement of these monitors are not a part of this solicitation. This list is provided for reference purposes only.
C.3 CONTRACTOR TASKS
Review Current AV Technology Architecture:
As indicated elsewhere in this document, most of the system components that currently operate the PE are 27 years old with limited or no documentation available. In order to ensure a successful outcome of the project, the contractor needs to have a full understanding of the Museum’s current AV systems and their architecture. Contractor’s task shall include, but not limited to the following:
● Review all documents provided as a part of this solicitation to have a thorough understanding of the current AV technology profile and architecture of the systems
● Conduct a complete site survey after the contract is in place
● Identify all cable pathways and inner workings of various components that provide AV operations of the Museum
● Identify current networking architecture
Technical Requirements for developing the design document
Once the contractor reviewed all available documents and inspected the layout and current architecture of various components, the contractor shall develop a unified design document linking the existing endpoints with proposed system. At minimum, the design/engineering document shall contain:
● Contractor’s findings of the current environment as they relate to proposed updates/upgrades/replacement of various AV components
● Rack and equipment consolidation recommendations
● Cable consolidation and replacement with fiber optic cabling with detailed specifications
● Engineering diagrams and proposed conduit/pathway riser with cable termination points
● Detailed specifications for all new equipment and components
● Complete listing of all data center requirements including, but not limited to, floor space, electrical and other infrastructure specifications
● Proposed endpoint (monitors, amps, speakers, etc) replacements
● Contractor’s assumptions and expectations from the Museum
Security Requirements The Museum’s data network that provides all communications for the business operations is physically isolated from the AV network that delivers content to the exhibits. This ‘air-gap’
USHMM RFP-954767-20-R-0007 4 of 54 [PE A/V Infrastructure Modernization] status is an essential component of the new design in order to mitigate security breaches between the two networks. However, this also presents a challenge for active management of the AV network from onsite and remote locations. The design document developed shall address this separation but provide a secure solution for managing and maintaining the AV network.
Additionally, the following factors shall be taken into account:
● Security controls demonstrated to prevent malicious, DDoS, man-in-the middle and other forms of intrusions.
● Other security-related components the contractor may incorporate into the design
General Information and Responsibilities Contractor shall be responsible for Quality Assurance, to ensure that all work is performed in strict accordance with industry standards.
The Contractor shall comply with all applicable federal, state and local safety, health, and environmental regulations, including the National Environmental Policy Act (NEPA) and the standards set by the Occupational Safety & Health Administration (OSHA).
Deliverables
The deliverables for this project includes, but not limited to, the following:
● A detailed report consisting of the analysis of contractor’s findings on the Museum’s current AV installations.
● A unified design document that shall contain, but not limited to, the following:
○ A complete diagrammatic representation of the design including engineering drawings and AV networking architecture
○ A listing of all AV components
○ A listing of all networking components
○ Illustration of cabling pathways
○ Supporting documents explaining the advantages of the contractor’s design along with any alternate approach for the Museum to consider, if applicable
● A document detailing the new fiber optic cabling pathway in relation to the current coaxial cabling
● A summary report identifying possible phases of the implementation of the design and its potential constraints that may occur during the implementation
● Document detailing the incorporation of MediaLon-based automation, monitoring and management system in the new design
● Document(s) detailing rack elevations
● Cut sheets of equipment and components referenced in the design document

SECTION E - INSPECTION AND ACCEPTANCE

E.2. It shall be the responsibility of the Contractor to ensure that all supplies and services provided hereunder conform to the specifications prior to delivery to USHMM.
E.3 Inspection by USHMM shall not relieve the Contractor of responsibility for any or all quality control aspects during the life of the contract. This shall include quality control for all items covered by this contract that may be subcontracted.
E.4 Neither USHMM’s reviews, approval, or acceptance of services and/or supplies, nor payment for any of the services or supplies required under this contract shall be construed to operate as a waiver of action arising out of the performance of this contract. Furthermore, the Contractor shall be and remain liable to USHMM in accordance with applicable law for all damages to USHMM caused by the Contractor’s negligent performance of any of the services or supplies furnished under this contract.
E.5 Acceptance by USHMM does not relieve the Contractor of responsibility for correction of errors or omissions that may arise after such acceptance of the errors and omissions are clearly at fault in Contractor’s performance.
SECTION F - DELIVERIES OR PERFORMANCE
F.1 PERIOD OF PERFORMANCE.
F.1.1 The period of performance of the awarded contract shall be until the project has successfully been completed followed by the duration of any exercised USHMM options, with Contractor to conduct, complete, and present the AV architecture in a mutually agreed upon timeframe. USHMM’s option(s) hereunder (as identified herein and otherwise in Contractor’s Proposal) shall be jointly and severally exercisable at USHMM's sole discretion by written notice from USHMM's Contracting Officer at any time up to twelve (12) months following USHMM’s acceptance of the completed work.
F.1.2 USHMM may extend the term of the awarded contract by written notice to the Contractor no later than fifteen (15) days before the awarded contract is due to expire. The duration
USHMM RFP-954767-20-R-0007 6 of 54 [PE A/V Infrastructure Modernization] of the awarded contract including all extensions shall not exceed five (5) years from its effective date. All interim deliverable deadline(s) other than those provided in Contractor’s attached Statement of Work shall be mutually agreed upon in writing by the parties.
F.2 DELIVERABLES SCHEDULE.
F.2.1 Contractor shall deliver the AV architecture to USHMM, along with all work products pertaining thereto, in mutually agreed upon and industry-standard format(s). Each submittal shall fulfill the requirements defined fully address all sections elaborated in section C.2, et seq., above (“Contract Tasks”).
F.2.2 Should Contractor fail to timely deliver any single deliverable, USHMM’s acceptance thereof shall not constitute a waiver of USHMM’s rights regarding the delivery date(s) of subsequent deliverable(s) under this Section.
F.3 FAR 22.103 OVERTIME.
F.3.1 22.103-1 Definition. “Normal workweek,” as used in this subpart, means, generally, a workweek of 40 hours. Outside the United States and its outlying areas, a workweek longer than 40 hours is considered normal if—
(1) The workweek does not exceed the norm for the area, as determined by local custom, tradition, or law; and
(2) The hours worked in excess of 40 in the workweek are not compensated at a premium rate of pay.
F.3.2 22.103-2 Policy. Contractors shall perform all contracts, so far as practicable, without using overtime, particularly as a regular employment practice, except when lower overall costs to the Government will result or when it is necessary to meet urgent program needs.
Any approved overtime, extra-pay shifts, and multishifts should be scheduled to achieve these objectives.

SECTION G - CONTRACT ADMINISTRATION DATA
G.1 USHMM REPRESENTATIVES. USHMM’s designated representatives and points of contact for purposes of this Contract shall be the Contracting Officer (CO) and the Contracting

Officer’s Representative (COR), as follows:
G.1.1 CO Responsibilities. The CO has the authority to enter into, administer, and terminate the Contract. Communications pertaining to contractual administrative matters shall be addressed to the CO. No changes in or deviation from any of the Contract’s provisions, terms, conditions, including without limitation the scope of work, cost, or term provided herein shall be effected without a written modification to the Contract executed by the CO authorizing such changes.
G.1.2 COR Responsibilities.
(1) The Contracting Officer will designate, in writing, an authorized representative(s) to discharge such duties and responsibilities as may be delegated to him. The representative(s) will not have authority to change or alter any of the terms and conditions of the contract. The Contracting Officer is the sole authority to make changes in the contract. The Contractor will be furnished a copy of the COR delegation.
(2) The COR will provide technical direction on contract performance. Technical direction includes: (a) direction to the Contractor which assists in accomplishing the statement of work; and (b) comments on and approval of reports or other deliverables.
(3) Technical direction must be within the contract's statement of work. The COR does not have the authority to issue technical direction which: (a) institutes additional work outside the scope of the contract; (b) constitutes a change; (c) causes an increase or decrease in the estimated cost of the contract; (d) alters the period of performance; (e) changes any of the other express terms or conditions of the contract.
(4) The COR will issue technical direction in writing or confirm such direction in writing within five (5) calendar days after verbal issuance.
G.1.3 Contractor is advised that any reliance on direction from other than the CO or a COR acting within the strict limits of the responsibilities as set forth above is undertaken at Contractor’s own risk and expense, as such actions do not bind USHMM contractually.
All questions concerning the authority of a USHMM employee to direct the Contractor contractually should be referred to the CO.
G.2 CONTRACTOR REPRESENTATIVES. All Contractor personnel are provided below, specifically identified as “Key Personnel” or else as generally defined to meet the minimum qualifications provided below. (Offerors shall provide this information in their technical proposal, and such information shall be treated as though reproduced below.)

G.2.2 Key Personnel & Subcontractors.
(1) Contractor shall include the subcontractor(s) and key personnel to be assigned under this Contract those persons listed below: (Offerors shall provide this information in their technical proposal, and such list shall be treated as though reproduced below.)

(2) Contractor shall not remove the Key Personnel assigned to this project without the consent of USHMM. Contractor also will not remove such Key Personnel until he/she is replaced with a person/firm of equal or higher qualifications.
(3) Contractor shall not enter into any subcontracts other than those identified above for any of the work under this Contract without obtaining the prior written approval of the CO.
G.2.3 Qualifications of Contractor Personnel and Minimum Experience.
(1) Contractor shall ensure that staff and/or subcontractors dedicated to this project other than those Key Personnel defined above have the skills and experience level as described in Contractor’s Proposal. The service categories provided by the Contractor in performance of this Contract shall embrace all critical services described in this contract. All Contractor personnel assigned to this Contract are subject to USHMM review in accordance with the provided level of qualifications.
(2) USHMM shall reserve the right to recommend dismissal of a Contractor’s employee or subcontractor whose performance is detrimental to the satisfactory completion of contractual obligations. In addition, Contractor personnel found unacceptable by USHMM at any time shall be removed from performing under this Contract. The CO shall deliver such notification in writing to the Contractor.
G.2.4 Suitability. For those personnel who will need access to Museum property, construction sites, information, and data, full contractor suitability requirements will be provided prior
USHMM RFP-954767-20-R-0007 9 of 54 [PE A/V Infrastructure Modernization] to award, but could include any or all of the following: criminal history check conducted by running fingerprints submitted to the Museum through the FBI; verification of US citizenship or in some cases green card or work permit, employment references, and/or credit rating. Notwithstanding the effective date of the Contract, Museum shall preclude affected personnel from beginning performance hereunder until cleared for work, and Contractor shall be solely liable for any performance delays and lost billables attributable to Museum review of personnel still uncleared as of the Contract's effective date.
G.3 SUBSTITUTION OF REPRESENTATIVES. The parties shall advise one another in writing of any substitution for said representatives.
G.4 NOTICES. Any legal notices required hereunder shall be in writing and deemed delivered upon actual receipt of such notice when hand-delivered or sent by certified mail, postage prepaid, return receipt requested, or overnight express courier to the address first set forth above marked to the attention of the signatory of this Contract for the party, or to such other address or person as a party may designate in writing from time to time.
G.5 INVOICES
G.5.1 Contractor shall submit a single invoice to the COR upon satisfactory completion of the work or otherwise in a manner consistent with Contractor's Proposal for completed deliverables and services received and accepted by the COR. Invoices shall also be submitted to the United States Holocaust Memorial Museum, Attn: Accounts Payable Division by e-mail to <AccountsPayable@ushmm.org>, by fax to (202) 314-0375, and/or if by mail to 100 Raoul Wallenberg Place, SW, Washington, DC 20024-2150 with one of the three copies submitted to USHMM's COR. To constitute a proper invoice, the invoices must include the following information and/or attached documentation:
(1) Name of Business Concern and invoice date
(2) Contract Number or other authorization for performance of service
(3) Description, price, and quantity of services delivered or rendered
(4) Name, title, phone number, and complete mailing address of responsible official to whom payment is to be sent.
G.5.2 Withholding. Museum shall withhold a 10% retainage of the total project price pending satisfactory completion of the Contract.
G.5.3 Nonpayment for Additional Work. Any additional services or services representing a change to work specified herein or as defined in the applicable task order performed by Contractor, either at Contractor’s own volition or at the request of an individual other than a duly appointed CO except as may be explicitly authorized in this Contract are not authorized and will not be paid. Only a duly appointed CO is authorized to change the specifications, terms, and conditions in this Contract. Any such change shall be issued by the CO through a written amendment(s) or modification(s) to this Contract.

SECTION H - SPECIAL CONTRACT REQUIREMENTS
H.1 CONTRACT TERMS & CONDITIONS. The terms and conditions provided herein and otherwise implicit to federal contracting shall apply to this Contract and shall take precedence over any inconsistent terms and conditions to be found in agreement(s) and license(s) which may be attached to or submitted in conjunction with Contractor’s Proposal.
H.2 USE OF MUSEUM NAME
H.2.1 Contractor shall not use the name of USHMM in any news release, public announcement, advertisement, or any other form of publicity, or disclose any of the terms of this Contract to any third party without the prior written consent of
USHMM.
H.2.2 Contractor shall not use USHMM’s name, trademarks, or any other language, pictures, or symbols that could, in USHMM’s judgment, imply USHMM’s identity or endorsement by USHMM or any of its employees in any (1) written, electronic, or oral advertising or presentation or (2) brochure, newsletter, book, electronic database, or other written material of whatever nature, without USHMM’s prior written consent.
H.2.3 Inclusion of Section. Contractor shall include the terms of this Section (“Use of Museum
Name”) in any contracts with other parties providing services related to the performance of this Contract, such as but not limited to subcontractors.
H.3 TRAVEL AND EXPENSE. Except as explicitly indicated and prepriced as a not-to-exceed reimbursable in Contractor’s Proposal, the scope of work under this section does not anticipate any Contractor travel, and all travel shall be subject to Museum's prior review and approval. Travel expenses are to be reimbursed according to GSA travel guidelines and are to include lodging and travel expenses only. All expenses for food and incidentals are solely the responsibility of the Contractor and shall not be reimbursed by Museum.
H.4 SAM DATABASE COMPLIANCE
H.4.1 An Offeror is required to be registered in SAM when submitting an offer or quotation, and shall continue to be registered until time of award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation.
H.4.2 Contractor shall not change the name or address for electronic funds transfer (EFT) payments or manual payments as appropriate in the SAM record to reflect an assignee for the purpose of assignment of claims. Assignees shall be separately registered in the SAM
