52.212-1 ADDENDUM

ADDENDUM 52.212-1

This requirement will be procured using Part 12 AND 13. The Government will award an award if the offeror’s quotes conforms to the Request for Quotes (RFQ) and their proposed prices are determined fair and reasonable.

QUOTES PREPARATION INSTRUCTIONS: Quotes shall be submitted in three individual electronic files:

I. Administrative II. Technical III. Price Each subfactor under Volume II shall be separately tabbed and addressed in sufficient detail so the government may evaluate each subfactor independently.

Quotes and questions related to the solicitation shall be submitted via email to the following individual:

Only electronic submissions will be accepted; paper or printed copies of the quotes will not be accepted. Files larger than 20MB may need to be transmitted in separate emails.

Deadline for *Questions about the solicitation will be no later than 23 March 2023 at 10:00 AM central standard time to shenecqua.n.soares.civ@health.mil and Answers to those questions will be submitted on https://sam.gov/content/home no later than 24 March 2023 at 2:00 PM central standard time.

Responsibility Determination: The Contracting Officer is required to make a determination of responsibility IAW

FAR 9.1.

THE OFFEROR SHALL PREPARE THE QUOTES AS SET FORTH BELOW:

SECTION I - ADMINISTRATIVE:

Volume I – Administrative, Offerors shall include the following:

1. A summary or title page identifying the offeror, the full address, phone, UEI number, CAGE code, point(s) of contact (POC(s) authorized to negotiate with the Government on behalf of the Offeror, and the solicitation number. The Offeror is responsible for notifying the contracting office of any POC changes.

2. A completed copy of the SF 1449, Blocks 12, 17 (to include CAGE Code and DUNS number), 30A-C with the signature of a corporate officer authorized to negotiate for the company. Electronic signature is acceptable.

3. All amendments SF 30, Blocks 8 and 15A-C (for all amendments issued, if any).

4. Statement that the offeror will hold its quote firm for at least 60 days from the due date for receipt of offers, subject to any changes that may occur as a result of discussions (if applicable).

5. Representations and Certifications. Offeror must be registered in the System for Award Management (SAM) with the appropriate NAICS Code and shall not have any Active Exclusions listed within SAM to be eligible for award.

6. Offers are due by the Offer Due Date/Local Time listed on SF1449, Block 8 (unless extended via amendment). Offers shall be submitted via e-mail to shenecqua.n.soares.civ@health.mil. Offers received after the deadline will be considered untimely and will not be eligible for award.

SECTION II: Technical Capability:

1. Technical Capability - The technical offer shall be addressed in sufficient detail for the Government to determine if the Offeror understands the technical requirements listed in the following subfactors.

2. Technical Capabilities shall be submitted as a separate volume, Do NOT use solicitation as the technical capability statement. Each of the following must be addressed in sufficient detail for the Government to evaluation each Subfactor independently:

a) Subfactor 1 - Instruments/Equipment and Reagents/Consumables - Shall provide all Instruments/Equipment and Reagents/Consumables in accordance with (IAW) Performance Work Statement. See Exhibit “A” and “B”.

b) Subfactor 2 – ATO/RMF Compliance - Shall be in compliance with Authority to Operate/Risk Management Framework (ATO/RMF) upon submission of offer. Any updates to the equipment after receipt of an approved ATO shall be approved by the Defense Health Agency’s Cybersecurity Team in accordance with the Exhibit B.

c) The Contracting Officer will evaluate the Technical offer to determine whether the Offeror provided documentary proof from a DOD organization that the Offeror are in compliance with Authority to Operate/Risk Management Framework (ATO/RMF) for the proposed equipment that will access the DOD informational technology system. Provide documentation of ATO/RMF compliance. See Exhibit “D”.

d) Subfactor 3 – Maintenance/Service/Telephone Support – IAW Performance Work Statement.

e) Subfactor 4 - Training – IAW Performance Work Statement.

f) Subfactor 5 - Delivery/Reconfiguation –Include a timeline identifying critical points in the delivery/installation phase IAW Performance Work Statement.

The offer shall include the proposed equipment layout, the layout shall include all equipment to run the mandatory test, all the equipment shall fit within the designated laboratory space. Quotes without the layout information and pricing for all mandatory test will not be considered for award. All equipment shall fit in the designated laboratory space. Please see Exhibit “C” for CAD layout (schematics) for the laboratory space for equipment.

SECTION III - PRICE:

1. The Offeror shall submit proposed pricing for each line items. The prices shall be provided in whole-dollar amounts to the second decimal place (i.e., $0.00) only.

2. Offeror shall submit Exhibit “B” with all Pricing in Excel format.

* Must provide pricing for all mandatory test and future test on Exhibit “B”. Shall transpose Grand total/Net Amount from Exhibit “B” to Standard Form 1449 (SF 1449) subCLINs identified for each Option year for mandatory testing.

If the SF 1449 is not completed in accordance with Volume I of FAR Provision 52.212-1 Addendum or all line items for the base year and all option years are not completed the offer will be considered non-complaint and will not be evaluated or eligible for award.

3. The offeror shall agree to hold the offered prices firm for 90 days in the event the technical evaluation takes longer than expected.

4. For the purposes of evaluating price, the total amounts submitted for each CLIN shall be added to determine asubtotal per period of performance, and the overall total for the entire requirement (base period plus all four (4) option periods). Award will be made to the offer submitting the lowest overall price of those offerors that are evaluated as technically acceptable. Price must be determined to be fair and reasonable

NOTE: This is an “all or none” solicitation. Failure to provide a unit price for any test listed in Exhibit “B”, unless the offeror states "not separately priced" within the attachment, will be construed to mean the offeror is not quoting that test and thus, not eligible for award.

(m) The non-FAR Part 12 discretionary FAR, DFARS, AFARS, and MEDCOM provisions included herein are incorporated into this solicitation either by reference or in full text. If incorporated by reference, see clause 52.252-1 herein for locations where full text can be found.

CLAUSES INCORPORATED BY FULL TEXT

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

See Addendum to FAR 52.212-2.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-2 ADDENDUM

Paragraph (a) is hereby replaced with the following:

Award will be made using the lowest price technically acceptable (LPTA). The Government will award a contract resulting from this solicitation to the responsible offeror whose quote meets all technical evaluation factors and whose price has been determined fair and reasonable. Award will be made to the responsible offeror on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors. Award may be made without discussions with offerors (except communications conducted for the purpose of minor clarification). Therefore, each initial offer should contain the offeror's best terms from a technical and price standpoint. However, the Government reserves the right to conduct discussions if it is later determined by the contracting officer to be necessary.

Award will be made using the lowest-price, technically-acceptable source selection process. The government will initially list offers from lowest to highest price. The government will evaluate the lowest priced offer first. If that offer is determined technically unacceptable, the government will evaluate the next lowest priced offer and continue in that manner until an offer is rated Technically Acceptable. If an offer is rated Technically Unacceptable, the Government will not evaluate any other subfactors. USING THIS PROCEDURE, THE GOVERNMENT MIGHT

NOT EVALUATE ALL OFFERS.

Award will be made on an all or none basis.

The criteria for Evalation of proposals is provided below.

Factor 1 - Technical Acceptability: Technical Capability - The technical offer shall be addressed in sufficient detail for the Government to determine if the Offeror understands the technical requirements listed in the following subfactors.

Failure to provide a response in sufficient detail for each subfactory below shall result in an offeror receiving a rating of unacceptable. Each factor and sub-factor will be evaluated using the criteria stated in Table 1 below. Each factor must be found technically acceptable in order to be eligible for award.

Subfactor 1 - Instruments/Equipment and Reagents/Consumables - Shall provide all Instruments/Equipment and Reagents/Consumables in accordance with (IAW) Performance Work Statement. See Exhibit “A” and “B”.

*Failure to provide a price for all test, unless the offeror states "not separately priced" within the offer, will be construed to mean the offeror cannot provide the test. Any offer that fails to price all required testing, unless the test is identified as “not separately priced”, will not be evaluated further and will be ineligible for award.

Subfactor 2 - ATO/RMF Compliance - must be in compliance with Authority to Operate/Risk Management Framework (ATO/RMF) upon submission of offer. The Contracting Officer will evaluate the technical quotes to determine whether the Offeror provided documentary proof from a DOD organization that the Offeror are in compliance with Authority to Operate/Risk Management Framework (ATO/RMF) for the proposed equipment that will access the DOD informational technology system. Provide documentation of ATO/RMF compliance

Subfactor 3 - Maintenance/Service/Telephone Support – IAW Performance Work Statement.

Subfactor 4 - Training – IAW Performance Work Statement.

Subfactor 5 - Delivery/Reconfiguation –Include a timeline identifying critical points in the delivery/reconfiguation phase IAW Performance Work Statement.

Note: A rating of acceptable must be achieved on all technical subfactors in order to receive an acceptable rating for the overall Technical Capability Factor 1.

Table A-1. Technical Ratings

*An unacceptable rating will be assessed if offeror fails to submit verifiable proof of RMF/ATO accreditation and certification in accordance with Defense Health Agency guidelines.

* An unacceptable rating will be assessed if offeror fails to provide pricing for all required testing.

Award will be made on an all or none basis.

Factor 2 - Price: Failure to provide a price for all test, unless the offeror specifically identified as "not separately priced" within the offer, will be construed to mean the offeror cannot provide the test. All offers will initially be reviewed to determine whether each offer contains the required pricing for each test. Any offer that fails to price all required testing, unless the test is identified as “not separately priced”, will not be evaluated further and will be ineligible for award.

a) The Government will evaluate offers on the basis of fair and reasonable pricing once the offer has received at least an acceptable overall technical rating. An offeror's pricing must be determined to be fair and reasonable in order to be considered for contract award.

b) Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced.

Evaluation of options shall not obligate the Government to exercise the option(s).

c) Given that FAR 52.217-8 provides that the Government may exercise the Option to Extend Services at the rates specified in the contract (i.e., the rates in effect when the Extension of Services option is exercised, for purposes of evaluating the Option to Extend Services, the Contracting Officer will consider the prices submitted for the base year and each option year, since those are the binding prices should the Option to Extend be exercised.

d) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (OCT 2022)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Reasonable inquiry” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

"Women-owned small business (WOSB) concern eligible under the WOSB Program" (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.

(b) (1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.

(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications--Commercial Products and Commercial Services, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs ___
