About this file
This is a Design Consultant Agreement template prepared by the City of Santa Monica for professional design services on municipal projects. The agreement establishes the terms and conditions between the City and design consultants for providing architectural and engineering services across multiple project phases. The contract encompasses six primary service phases: Schematic Design, Design Development, Construction Documents, Bid Phase, Construction Administration, and Warranty Inspection. The Design Consultant is responsible for preparing comprehensive construction documents including drawings, specifications, and technical requirements that comply with all applicable codes and regulations. The agreement requires the Design Consultant to provide estimated project construction costs at multiple milestones, coordinate with consultants and other professionals, attend required meetings, conduct site observations during construction, and prepare record documents showing as-built conditions. The Design Consultant must maintain a designated Project Architect or Engineer approved by the City and is obligated to correct any errors, omissions, or conflicts in the documents at no additional cost. Authorization to proceed is required from the City for each phase, and the project schedule with specific deadlines is attached as Exhibit D. The contract includes provisions for independent design reviews conducted by the City and allows for extensions of time only for unforeseeable delays beyond the Design Consultant's control.
Compensation for basic services is structured as an hourly rate multiplied by the actual hours worked, subject to a maximum "Cost Not To Exceed" amount specified in the agreement, with monthly payments based on the percentage of work completed within each phase. Reimbursable expenses are limited to goods and services specifically requested by the City in writing and exclude costs such as printing, shipping, communications, mileage, and parking. Additional Services beyond the basic scope—including site evaluations, environmental studies, special surveys, revisions due to City-requested program changes, and services related to defective work caused by the Contractor—are compensated separately subject to City approval and notification within ten days. The Design Consultant must maintain professional liability insurance and provide indemnification to the City. The agreement allows the City to terminate the contract for cause or for convenience, with payment limited to services actually performed. Dispute resolution follows a progression from negotiation to mediation to arbitration or litigation, with costs borne by the losing party. The Design Consultant retains no authority to obligate the City to expenditures or time extensions and is responsible for all coordination among consultants and compliance with applicable code requirements.
