About this file
This file is a Special Terms and Conditions document for Consultant Services issued by the City of Urbana, Illinois, effective July 11, 2025. The document supplements the Standard Agreement Provisions for Consultant Services established by the Illinois Department of Transportation and the City of Urbana Purchasing Manual, with the Special Terms and Conditions taking precedence in cases of conflict. The document applies to all consultant service agreements executed prior to June 30, 2026, and establishes specific requirements for professional engineering services related to the City's Capital Improvement Plan for fiscal years 2027 through 2029. The contract term aligns with the City's fiscal year (July 1 through June 30), with selected firms to be pre-qualified for surveying and engineering services across multiple project phases including asset management, maintenance, planning, design, and construction observation.
Key contractual requirements include independent contractor status, submission of a Vendor Representations and Additional Duties form, and compliance with the City's Equal Employment Opportunity Guidelines and Illinois Human Rights Act, with firms required to obtain EEO approval before contract execution. Insurance requirements are substantial, including professional liability coverage, general liability, automobile liability, umbrella/excess liability of $5,000,000 per occurrence, and cyber liability of $3,000,000 per claim when accessing City IT infrastructure or handling sensitive data, with all policies requiring A.M. Best ratings of A- VIII or better and naming the City as additional insured. Payment terms specify that no more than 95 percent of the total agreement amount shall be paid until final deliverables are reviewed and accepted, with additional services requiring written authorization prior to performance, and the City retaining authority to terminate the agreement for non-compliance with personnel qualification requirements or other material breaches. The agreement is governed by Illinois law with exclusive jurisdiction in Champaign County courts.
