FORM OF GENERAL CONDITIONS
1.01 THE GENERAL CONDITIONS APPLICABLE TO THIS CONTRACT WILL BE AIA - A201 - 2007
GENERAL CONDITIONS OF THE CONTRACT FOR CONSTRUCTION.

SECTION 011000
SUMMARY
PART 1 GENERAL
1.01 PROJECT
A. The Project consists of the renovation of the auditorium ceiling & attic, balcony overbuild, acoustic door replacement, replacement of auditorium seating, and technical back of house spaces. .
1.02 DESCRIPTION OF ALTERATIONS WORK
A. Owner will remove the following items before start of work:
1. Pipe Organ Equipment from Organ Loft .
B. Contractor is required to remove and store the following prior to start of work, for later reinstallation by Contractor:
1. Push plates of the doors being replaced in the auditorium. .
2. Pulls of the doors being replaced in the auditorium .
1.03 OWNER OCCUPANCY
A. Owner intends to continue to occupy adjacent portions of the existing building,during the entire construction period .
B. Owner intends to occupy the Project upon Substantial Completion.
C. Cooperate with Owner to minimize conflict and to facilitate Owner's operations.
D. Schedule the Work to accommodate Owner occupancy.
1.04 CONTRACTOR USE OF SITE AND PREMISES
A. Construction Operations: Limited to areas noted on Drawings.
1. Locate and conduct construction activities in ways that will limit disturbance to site.
2. Coordinate after hours construction with Owner to limit disturbances during performances.
B. Arrange use of site and premises to allow:
1. Owner occupancy.
2. Use of the Stavros Great Room and Lobby for performances.
a. Coordinate shared use of the Lobby to allow for access when there are performances in the Stavros Great Room. This includes access to the main bathrooms during performances. Lobby to be clear of clear of construction debris and materials during performances in Stavros Great Room.
3. Use of site and premises by the public.
a. Back of House spaces on the Stavros, Lobby, Orchestra, and Balcony levels.
b. Stavros Great Room, Lobby, and adjacent spaces.
C. Provide access to and from site as required by law and by Owner:
1. Emergency Building Exits During Construction: Keep all exits required by code open during construction period; provide temporary exit signs if exit routes are temporarily altered.
2. Do not obstruct roadways, sidewalks, or other public ways without permit.
D. Storage allowed only in work areas designate on the plans.
E. Time Restrictions:
1. See Seciton 009000 Special Conditions for scheduling requirements; coordinate with
Owner.
2. Limit conduct of especially noisy work to hours governed by local ordinances. Coordinate with Owner any work procedures that are noisy, creates odoriferous fumes, or produces a condition that would be disruptive to class sessions or staff occupancy that may need to occur after hours, as necessary. See Section 009000 Special Conditions for additional requirements.
3. Use of the lobby during after hours must be coordinated with Owner.

F. Utility Outages and Shutdown:
1. Do not disrupt or shut down life safety systems, including but not limited to fire sprinklers and fire alarm system, without 7 days notice to Owner and authorities having jurisdiction.
See Section 009000 Special Conditions for additional requirements.
2. Prevent accidental disruption of utility services to other facilities.

SECTION 012000
PRICE AND PAYMENT PROCEDURES
PART 1 GENERAL
1.01 SECTION INCLUDES
A. Procedures for preparation and submittal of applications for progress payments.
B. Documentation of changes in Contract Sum and Contract Time.
C. Change procedures.
D. Correlation of Contractor submittals based on changes.
E. Procedures for preparation and submittal of application for final payment.
1.02 RELATED REQUIREMENTS
A. Section 012100 - Allowances: Payment procedures relating to allowances.
B. Section 012200 - Unit Prices: Monetary values of unit prices; Payment and modification procedures relating to unit prices.
1.03 SCHEDULE OF VALUES
A. Use Schedule of Values Form: AIA G703, edition stipulated in the Agreement.
B. Forms filled out by hand will not be accepted.
C. Submit Schedule of Values in duplicate within 15 days after date of Owner-Contractor Agreement . Coordinate with Owner and Lending Institution for any additional breakdown requirements.
D. Format: Utilize the Table of Contents of this Project Manual. Identify each line item with number and title of the specification section. Identify site mobilization.
E. Include in each line item, the amount of Allowances specified in this section. For unit cost Allowances, identify quantities taken from Contract Documents multiplied by the unit cost to achieve the total for the item.
F. Include separately from each line item, a direct proportional amount of Contractor's overhead and profit.
G. Contractor shall submit any deviations or exclusions from Contract Documents to the Owner and Architect prior to submitting Schedule of Values.
H. Revise schedule to list approved Change Orders, with each Application For Payment.
1.04 APPLICATIONS FOR PROGRESS PAYMENTS
A. Payment Period: Submit at intervals stipulated in the Agreement.
B. Use Form AIA G702 and Form AIA G703, edition stipulated in the Agreement.
C. Forms filled out by hand will not be accepted.
D. For each item, provide a column for listing each of the following:
1. Item Number.
2. Description of work.
3. Scheduled Values.
4. Previous Applications.
5. Work in Place and Stored Materials under this Application.
6. Authorized Change Orders.
7. Total Completed and Stored to Date of Application.
8. Percentage of Completion.
9. Balance to Finish.
10. Retainage.
E. Execute certification by signature of authorized officer.

F. Use data from approved Schedule of Values. Provide dollar value in each column for each line item for portion of work performed and for stored products.
G. List each authorized Change Order as a separate line item, listing Change Order number and dollar amount as for an original item of work.
H. Submit one electronic hard-copy of each Application for Payment via method outlined below:
1. Contractor shall submit Payment Applications to Construction Contract Administrator
(CCA) via email.
I. Include the following with the application:
1. Transmittal letter as specified for submittals in Section 013000.
2. Construction progress schedule, revised and current as specified in Section 013000.
3. Current construction photographs specified in Section 013000.
4. Partial release of liens from major subcontractors and vendors.
5. Project record documents as specified in Section 017800, for review by Owner at the
Project Job Site.
6. Affidavits attesting to off-site stored products.
J. When Owner or Architect requires substantiating information, submit data justifying dollar amounts in question. Provide one copy of data with cover letter for each copy of submittal.
Show application number and date, and line item by number and description.
1.05 MODIFICATION PROCEDURES
A. Submit name of the individual authorized to receive change documents and who will be responsible for informing others in Contractor's employ or subcontractors of changes to Contract Documents.
B. For minor changes not involving an adjustment to the Contract Sum or Contract Time, Architect will issue "ARCHITECT'S SUPPLEMENTAL INSTRUCTIONS" directly to Contractor.
C. For other required changes, Architect will issue a document signed by Owner instructing Contractor to proceed with the change, for subsequent inclusion in a Change Order.
1. The document will describe the required changes and will designate method of determining any change in Contract Sum or Contract Time.
2. Promptly execute the change.
D. Contractor may propose a change by submitting a "PROPOSAL REQUEST" to Architect , describing the proposed change and its full effect on the Work, with a statement describing the reason for the change, and any effect on the Contract Sum and Contract Time with full documentation and a statement describing the effect on Work by separate or other contractors .
Document any requested substitutions in accordance with Section 01 6000.
1. Contractor shall submit "PROPOSAL REQUEST" via web-based platform described below:
a. www.smartsheet.com
b. The Construction Contract Administrator (CCA) shall provide the web address, specific to the Project, to the Contractor at the Project's Kick-off Meeting. The CCA shall also provide the Contractor with how-to instructions; training may be provided on an as-needed basis.
c. Contractor shall input the following information on the web-based platform:
1) Name of person submitting the Proposal Request.
2) Email address.
3) Proposal Request number.
4) Proposal Request title.
5) Reason for the Proposal Request.
6) PDF attachment. NOTE: The single PDF attachment shall include all of the
Prosposal Request content specfied herein.
2. Contractor shall formally submit and include approved Proposal Requests as a Change
Order.

E. Computation of Change in Contract Amount: As specified in the Agreement and Conditions of the Contract.
1. For change requested by Architect for work falling under a fixed price contract, the amount will be based on Contractor's price quotation.
2. For change requested by Contractor , the amount will be based on the Contractor 's request for a Change Order as approved by Architect and/or Owner.
3. For pre-determined unit prices and quantities, the amount will based on the fixed unit prices.
F. Substantiation of Costs: Provide full information required for evaluation.
1. On request, provide the following data:
a. Quantities of products, labor, and equipment.
b. Taxes, insurance, and bonds.
c. Overhead and profit.
d. Justification for any change in Contract Time. Only delays that are determined to extend the critical path of the Project schedule may result in a time extension, if approved.
e. Credit for deletions from Contract, similarly documented.
2. Support each claim for additional costs with additional information:
a. Origin and date of claim.
b. Dates and times work was performed, and by whom.
c. Time records and wage rates paid.
d. Invoices and receipts for products, equipment, and subcontracts, similarly documented.
3. For Time and Material work, submit itemized account and supporting data after completion of change, within time limits indicated in the Conditions of the Contract.
G. Preparation and execution of CHANGE ORDERS: Contractor shall prepare, sign, and send Change Orders to Architect for approval via the method outlined below. Architect shall review Change Orders and, upon approval, send to Owner for final execution.
1. Contractor shall submit "CHANGE ORDER" via web-based platform www.smartsheet.com.
a. The Construction Contract Administrator (CCA) shall provide the web address, specific to the Project, to the Contractor at the Project's Kick-off Meeting. The CCA shall also provide the Contractor with how-to instructions; training may be provided on an as-needed basis.
H. After execution of Change Order, promptly revise Schedule of Values and Application for Payment forms to record each authorized Change Order as a separate line item and adjust the Contract Sum.
I. Promptly revise progress/construction schedules to reflect any change in Contract Time, revise sub-schedules to adjust times for other items of work affected by the change, and resubmit.
J. Promptly enter changes in Project Record Documents.
1.06 APPLICATION FOR FINAL PAYMENT
A. Prepare Application for Final Payment as specified for progress payments, identifying total adjusted Contract Sum, previous payments, and sum remaining due.
B. Application for Final Payment will not be considered until the following have been accomplished:
1. All closeout procedures specified in Section 017000.

ALLOWANCES
PART 1 GENERAL
1.01 SECTION INCLUDES

1.03 CONTINGENCY ALLOWANCE
A. Funds will be drawn from the Contingency Allowance only by Change Order.
B. At closeout of Contract, funds remaining in Contingency Allowance will be credited to Owner by Change Order.
1.04 INSPECTING AND TESTING ALLOWANCES
A. Costs Included in Inspecting and Testing Allowances: Cost of engaging an inspecting or testing agency; execution of inspecting and tests; and reporting results.
1.05 ALLOWANCES SCHEDULE
A. Contingency Allowance: Include the stipulated sum/price to be determined by Owner.

SECTION 012500
SUBSTITUTION PROCEDURES
PART 1 - GENERAL
1.01 RELATED DOCUMENTS
A. Drawings and general provisions of the Contract, including General and Supplementary Conditions and other Division 01 Specification Sections, apply to this Section.
1.02 SUMMARY
A. Section includes administrative and procedural requirements for substitutions.
B. Related Requirements:
1. Section 012100 - Allowances : requirements for products selected under an allowance.
2. Section 012300 - Alternates ; requirements for products selected under an alternate.
3. Section 016000 - Product Requirements for fundemental requirements for submitting comparable product submittals for products by listed manufacturers.
1.03 DEFINITIONS
A. Substitutions: Changes in products, materials, equipment, and methods of construction from those required by the Contract Documents and proposed by Contractor.
1. Substitutions for Cause: Changes proposed by Contractor that are required due to changed Project conditions, such as unavailability of product, regulatory changes, or unavailability of required warranty terms.
2. Substitutions for Convenience: Changes proposed by Contractor or Owner that are not required in order to meet other Project requirements but may offer advantage to Contractor or Owner.
1.04 ACTION SUBMITTALS
A. Substitution Requests: Identify product or fabrication or installation method to be replaced.
Include Specification Section number and title and Drawing numbers and titles.
1. Substitution Request Form: Contractor shall use the Substitution Request Form included in Part 3 of this Section.
2. Documentation: Show compliance with requirements for substitutions and the following, as applicable:
a. Statement indicating why specified product or fabrication or installation cannot be provided, if applicable.
b. Detailed comparison of significant qualities of proposed substitution with those of the
Work specified. Include annotated copy of applicable Specification Section.
Significant qualities may include attributes such as performance, weight, size, durability, visual effect, sustainable design characteristics, warranties, and specific features and requirements indicated. Indicate deviations, if any, from the Work specified.
c. Product Data, including drawings and descriptions of products and fabrication and installation procedures.
d. Samples, where applicable or requested.
e. Certificates and qualification data, where applicable or requested.
f. List of similar installations for completed projects with project names and addresses and names and addresses of architects and owners.
g. Material test reports from a qualified testing agency indicating and interpreting test results for compliance with requirements indicated.
h. Research reports evidencing compliance with building code in effect for Project, from
ICC-ES or other applicable code organizations including, but not limited to:
1) Florida Notice of Acceptance
2) Underwriters Laboratory (UL)
3) Owner's insurer

i. Detailed comparison of Contractor's construction schedule using proposed substitution with products specified for the Work, including effect on the overall Contract Time. If specified product or method of construction cannot be provided within the Contract Time, include letter from manufacturer, on manufacturer's letterhead, stating date of receipt of purchase order, lack of availability, or delays in delivery. Contractor to verify if additional design time, coordination time and evaluation time will be required for substitution.
j. Failure of the construction team to research foreseeable lead times in advance and later find that a specified item cannot be obtained in a timely manner is not an acceptable reason to request a substitution. See Section 013216 for additional construction progress schedule requirements.
k. System/Product Cost information, including additional design/re-design compensation, including a proposal of change, if any, in the Contract Sum.
l. Contractor's certification that proposed substitution complies with requirements in the Contract Documents except as indicated in substitution request, is compatible with related materials, and is appropriate for applications indicated.
m. Contractor's waiver of rights to additional payment or time that may subsequently become necessary because of failure of proposed substitution to produce indicated results.
3. Architect's Action: If necessary, Architect will request additional information or documentation for evaluation within seven days of receipt of a request for substitution.
Architect will notify Contractor of acceptance or rejection of proposed substitution within 15 days of receipt of request, or 15 days of receipt of additional information or documentation, whichever is later.
a. Forms of Acceptance: Change Order, Construction Change Directive, or Architect's
Supplemental Instructions for minor changes in the Work.
b. Use product specified if Architect does not issue a decision on use of a proposed substitution within time allocated.
1.05 QUALITY ASSURANCE
A. Compatibility of Substitutions: Investigate and document compatibility of proposed substitution with related products and materials. Engage a qualified testing agency to perform compatibility tests recommended by manufacturers.
1.06 PROCEDURES
A. Coordination: Revise or adjust affected work as necessary to integrate work of the approved substitutions.
PART 2 - PRODUCTS
2.01 SUBSTITUTIONS
A. Substitutions for Cause: Submit requests for substitution immediately on discovery of need for change, but not later than 15 days prior to time required for preparation and review of related submittals.
1. Conditions: Architect will consider Contractor's request for substitution when the following conditions are satisfied. If the following conditions are not satisfied, Architect will return requests without action, except to record noncompliance with these requirements:
a. Requested substitution is consistent with the Contract Documents and will produce indicated results.
b. Substitution request is fully documented and properly submitted.
c. Requested substitution will not adversely affect Contractor's construction schedule.
d. Requested substitution has received necessary approvals of authorities having jurisdiction.
e. Requested substitution is compatible with other portions of the Work.
f. Requested substitution has been coordinated with other portions of the Work.
g. Requested substitution provides specified warranty.

h. If requested substitution involves more than one contractor, requested substitution has been coordinated with other portions of the Work, is uniform and consistent, is compatible with other products, and is acceptable to all contractors involved.
B. Substitutions for Convenience: Not allowed unless otherwise indicated.
C. Substitutions for Cause and/or Convenience: Architect will consider requests for substitution if received within 60 days after the Notice of Award . Requests received after that time may be considered or rejected at discretion of Architect.
1. Conditions: Architect will consider Contractor's request for substitution when the following conditions are satisfied. If the following conditions are not satisfied, Architect will return requests without action, except to record noncompliance with these requirements:
a. Requested substitution offers Owner a substantial advantage in cost, time, energy conservation, or other considerations, after deducting additional responsibilities Owner must assume. Owner's additional responsibilities may include compensation to Architect for redesign and/or other Design Team member’s evaluation services, increased cost of other construction by Owner, and similar considerations.
b. Requested substitution does not require extensive revisions to the Contract Documents.
c. Requested substitution is consistent with the Contract Documents and will produce indicated results including Assembly System and Warranty requirements.
d. Substitution request is fully documented and properly submitted.
e. Requested substitution will not adversely affect Contractor's construction schedule.
f. Requested substitution has received necessary approvals of authorities having jurisdiction.
g. Requested substitution is compatible with other portions of the Work.
h. Requested substitution has been coordinated with other portions of the Work.
i. Requested substitution provides specified warranty.
j. If requested substitution involves more than one contractor, requested substitution has been coordinated with other portions of the Work, is uniform and consistent, is compatible with other products, and is acceptable to all contractors involved.

WEATHER DELAYS
PART 1 GENERAL
1.01 RELATED DOCUMENTS

1.02 SUMMARY
A. This Section includes requirements for Contractor requested weather delay days due to adverse weather conditions.
1.03 RELATED SECTIONS
A. Following are related Sections that contain additional Contractor requirements. Not all of these listed Sections may apply to this Project nor are they being represented as being all inclusive of every related Section possibly associated with this Section.

1.04 REFERENCE STANDARDS
A. Following are reference standards normally associated with this Section. These Standards may not apply to this Project nor are they being represented as being all inclusive of every reference standard associated with this Section. Refer to Division 00 Section “Supplementary Conditions” Article 1, concerning version of Standards referenced.

1.05 DEFINITIONS
A. “Rain days” and “snow days” are not specifically defined herein.
B. Weather Delays: Conditions beyond normal weather conditions expected at the site location.
Contractor shall allow for normal inclement weather days in his Construction Schedule and not make claims for weather days except those that are in excess of the normal inclement days from the cumulative days over the course of the entire project.
C. Normal Inclement Weather and Actual Weather Conditions: Data collected by the National Climatic Data Center (NCDC) for the National Oceanic and Atmospheric Administration’s (NOAA) National Weather Service (NWS) Forecast Office. ( www.ncdc.noaa.gov )
1.06 EXTENSIONS OF CONTRACT TIME
A. If the basis exists for an extension of time in accordance with paragraph 8.3-8.3.3 of the General Conditions of the Contract for Construction – AIA Document A201 - 2007 Edition and the applicable General Requirements, or as otherwise stated in the Owner supplied General Conditions, an extension of time on the basis of inclement weather may be granted only for the number of Weather Delay Days in excess of the number of days listed in the Monthly Climatological Summery from NOAA based on a three year average.
B. Contractor shall provide a construction schedule which clearly indicates anticipated Weather Delay Days and Holidays. Contractor shall update their construction schedule for any potential schedule extensions or potential schedule abridgement related to Weather Delays every month if applicable.
C. Weather day extensions will not be granted until all weather delays that were included over the course of the entire construction schedule have been accounted for and depleted.

1.07 STANDARD BASELINE FOR AVERAGE CLIMATIC RANGE
A. Standard baseline shall be as noted below:
1. Substantiating weather data shall be as provided by the, nearest recording station to the project location, from the National Climatic Data Center (NCDC) for the National Oceanic and Atmospheric Administration’s (NOAA) National Weather Service (NWS) Forecast Office ( www.ncdc.noaa.gov <http://www.ncdc.noaa.gov> .
B. Contractor shall provide a construction schedule which clearly indicates anticipated weather delays days and holidays. Contractor shall update their construction schedule for any potential schedule extensions or potential schedule abridgement related to weather delays every month if applicable.
C. Weather delay extensions will not be granted until all weather delays that were included over the course of the entire constructoin schedule have been accounted for and depleted.
1.08 ADVERSE WEATHER AND WEATHER DELAY DAYS
A. Adverse Weather is defined as the occurrence of one or more of the following conditions which prevents construction activity exposed to weather conditions or access to the site within a twenty-four (24) hour period:
1. Precipitation (rain, snow, or ice) in excess of one-tenth inch (0.10-inch) liquid measure.
2. Temperatures which do not rise above that specified for the day’s construction activity, if such temperature requirement is specified or accepted as standard industry practice.
3. Temperatures which do not rise above 32 degrees F by 10:00 a.m.
4. Sustained wind in excess of twenty-five (25) m.p.h.
B. Adverse Weather may include, if appropriate, “dry-out” or “mud” days:
1. Resulting from precipitation days that occur beyond the standard baseline;
2. Only if there is a hindrance to site access or sitework, such as excavation, backfill, and footings, and Contractor has taken all reasonable accommodations to avoid such hindrance.
3. At a rate no greater than one (1) make-up day for each day or consecutive days of precipitation beyond the standard baseline that total 1.0-inch or more, liquid measure, unless specifically recommended otherwise by the Architect.
C. A Weather Delay Day may be counted if adverse weather prevents work on the project for fifty percent (50%) or more of the contractor’s scheduled workday and critical path construction activities were included in the day’s schedule, including a weekend day or holiday if Contractor has scheduled construction activity that day.
D. Contractor shall take into account that certain construction activities are more affected by adverse weather and seasonal conditions than other activities, and that “dry-out” or “mud” days are not eligible to be counted as a Weather Delay Day until the standard baseline is exceeded.
Hence, Contractor should allow for an appropriate number of additional days associated with the Standard Baseline days in which such applicable construction activities are expected to be prevented and suspended.
1.09 DOCUMENTATION AND SUBMITTALS
CERTIFICATION OF COMPLIANCE: SUBMIT ALL INFORMATION NECESSARY TO INDICATE
FULL COMPLIANCE TO ALL REQUIREMENTS SPECIFIED HEREIN, OTHERWISE,
SUBMITTAL WILL BE RETURNED MARKED ‘REJECTED.’
A. Submit in accordance with the requirements specified in Division 01 Section “Submittal Procedures.”
B. Daily Construction Reports: Organized by month, record daily construction reports showing which and to what extent critical path construction activities have been affected by weather.

D. Use standard baseline data as noted from NOAA in this Section when documenting actual delays due to weather in excess of the average climatic range.
E. Organize claim and documentation to facilitate evaluation on a basis of calendar month periods, and submit in accordance with the procedures for Claims established in Article 4 of the General Conditions of the Contract for Construction – AIA Document A201 - 2007 Edition and the applicable General Requirements, or as otherwise stated in the Owner supplied General Conditions.
F. If an extension of the Contract Time is appropriate, the extension shall be in accordance with the provisions of Article 7 of the General Conditions of the Contract for Construction – AIA Document A201 - 2007 Edition and the applicable General Requirements, or as otherwise stated in the Owner supplied General Conditions.
G. If adverse weather conditions are the basis for a Claim for additional time, the Claim shall be documented and discussed monthly in OAC. Weather delay claims shall be substantiated by data and consturction activities. The claim shall be based on the following (1) were the conditions abnormal when compared to the previous three year period average, during the same time frame and at the location of the Work, (2) could not have been reasonably anticipated, and (3) had an adverse effect on the data of substantial completion of the Work.
H. The terms, milestones and methods of calculating Weather Delays and Holidays shall be agreed on by the Owner and Contractor prior the start of construction. The schedule for the project shall be reflected in the Contractor's critical path method schedule and construction schedule which shall be reviewed monthly in order to entertain the possibility of receiving weather delays.
