About this file
The document is a Nondisclosure Agreement (NDA) between the Flagler County Board of County Commissioners and an unspecified Receiving Party, designed to protect confidential information related to a potential hardware acquisition for network traffic analysis at a new library location in Bunnell, Florida. The NDA is part of the E-Rate Cybersecurity Pilot Program for Schools and Libraries, which aims to support the library's IT team in acquiring services and equipment to monitor and detect network threats.
The agreement comprehensively defines confidential information as sensitive law enforcement, judicial, or security-related data that could be in various formats, including written, photographic, audio, or electronic. The Receiving Party is obligated to maintain strict confidentiality, carefully restrict access to the information, and obtain prior written consent before sharing with third parties. The NDA's provisions remain in effect until the confidential information no longer qualifies as such or until Flagler County releases the Receiving Party from the agreement, ensuring long-term protection of sensitive information related to the library's network infrastructure project.

This Agreement may not be amended except in a writing signed by both parties.
8. Waiver. The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent rights.
