Amendment 0003:
The prupose of this amendment is to answer industry questions:
Question #10: Does 52.219-4 apply? Response #10: Yes, Clause 52.219-4, Notice of Price Evaluation Preference for HUBZone Small Business Concerns, is now incorporated into the solicitation.
Question #11: In the Table of Section L, Paragraph 1.3, what is the difference between "Small Business Subcontracting" and "Small Business Participation". Are there different submission requirements or evaluation criteria?
Response #11: Yes, Small Business Subcontracting Plan and Small Business Participation are different. Small Business Participation (Factor 3) is detailed in paragraph
2.3. Small Business Subcontracting Plan is
detailed in Provision L-219-H001, Submission of Small Business Subcontracting Plan (NAVSEA)
(JAN 2019).
Question #12: Some text in the Table of Section L, Paragraph 1.3 appears to be cut off. Request a revised table.
Response #12: The Government has reviewed the attachment on beta.sam and cannot identify any discrepancies. If there is specific information incomplete, please provide screenshots of the table so the Government can properly review.
Question #13: Does the STR's resume count towards the maximum 12-page limit?
Response #13: No, the STR’s resume does not count towards the maximum 12-page limit identified in table 1.3. This clarification has been added to paragraph 2.1.2.
Question #14: Regarding Factor 3, Small Business Participation, our interpretation of the FAR is that small businesses are not required to submit a subcontracting plan (which is what L-2.3(e) is asking for). Per FAR 19.702 (b) "Subcontracting plans (see paragraphs (a)(1) and (2) of this section) are not required - from small business concerns."
Response #14: Small Business Participation and Small Business Subcontracting Plan are two different aspects of the solicitation. Please refer to Response 11 for additional information.
Question #15: Why was this contract not set aside for small businesses?
Response #15: This contract was not set-aside for Small Business as the requirement did not meet the reasonable expectations detailed in FAR 19.502-2.

In the response to the RFP, the Offeror must address the below factors and subfactors.
2.1 Technical Capability (Factor 1)
2.1.1 Hypothetical Tasks (Subfactor A)
Assume that project-specific equipment (communications, torpedo recovery equipment, etc.) will be provided by the Government. The responses to each area shall be included in the technical proposal narrative page count limit identified in 1.3 (c).
Offerors shall describe its approach, names of potential vendors and assets (examples of such assets include fixed and rotary wing aircraft, ocean-going vessels, commercial diving support, vessel mobilization support, and use of various pieces of oceanographic equipment), and how it would resolve the hypothetical tasks. The approach shall discuss how the offeror will develop a response to a solicitation within 14 days from date of request for proposal to the required response date. This approach shall contain a detailed schedule of actions and milestones to meet the hypothetical requirements. Identify all proposed assets, their unique capabilities for the task, and their proximity to the test sites identified in the hypothetical tasks below. Discuss why these particular assets were proposed including their applicability and suitability to the test requirements. Discuss any safety issues and risk mitigation and management for those issues. Provide and discuss the proposed labor mix (categories and hours) and why these categories are appropriate for this type of effort.
Hypothetical Tasks:
Task 1:
NUWC Division Newport is supporting exercises involving exercise torpedoes on the Southern California Offshore Range (SCORE) off of San Diego, CA. The contractor shall provide a vessel which is capable of recovering six (6) Mk 48 exercise torpedoes.
Each torpedo is approximately 21 feet long, 21 inches in diameter, and weighs 2400 lbs.
The Government will provide a Standard Operating Procedure (SOP), recovery equipment, and personnel to perform the recoveries. The vessel shall have the required deck space to store and work around the torpedoes on deck, and the required lifting capability to recover the torpedoes from the water to the vessel deck. There are currently no commercial vessels available that meet tasking requirements during the Government’s testing period in the greater San Diego, CA area and alternate home ports must be pursued to find an adequate vessel.
In addition, the contractor shall provide a helicopter for recovery operations of the Mk 48 torpedoes as described above. The helicopter shall have a minimum endurance of thirty
(30) minutes on-station (with under slung, Government furnished, empty cage). Finally, the contractor shall provide a fixed wing aircraft for aerial observation of marine mammals and of expended torpedoes on the ocean surface. The testing will be conducted over a four-day period, during daylight hours.
Task 2:
NUWC Division Newport is supporting the installation of a large target on the sea floor off of Norfolk, VA. The target to be placed is 50 feet long by 10 feet in diameter and weighs 20,000 lbs. The operation is planned to be conducted over three operational days with three weather contingency days. The contractor shall provide an appropriate surface ship to support the installation of the target on the sea floor. The vessel will be required to be on-station for six days. Due to the large target size, the Navy is unable to mobilize at a Navy port. Therefore, the contractor shall mobilize at the vessel’s home port or a suitable commercial port if available.
2.1.2 Personnel and Management (Subfactor B)
(a) The contractor shall identify one key person as the Senior Technical Representative (STR) designated to manage the overall contract effort and serve as the primary point of contact with the NUWC COR. Include a resume for the STR (if the STR's resume is included elsewhere in the proposal, identify its location and do not resubmit). Address the STR's authority, ability to independently commit company resources to performance under the contract, and the STR's line of communication to senior company management.
Describe the STR's previous experience managing similar efforts. The STR must be designated as a Key person directly charged under the contract and have an associated labor category. The STR shall be proposed as part of the level of effort, and the proposal shall demonstrate that the STR can effectively and efficiently manage day-to-day tasks from a remote location.
(b) Describe the offerors approach to managing its subcontractors at the task order level.
Explain how the Offeror will identify and correct any deficiencies in performance associated with the actions or inactions of the Contractor’s and subcontractor’s personnel.
NOTE: RESUMES ARE EXCLUDED FROM THE PAGE COUNT IDENTIFIED
IN 1.3(C).
2.2 Past Performance (Factor 2)
(a) The Offeror shall provide three (3) past performance references, if available, that reflect recent relevant experience performed within the last three (3) years of solicitation closing date. Past performance references shall demonstrate the Offeror’s ability to manage and execute the scope and breadth of the tasking in the Statement of WorkIn the information provided, discuss how the references are relevant to the specific sections of the SOW. Include contract/task order number, contract/task order type, program name, total contract/task order cost, short description of work performed, and names and valid telephone numbers for the Procuring Contract Officer (PCO), Contracting Officer’s Representative (COR), and Program Manager (PM) for each reference. If none or fewer than three (3) recent, relevant references are available, the Offeror shall submit a statement indicating as such.
(b) Each past performance reference should not exceed two (2) pages per reference, for a total of six (6) pages.
(c) Subcontractors performing more than twenty-five percent (25%) of the total price shall also submit up to three (3) past performance references that reflect recent relevant experience performed within the last three years of solicitation closing date and demonstrate the ability to handle the scope and breadth of the tasking in the Statement of
Work. Each past performance reference should not exceed two (2) pages per reference, for a total of six (6) pages per subcontractor. These pages will not be counted against the proposal page count under Past Performance identified in paragraph 1.3(c). Subcontractor references shall contain the same information and rationale as those required for the prime offeror as listed in subparagraph (a) above.
(d) The Government may also use other information such as CPARS or other data available from Government sources to evaluate an Offeror’s past performance. The Government reserves the right to limit or expand the number of references it decides to contact, and contact references other than those provided by the Offeror.
2.3 Small Business Participation (Factor 3)
The offeror shall provide sufficient detail to permit a complete evaluation (there is no page limit for Small Business Participation). This factor applies to every offeror (U.S.
and non-U.S.), regardless of size status or locations of working facilities or headquarters.
Small Business Participation shall include the following:
(a) All offerors shall provide the names and CAGE codes of small business concerns (including the offeror if a small business concern) who would participate in accomplishing the proposed contract; the small business classification of each U.S. small business concern (i.e. SB, SDB, WOSB, HUBZone SB, VOSB, and SDVOSB); and a short description of the specific supplies or services to be provided by each small business concern. If a small business does not have a CAGE code, insert the word "None." List all SB classifications that apply to each concern. Note that during the evaluation, the Government may request that the offeror submit a letter from the small business affirming the information provided in your proposal.
(b) All offerors, including offerors who are themselves U.S. small business concerns based on the North American Industry Classification System (NAICS) code and size standard applicable to this procurement, are to identify the extent to which U.S. small business concerns will be utilized as first-tier subcontractors in the performance of this proposed contract. U.S. small business concerns are defined (1) in FAR 19.001 and (2) by the criteria and size standards in FAR 19.102 for the applicable NAICS code.
(c) Propose a percentage for this contract. A small business offeror shall indicate the percentage of work performed by themselves, as well as by any Small Business subcontractors. Proposals submitted by Large Business Concerns shall indicate the percentage of work performed by Small Business Subcontractors. The Small Business Participation percentage shall be calculated as follows:
Participation % = Total Small Business Contract + Subcontract Dollars
Total Contract Value
(d) The Government’s minimum Small Business Participation objective for this contract is: 20%. The offeror is encouraged to propose a Small Business Participation objective percentage as high as practicable, as long as the percentage is supported by the related Small Business participation approach outlined in paragraph (e) below. The Offeror’s proposed Small Business Participation percentage for this contract shall be incorporated into the contract upon award.
(e) Provide an approach for how the Offeror intends to meet the proposed Small Business participation percentage. The Offeror shall provide rationale that demonstrates the tasks assigned to the selected Small Businesses are meaningful to the overall success of this contract. A Small Business Offeror shall include work performed as the prime contractor as well as any work performed by Small Business subcontractors. In addition, the Offeror shall describe their management approach for enhancing service-disabled veteran-owned small business, HUBZone small business, small disadvantaged business, and women-owned small business subcontractors’ technical capability. The Offeror shall explain the reason for and advantages of selecting particular Small Business subcontractors.
3.0 COST/PRICE (Factor 4)
The Offeror shall complete the fill-in information in section (a) below. Offerors shall not propose fixed fee in excess of 8%. Compliance with these instructions is mandatory and failure to comply may result in the rejection of your proposal. Offerors shall not submit data beyond that required by these instructions.
(a) Maximum Fee Rate – Applicable to all Task Orders
Contractor compliance with the maximum fee rate is applicable at the time of order award and is based on the ratio of fixed fee to the estimated cost, excluding facilities capital cost of money. Fee becomes a fixed dollar amount at the time of order award.
The Contractor agrees that the maximum Fixed Fee rate that shall be charged against all Task Order (excluding the Post Award Conference)Task Orders under this contract shall not exceed (OFFEROR FILL IN) %.
At the task order level prime contractors may propose a fee rate less than the maximum fee rate identified above. In addition, subcontractors may not propose a fee rate that exceeds the prime’s fee rate.
NOTE: A complete Cost/Price Analysis will be completed at the task order levels. Offerors may be required to provide the Government with Certified Cost or Pricing Data or Other Than Certified Cost and Pricing Data at that time.
