The following have been modified:

The offeror shall complete the attached Workforce Qualifications spreadsheet (Attachment P1) for each employee/contingent/prospective hire proposed in the base year for this effort for both key and non-key personnel. Names of proposed current employees and contingent hires for both key and non-key positions shall be inserted under Column “A”. Key personnel are those individuals who will be performing in Key Labor Categories, as designated by the Government in Section C. The information provided in Attachment P1 must demonstrate that the proposed personnel meet or exceed the labor category requirements outlined in Section C. If the employee is a contingent hire, the offeror shall submit a corresponding letter of intent submitted with Volume 4. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the offeror effective at Contract award.

Personnel employed by subcontractors and team members shall provide letters of intent either separately or included in the prime contractor’s proposal submission.

All other terms and conditions of the RFP remain unchanged.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SECTION L PMA299

Section L:

L-1 General Instructions to Offerors

1.0 GENERAL

1.1 The North American Industry Classification System (NAICS) code for this requirement is 541330, which has a small business size standard of $38.5M. The product service code for this acquisition is

R408.

1.2 This contract award is a 100% 8(m) Economically Disadvantaged Woman Owned Small-Business

(EDWOSB) set-aside and only EDWOSB's will be considered for award of this requirement. Verification of EDWOSB status will be performed in accordance with FAR 52.219-29 upon receipt of proposal(s). All offerors must be compliant with EDWOSB requirements for self-certification and shall have submitted all the documents to the Small Business repository at time of proposal submission. In addition, offerors shall follow the Women-Owned Small Business Program Repository (WOSBPR)

Small Business Owner User’s Manual to give permission to the Contract Specialist, Nicole

Debevoise, so that EDWOSB status at time of proposal submission can be verified. Additionally, offeror’s are notified that authorization for the Contract Specialist to view the repository is 120 days and as such offerors will be asked to grant access to Nicole Debevoise at a later date as well, if contract award is not made within 120 days of proposal submission. Proposals that do not comply with this instruction may be considered deficient and may render the offeror ineligible for award.

1.3 The Government intends to award a single cost plus fixed fee (CPFF) type Contract as a result of this solicitation. Each offeror shall submit a proposal that clearly and concisely describes and defines the offeror’s response to the requirements of this solicitation. Use of general or vague statements such as

“standard procedures will be used” will not satisfy this requirement. Unnecessary elaboration or presentations beyond that sufficient to present a complete and effective proposal are not desired.

1.4 Each offeror shall submit an offer/proposal and other information in strict accordance with these instructions. Each offeror’s submission shall be screened by the Contracting Officer (KO) or a designee upon receipt to ensure compliance with the instructions contained in the Request for Proposal (RFP).

1.5 The Contract award shall be made in accordance with the information contained in Sections L and M.

Each offeror shall submit a proposal including information pertaining to technical capability, past performance, and supporting cost or price data.

1.6 QUESTIONS: Offerors may submit questions requesting clarification of solicitation requirements in the first two (2) weeks of the posting of this solicitation to the contract specialist, Nicole Debevoise at nicole.debevoise@navy.mil. Questions e-mailed after this date may not be answered. All questions and answers will be answered after the two (2) week time limit via an amendment to the solicitation.

1.7 Reserved

1.8 DISCUSSIONS: Though the Government reserves the right to hold discussions, award may be based upon initial offers. Therefore, do not submit an offer that takes exception to any term or condition of this

RFP, propose any additional term or condition, or omit any required information. The offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. However, the Government may contact any or all or a limited number of awardees with questions concerning their responses as permitted under FAR Part 15.

1.9 ESTIMATED DATE OF AWARD: For proposal purposes the estimated date of Contract award is December 2015. The transition period is 40 calendar days from the award date, with full performance beginning on the 41 st day. Please note that there is no CLIN associated with the transition period, as the

Government will not be reimbursing the contractor for costs associated with transition efforts. Transition costs are considered overhead costs that are not charged to the Government, as the incumbent Contractor is still performing the tasking under the previous contract during this timeframe.

1.10 INSTRUCTIONS FOR SUBMISSION OF PROPOSALS

1.10.1 Three (3) hardcopies and an electronic copy of the proposals shall be submitted no later than the date and time listed in Block 9 of the RFP cover page; hard copies of the proposal shall be submitted to the address listed in block 7. The Offeror will provide one complete copy of the proposal as electronic files fully compatible with Microsoft Office 2010 and for information not supported by MS Office products, with the latest Adobe Acrobat reader on a CD-ROM. The Offeror will ensure that the

Price/Cost Volume is provided on a separate CD-ROM. Each CD-ROM is to be labeled for content and the Offeror’s name. If a discrepancy exists between the original paper copy of the proposal and the disk copy, the paper copy will take precedence. All packages shall be clearly marked with the solicitation number. In order to maximize efficiency and minimize the effort involved in the proposal evaluation process, all offerors shall comply with the following instructions for proposal format and content.

Proposals that do not comply with these instructions may be considered deficient and may render the offeror ineligible for award.

2.0 Technical Proposal

* Note: No cost/pricing information shall be contained in the Technical proposal.

The offeror shall provide the following information:

2.1 Understanding and Approach Subfactor

In order to determine the offeror’s understanding and approach of the requirements of this contract, offeror shall respond to the following sample tasks. The offeror is forewarned that the sole purpose of evaluating responses to this subfactor is to test an offeror’s understanding of the technical requirements of the resultant Contract. Accordingly, the Government does not intend to disclose weaknesses or deficiencies assessed with the evaluation of subparagraph 2.1.1 responses during discussions (if conducted), or allow for the correction of such weaknesses or deficiencies as part of Final Proposal

Revisions, should discussions be conducted.

2.1.1 Sample Tasks

2.1.1.1 The offeror shall provide written responses to the sample task(s) provided below.

Sample Task #1

PMA-299 is tasked with developing and implementing the acquisition strategy for the Naval version of the Future Vertical Lift helicopter. Assume that you will be supporting efforts from Pre-Milestone A

(Material Solution Analysis) through completion of Technology Development (up to Milestone B), describe the entrance criteria, principal activities undertaken, guiding documents, and exit criteria for both the Material Solution Analysis and Technology Development phases of the acquisition lifecycle.

Sample Task #2

Describe the complete Full Life Cycle of Government Furnished Equipment identification within a family of systems; ranging from the actual procurement process, gaining into inventory, and accounting of its status for available and non-available as well as repair, maintenance, modification, calibration, and disposal.

Note: Unique methods of resolving problems identified in the Sample Task(s) above are encouraged, however, be mindful of the need for timely accomplishment of Contract objectives with minimal risk to program achievement, schedule and cost.

2.2 Transition Plan

Because the services under this solicitation are vital to the Government and must be continued without interruption, the offeror is required to submit a written narrative delineating a transition plan based on a period of 40 days after award that ensures a smooth workplace changeover from an incumbent. The transition plan should address the offeror’s overall approach to transition, timeline to become fully staffed and operational, plan of action to effectively transfer tasked work that is in process at the expiration of the current contract from the incumbent to the successful offeror, plan of action for the efficient inventory and transfer of program data from the incumbent to the successful offeror, access to Government equipment, training requirements, security requirements, and any risk mitigation strategies which may be applicable.

2.3 Staffing and Personnel

2.3.1 Workforce Qualifications Spreadsheet.

The following definitions apply to section 2.3.1: A “contingent hire” is an individual who has committed, under a signed letter of intent, to being employed by the offeror if the offeror is awarded the Contract. A

“prospective hire” is an individual that the offeror has committed to hiring if the offeror is awarded the

Contract whose identity may not be known until after task order award.

2.3.2 Workforce Matrix

The offeror must complete the P2 by placing the name of the individual proposed to perform the designated sections of the SOW. If it is a prospective employee, please state so in the appropriate block.

2.3.3 Key Personnel Resumes.

2.3.3.1 For all proposed Key Personnel, provide a resume of the work assignments, training, etc., that demonstrates the education, experience and specialized qualifications of each key person proposed.

Resumes shall contain, at a minimum, the following information:

· Employee name

· Years of employment experience in chronological order including narrative description of duties and responsibilities

· Current position, title and employer

· Educational history

· Institution name, degree or certification earned, and year for all degrees or certifications earned

· Current level of security clearance and status (final, interim, or pending)

2.3.3.2 The Government may check educational background to verify degrees or certifications received.

2.3.2.3 For any degrees, disciplines or fields provided to meet a requirement for “Relevant” degree, discipline or field, the Offeror shall provide a detailed rationale explaining how and why it is relevant to the specific personnel position. An Offeror’s failure to provide a sufficient justification of the relevancy of a degree, discipline or field will result in a deficiency. Where a justification is provided, the Government may still determine that a deficiency or weakness exists.

2.4 Reserved

3.0 Past Performance

3.1 The offeror shall submit up to five (5) summaries of past performance similar in size, scope, and/or complexity which are ongoing or were completed within the last five (5) years for itself and/or its subcontractors, if any. Commercial contracts may be included. At least three (3) of these summaries should be efforts that were performed by the prime contractor. These summaries should provide the following:

- Contract Number/Delivery Order Number

- Contract Type

- Program Name

- Total Contract Cost

- Brief description of work performed

- Valid name, phone number, and email address of Contracting Officer and Contracting Officer’s

Representative

3.2 For contracts that have Contractor Performance Assessment Reports (CPARs) that are more than 12 months old, the offeror will complete items numbered 1 through 8 on page 1 of the Past Performance

Questionnaire Package for Services (Attachment P5) and forward it to the contract customer’s Program

Manager to address only the items numbered 9 to 15 on page 1. For all contracts identified which do not have CPARs, the offeror will complete items numbered 1 through 8 page 1 of the Past Performance

Questionnaire Package for Services (Attachment P5) and forward the 2 pages to that contract customer’s

Technical Point of Contact or Contracting Officer’s Representative (COR). All questionnaires shall be forwarded with enough lead-time so that responses can be received by the Government concurrent with the closing date of the solicitation. The offeror shall include past performance package instructions to the customers. This submittal information is provided at the top of the questionnaires to facilitate the offeror’s effort in meeting these instructions. The offeror shall not conduct follow-up actions with regard to the questionnaire. The Government will ensure that the customers have received and will respond to the questionnaires. The Government may send any other questionnaires as necessary.

FOR CONTRACTS THAT ARE CURRENTLY IN THE CONTRACTOR PERFORMANCE

ASSESSMENT REPORTING SYSTEM (CPARS), AND FOR WHICH ANNUAL REPORTING HAS

BEEN PERFORMED, DO NOT SEND THE PAST PERFORMANCE QUESTIONNAIRE TO THE

CUSTOMER. FOR CONTRACTS THAT HAVE BEEN COMPLETED AND THE FINAL CPAR HAS

BEEN FINALIZED IN CPARS, DO NOT SEND THE PAST PERFORMANCE QUESTIONAIRE TO

THE CUSTOMER.

3.3 Offerors are advised that the Government may use and evaluate independently obtained past performance data such as the Past Performance Information Retrieval System (PPIRS); Past Performance

Questionnaires (PPQs); Federal Awardee Performance and Integrity Information System (FAPIIS);

Electronic Subcontract Reporting System (eSRS); other databases; interviews with Program Managers, Contracting Officers, Fee Determining Officials, the Defense Contract Management Agency (DCMA), or other individuals; as well as, or in addition to, all recent and relevant past performance data provided by the Offeror. The Government reserves the right to contact, or elect not to contact, any or all of the sources provided by the offeror. Therefore, it is incumbent upon the Offeror to explain the relevance of any past performance data provided. Furthermore, the Government does not assume the duty to search for data to explain or remedy any inconsistencies it finds in the information provided by the offeror. The burden of providing thorough and complete past performance information remains with the offeror.

3.4 If the offeror does not have any past performance, it shall provide an affirmative statement stating it has no past performance.

3.5 Offerors shall provide written consent from their primary subcontractors that will allow the

Government to coordinate their past performance issue(s) with the prime offeror. If offerors do not submit such written consent, then the Government will address any past performance issues directly with the subcontractor and the offeror will forfeit the opportunity to participate in any related discussions.

Consequently, for any subcontractors that do not provide such written consent, provide a point of contact

(name, address, phone number, and email address) with whom the Government may coordinate these issues and obtain any responses as needed.

4.0 Cost/Price Proposal

4.1 Complete and submit Section B in an Excel format.

4.2 The cost/price proposal shall be submitted as a separate Excel file electronically to the contract specialist, Nicole Debevoise, at nicole.debevoise@navy.mil. All cost and/or pricing information shall be contained in Volume 4 only. Offerors shall submit their cost/price proposal utilizing the CLIN Breakout

Spreadsheet (Attachment P6). The Attachment P6 spreadsheet shall be formatted on letter size (8.5 X 11) paper. The proposal shall be unprotected and unlocked, with formulae intact to show mathematical operations.

4.2.1 Regardless of the type of CLINs (e.g., CPFF, CPIF, CPAF or FFP) under the solicitation, the offeror shall fully disclose the build-up of cost/price of each CLIN.

4.2.2 When completing Attachment P6, the offeror (e.g., prime vendor) shall not utilize any fully burdened hourly rates when pricing the labor of its employees.

4.2.3 The subcontractor shall provide its own Attachment P6 as a P7 delineating the build-up of rates to the Government.

4.3 In preparing the cost/price proposal, the offeror shall ensure the submittal is easy to understand and includes the following:

4.3.1 As this is a non-performance-based requirement, the offer shall propose the level of effort by labor category in accordance with the Government estimate provided in Section L-3. The total hours proposed, inclusive of prime Contractor hours and subcontractor hours, shall be equal to the labor mix and level of effort provided in Section L-3; deviations are not permitted and may render the offer unawardable. This estimate provides the number of hours the Contractor will be required to propose in response to this solicitation; however, actual contract performance may vary from this estimate. Accordingly, the

Government cannot guarantee that the contractor will perform either the estimated quantities of hours shown for individual labor categories or the total estimated hours.

4.3.2 Reserved

4.3.3 Reserved

4.3.4 Limitation on Subcontracting:

This requirement is being set-aside for the 8(m) EDWOSB program. Provide a breakout to demonstrate how at least 50% of the cost of contract incurred for personnel for contract performance will be performed by the prime itself or other EDWOSBs for each period of performance in accordance with

FAR clause 52.219-29. Cost of contract incurred for personnel includes direct labor cost and any indirect rates associated with the prime's direct labor costs.

4.3.5 Provide a narrative that addresses any assumptions made during the preparation of the cost/price proposal and discuss the basis for the cost elements listed below:

4.3.5.1 Direct labor rates by category. The offeror and proposed subcontractors are required to submit labor rates for proposed individuals. The offeror and proposed subcontractors shall provide payroll verification for currently employed proposed personnel and contingent offer letters outlining salary information for contingent hires. Verification of direct labor rates shall be provided for current employees; this may consist of, for example, screen-captures (or equivalent) from the offeror’s payroll system or a form containing the title, direct labor rate and a signed certification by an authorized representative of the company. Offerors retain discretion with respect to the documentation provided to substantiate the direct labor rates of current employees; however, the Government must be able to calculate the employee’s current hourly rate based on the information provided. If any of the rates utilized by the offeror or any subcontractors differ from the payroll verification, a justification shall be provided for the difference. For any prospective hires, provide information to substantiate the rates proposed. If composite or category averages are proposed, provide a breakdown of how rates are developed. If overtime is being proposed, offerors shall describe their pricing methodology for overtime hours. For purposes of completing the applicable Level of Effort clause, offerors shall also indicate the number of hours subject to uncompensated overtime. Finally, as applicable, provide a narrative to describe the use of uncompensated overtime.

4.3.5.2 Escalation on labor. Offerors, including subcontractors, shall address escalation for all labor categories and shall provide rationale for the rates and approach in applying the escalation. Offerors that do not include escalation, or an explanation as to why it was not included, may be considered unrealistically low and may have their proposals adjusted by the Government to include escalation in the option periods.

4.3.5.3 Indirect costs (i.e. Overhead, Fringe Benefits, General & Administrative (G&A), etc.), including a description of pools to which indirect rates are applied. Offerors are required to provide three years of historical or actual indirect rates and, if available, the offeror and proposed subcontractors shall provide the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval

Letter, and/or DCAA Forward Pricing Rate Agreement or Recommendation (FPRA/FPRR). If DCAA has not reviewed the rate information for an offeror or one of its subcontractors, the offeror shall submit a detailed justification of the proposed indirect rates. If any of the rates utilized by the offeror or any subcontractors differ from the historical rate data or DCAA information, a justification shall be provided for the difference, including any supporting cost data (i.e, budget information).

4.3.5.4 When the offeror or any subcontractor elects to claim Cost of Money (COM) as an allowable cost, the offeror shall submit a DD Form 1861 and show the calculations of the proposed amount.

4.3.5.5 Profit/Fee: The offeror and subcontractors shall identify profit/fee rate and total amounts proposed and identify the various cost elements to which the profit/fee is being applied. Profit, Base, Award, and Incentive fee rates, as applicable in Section B, shall be clearly distinguishable. Profit/Fee shall not be applied to ODCs.

4.3.5.6 Other Direct Costs (ODCs) by specific cost element (i.e. Travel, Material, NMCI). Offerors shall utilize the Not-To-Exceed (NTE) amounts provided by the Government in Section L-3. If it is the

Contractor’s accounting practice to apply (and invoice for) burdens with regards to ODCs, then the

Contractor shall propose the ODC NTE amount plus the applicable burdens.

4.3.5.7 Any other information needed to explain the offeror’s or subcontractor’s estimating practices.

4.3.6 If subcontractors are proposed, provide the same information required for the prime contractor. The proposed subcontractors are required to submit their cost/price proposal in the same formats outlined for the prime contractor. The cost/price proposal shall be unprotected and unlocked, with formulae intact to show mathematical operations.

4.3.7 If this requirement contains cost type CLINs the offeror shall also provide documentation verifying that it has a DCAA approved Cost Accounting System or state that its Cost Accounting System has not been approved by DCAA. It is the prime contractor’s responsibility to ensure that each subcontractor with a proposed cost-reimbursement subcontract type has an adequate accounting system. If a subcontractor does not have an adequate accounting system, they should be priced on a Firm-Fixed-Price (FFP) or

Time-and-Materials (T&M) basis. The prime contractor shall provide a list of all subcontractors by name and shall specify the type of subcontract (i.e., CPFF, FFP, T&M, etc.). For those subcontractors who will be priced on a cost-type basis, documentation verifying possession of a DCAA approved Cost Accounting

System shall be provided.

4.3.8 If the Contractor requires the use of consultants in its proposal the consultant cost shall be captured under the appropriate labor CLIN not the ODCs CLIN. The proposed consultants are required to submit their cost/price proposal in the same format outlined for the prime contracator, as either its own submission, or as part of the prime contractor’s proposal. Any information the consultant does not want the prime contractor to have access to shall be provided to the prime contractor in a password protected file and the password shall be emailed directly to the Contracting Officer. The cost/price proposal shall have formulae intact to show mathematical operations.

4.3.9 The offeror shall complete and submit Attachment P8, detailing the fully burdened labor rates for all prime contractor and subcontractor personnel.
