Submitting Terms and Conditions may potentially delay the award decision. Submitting additional Terms and Conditions at the time offer/proposal is submitted may result in the offer being determined non responsive and not eligible for award. Any Terms and Conditions provided by the contractor to the Government during market research are not considered part of a contractor’s proposal and will not be accepted by the Government.

12. Each contractor will receive at least a contract minimum of 600 units of production unit CLINs 0002/1002 combined. During any time that split awards are in place, each contractor shall have a share of at least 200 units of CLINs 0002/1002 combined of each order placed. Thus, at the delivery order level, the minimum ordering quantity for each contractor will be 200 each of CLINs 0002/1002 combined. The maximum ordering quantity at the delivery order level will be 1,800 each of CLINs 0002/1002 combined and may split between two contractors or may be awarded to one contractor if a single award is in place. The overall maximum amount to be spent on this action is $9,999,999, all contracts combined, all CLINs combined.
13. First Article requirements will be waived if:
a. 24 months or less since the manufacturer has produced the item.
b. The manufacturing line used to produce the item has not been significantly altered and/or relocated.
c. The manufacturer will be using the same material suppliers.
d. No significant changes to the assembly procedures.
e. No significant changes to key manufacturing personnel.
14.The Government reserves the right to make a single award or to make up to two contract awards. In the event that two contract awards are made the Government reserves the right to have other than a 50/50 quantity percentage split and reserves the right to reassess the determination of what the quantity percentage split will be between the two contractors between 18 and 24 months from the effective date of contract (reassessment 1) and again between 30 and 36 months from the effective date of contract (reassessment 2). The Government reserves the right at the time these reassessments are made to change the percentage split, including the possibility of determining to not issue any further orders under one or both contracts. The reassessments will be based on past performance (i.e.
quality and timeliness on the existing contract only) and existing contract pricing. However, during reassessments contractors will be afforded the opportunity to propose decreased contract pricing, but not increased pricing. On the reassessments past performance will be significantly more important than price. The overall maximum dollar amount will be $9,999,999 all awarded contracts combined. Each contractor will receive at least a contract minimum of 600 units of CLINs 0002/1002 combined. During any time that split awards are in place, each contractor shall have a share of at least 200 units of each order placed of CLINs 0002/1002 combined. Thus, at the delivery order level, the minimum ordering quantity for each contractor will be 200 each of CLINs 0002 and 1002.
As indicatd above, the Government reserves the right to have other than a 50/50 split, but if the quantities being procured on a given delivery order are so low that a contractor’s percentage split results in less than 200 units, 200 units will still be awarded to the contractor with the lower percentage split resulting in a different percentage split for that particular order. Other than these low quantity delivery orders, the Government will utilize the percentage split determined at contract award on all orders until the time reassessment 1 occurs. The Government will utilize the percentage split determined at reassessment 1 until reassessment 2 occurs. The Government will utilize the percentage split determined at reassessment 2 for the remainder of the ordering period. The maximum ordering quantity at the delivery order level will be 1,800 each of CLINs 0002/1002 combined and may split between two contractors or may be awarded to one contractor if a single award is in place.
