About this file
This document is a Memorandum for Record for Sole Source Justification and Approval for a UPS Battery Replacement procurement.
The Department of the Air Force, Air Education and Training Command (AETC), through the 502d Contracting Squadron at JBSA-Lackland, Texas, is procuring battery replacement and installation services under Purchase Request F2MPSU6191A003. The requirement involves a complete, full-string replacement of forty (40) Enersys HX505 Valve-Regulated Lead-Acid (VRLA) sealed batteries for one (1) Liebert NX 80-120 Uninterruptible Power System (UPS). The contractor must provide all labor, transportation, tools, calibrated equipment, materials, and supervision necessary to perform the professional battery replacement service. The acquisition is being sole-sourced to Vertiv Corporation (Cage Code: 1EDC2) on a firm-fixed-price basis. The justification for sole source procurement rests on Vertiv's status as the manufacturer and incumbent provider of the existing UPS system infrastructure; the document notes that while commercial batteries may offer equal performance capability, they are incompatible with the current system and would require replacing the entire unit. Comprehensive market research was conducted through GSA 2GIT, DOW ESI, GSA MAS, Army CHESS, open-market sources, and direct OEM engagement, confirming Vertiv as the sole vendor capable of fulfilling the requirement. The Contracting Officer will determine price reasonableness prior to award in accordance with RFO 12.204(a) by comparing the proposed price to the government estimate, historical pricing, and detailed Statement of Work requirements. No other sources expressed written interest in the acquisition. The document was certified by Contracting Officer Joseph Gyakari on September 17, 2026.

MEMORANDUM FOR RECORD
FOR
SOLE SOURCE JUSTIFICATION AND APPROVAL
UPS BATTERY REPLACEMENT
PURCHASE REQUEST NO: F2MPSU6191A003
3. A description of efforts made to ensure that offers are solicited from as many potential sources as is practicable. To satisfy agency requirements, the 502d Contracting Squadron (502 CONS) conducted comprehensive market research via GSA 2GIT, DOW ESI, GSA MAS, Army CHESS, open-market sources, and direct OEM engagement, which confirmed Vertiv Corporation as the sole vendor capable of fulfilling the requirement (See Market Research report for details).
Vertiv owns the existing physical infrastructure and serves as the incumbent provider for battery systems and installation at the facilities, maintaining an active status with no exclusions on SAM.gov. Moving forward, 502 CONS and the requiring activity will continue to monitor the market and seek innovative acquisition strategies to foster competition on future requirements as technology and infrastructure evolve.
4. A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable. The Contracting Officer will determine price reasonableness prior to award IAW RFO 12.204(a). This will be achieved by comparing the proposed price to the Government estimate, historical pricing for similar purchases, and an analysis of the proposed price against the detailed requirements in the Statement of Work.
5. A description of the market research conducted and the results. This acquisition is to procure Vertiv replacement batteries and factory-certified installation services that will be implemented into an existing Vertiv/Liebert UPS platform; 502d Contracting Squadron conducted comprehensive market research via GSA 2GIT, DOW ESI, GSA MAS, Army CHESS, open-market sources, and direct OEM engagement, which confirmed Vertiv Corporation as the sole vendor capable of fulfilling the requirement (See Market Research report for details).
6. Any other facts supporting the use of other than full and open competition. Market research and site engineering surveys conducted by the IT Infrastructure Branch revealed that though other vendors were able to provide batteries of equal capability there were huge risks with the overriding of Vertiv existing hardware.
7. A listing of the sources, if any, that expressed, in writing, an interest in the acquisition.
No other sources have expressed written interest in this acquisition.
8. Determination of Fair and Reasonable Cost. This requirement is intended to be sole sourced to Vertiv Corporation, (Cage Code: 1EDC2), based on the reasons provided above. Price reasonableness of a resulting award will be determined IAW RFO 12.204(a) and R-DFARS 212.204(a).
9. Actions to Overcome Barriers to Competition. The primary barrier to competition for this requirement is the existing system in place which only uses Vertiv VRLA Batteries as its backup power supply. Though commercial batteries may be equal in performance they are not

compatible with the current system and cannot be replaced without replacing the entire unit.
While normal circumstances would permit open-market competition, the government will actively leverage these monitoring, research, and technological assessment efforts to maximize competitive opportunities upon the expiration of this contract.
10. Certification by the Contracting Officer. As evidence by my signature below, I have determined this document to be both accurate and complete to the best of my knowledge.
