This Basic Ordering Agreement (BOA) between [COMPANY NAME] hereinafter referred to by its company name or as “Contractor” and Blount Island Command hereinafter referred to as “BIC” is entered into to provide various Intermediate and Depot Navy craft and Equipment repairs.

2. This Agreement may not be used by other federal organizations.
3. The pricing of all orders shall be in accordance with prevailing competitive market prices and/or as set forth in Article V, whichever provides the better value to the Government.
4. Federal and Defense Federal Acquisition Regulations (FAR/DFARS) for commercial services are included and made a part herein.
Now, THEREFORE, the Parties do mutually agree as follows:
ARTICLE I – TYPE OF AGREEMENT AND OPERATION
This is a Basic Ordering Agreement between Blount Island Command and [COMPANY NAME] to obtain future repairs and maintenance of Navy Craft and associated technical writing. Orders arising from this BOA will be sequentially numbered and will contain, at a minimum the following:
. Identification of the work project/requirement.
. Specifications/part numbers of commercial equipment.
. Statement of Work for all applicable service work.
. Delivery or performance period, inclusive of options.
. Total Price.
. Identification of the type of labor category required to perform a service, as applicable.
Any order may be modified to include terms and conditions that are only applicable to that particular order. These are not to be considered as modifications or amendments to this BOA. Separate BOA modifications will be issued to modify the terms and conditions set forth herein.
Issuance of orders to the Contractor for various repairs and maintenance of Navy Craft is wholly within the discretion of Blount Island Command and nothing herein shall be construed to require Blount Island
Command to use, i.e. place orders under, this Basic Ordering Agreement.
Blount Island Command does not guarantee any minimum usage of purchases or services provided under this BOA. Blount Island Command reserves the right to terminate the delivery or performance period of any order at any time when it is deemed to be in the best interests of the Government.
ARTICLE II - PERIOD OF PERFORMANCE
This BOA is effective from the date of award and will continue for a total period of five (5) years, unless sooner terminated or extended by written agreement of the parties. The parties agree that each has the right to terminate the BOA, at no cost to the other party, with thirty days advance written notice. The parties further agree that the Contracting Officer of Blount Island Command has the unilateral right, with thirty days advance written notice, to extend the period of performance for up to one additional six month period. Orders may include periods of delivery or performance that extend beyond the expiration date of the BOA. The BOA terms and conditions shall remain in effect for those orders until they have been completed and closed.
ARTICLE III - SCOPE OF WORK
The Contractor agrees to comply with the resultant established statements of work to provide the commercial services under this BOA. All Orders placed hereunder shall reference the number of this
BOA (Agreement No. M6700418G1000) and specific Order number as required. The term of this BOA is five years from the effective date of this BOA or until the maximum purchasing limitation of
$5,000,000.00 has been reached, whichever occurs first. The effective date of the BOA shall be the date of award.
As applicable, all resultant service orders shall be based upon the statement of work and in accordance with commercial industry standards.
The Contractor agrees to furnish such quantities of services and items as Blount Island Command may order during the term of this Agreement. The Contractors’ obligation to Blount Island Command shall become effective upon acceptance of a particular order issued under the Agreement.
An order becomes a binding contract upon issuance of the order by the Government and the contractor’s failure to reject the order in writing within five (5) calendar days. All rejections of orders by the
Contractor are to be made in writing to the Contracting Officer.
ARTICLE IV - DELIVERY/PAYMENT
The work specified in Article III shall be completed and delivered as follows:
F.O.B. Point (point of delivery): Destination unless stated otherwise in the Order.
As applicable, delivery location and schedule shall be negotiated and specified for each Order under this
BOA. The Government shall pay the Contactor the negotiated price for each order upon delivery and/or completion of the service per the terms and conditions of this BOA and each subsequent Order.
ARTICLE V - FIXED PRICES – LABOR AND INDIRECT RATES
Blount Island Command shall be entitled to commercial industry standard Navy craft repairs services based upon the non-burdened hourly rates contained in Attachment One.
The Contractor shall include a detailed list of all other rates in the table contained in Attachment One.
The Government will incorporate the offerors attachment one rates into the Master BOA and issue orders based upon negotiated firm fixed priced orders.
The Government intends to use a job order process for each order issued under this BOA. Each Job order will be issued with a SOW. The contractor shall provide a quote for the SOW and upon review by the
Government, approval will be provided in writing for the contractor to proceed. All job orders will be negotiated as required. Multiple job orders may issue under a single order and will be within the scope of that order.
In addition, it is anticipated that additional repair work will be identified once the watercraft repairs are started. The contractor shall identify all damage requiring repair to the Government via Condition Found
Report (CFR). The Government shall issue a job order with a separate SOW and request an estimate for the repair work. Once the contractor estimate is received and evaluated, a firm fixed price effort will be negotiated and job order approval will be provided by the Contracting Officer for the repair.
ARTICLE VI- PRICING METHODOLOGY TO DETERMINE FAIR AND REASONABLENESS
The contractor’s established hourly rates of this BOA shall be verified for its continued fair and reasonableness against the prevailing market prices for similar work and under similar conditions before the issuance of all resultant orders.
