CLAUSES INCORPORATED BY FULL TEXT

52.216-1 TYPE OF CONTRACT (APR 1984)

The Government contemplates award of a Requirements contract resulting from this solicitation.

(End of provision)

PERFORMANCE WORK STATEMENT

1. BACKGROUND

This contract is for a contractor to place, clean and sanitize, remove, and place back in storage portable toilets in established areas aboard Marine Corps Mountain Warfare Training Center

(MCMWTC), Bridgeport, CA. This service is required during exercises and operations that take

Place at MCMWTC, with most of the effort occurring between 1 June and 31 October 2016. The Government estimates 3 four-week long exercises to require the most service during this contract. 10 units will need to be serviced year-round on MCMWTC main base in Bridgeport, CA and 2 units will need to be serviced year-round on

MCMWTC Base Housing located in Coleville, CA. The Government estimates this service to start in mid-

September. The maximum estimated value of this contract is $150,000.00. The government will order a minimum of $10,000.00 during the performance of this contract. A delivery order will be issued for each requirement. The delivery order will be the document that has the funding required for that specific requirement. All quantities listed in the base CLIN structure are estimated amounts only and upon contract award this does not provide a basis for a request for equitable adjustment or claim.

2. LOCATIONS

MCMWTC on California highway 108 (Sonora pass), four miles west of California Highway 395 and the training areas covering National Forest land surrounding MCMWTC.

Coleville, CA Housing area. (2) Portable toilets shall be placed and serviced at the Coleville, CA military housing gate. (Estmiated Start in Mid-September 2016)

3. SCOPE OF WORK:

Requirements: The contractor shall furnish all labor, supervision, tools, materials, vehicles, equipment, transportation, and other items necessary for performance. While most of the chemical toilets required are provided by MCMWTC, there may be instances where the contractor will be required to augment existing inventories with additional toilets and/or wash stations. Those chemical toilets owned by the Government will require movement to/from the Lower Base Camp (LBC) to various locations at MCMWTC over dirt roads where the maximum speed limit is 15 mph. The minimum number of Government-owned chemical toilets to be serviced will be two and the maximum number will be 83 for any given task order. The ratio of usage is one chemical toilet per twenty five service members.

3.1 Each requirement for service will be ordered by the Government utilizing individual task orders. Each task order will dictate length of service in weeks with beginning and end date, the number of chemical toilets to be placed and serviced, the placement locations for the chemical toilets, and the number of times per week that the chemical toilets must be serviced.

The location of each chemical toilet will be provided via:

i. 6 grid coordinate (Latitude/Longitude).

ii. Escort to the training location.

iii. Within 15 to 30 feet of designated Forest Service vehicle traffic road.

• The Authorized Escort for the period of service will be determined in each Task Order.

3.2 The contractor is responsible for placing all chemical toilets in the locations designated in the individual task order, requiring a movement from the Lower Base Camp (LBC) aboard

MCMWTC to various locations (Maximum of 40 km over unimproved roads). The contractor is also responsible for transporting all chemical toilets back to the LBC holding area upon completion of the requirement. The vehicles used in each transport evolution will be contractor provided.

3.3 During performance of task orders, An exception being the year-round requested portable toilets, which will require once per week servicinn, the contractor will be required to service chemical toilets a minimum of twice per week. Based on activities in each location, more frequent cleaning maybe required and will be specified in the task order. The June through October peak period of performance is based on the accessibility into and out of the training areas. The MCMWTC training areas are within U.S. Forest Service areas and are not accessible by vehicles during periods of heavy snow accumulation. This may result in the contractor having to adjust pick-up and delivery schedules accordingly.

3.4 Each service will be in accordance with standard commercial practices, in compliance with prescribed Federal, State, and local regulations, and will include at a minimum:

• Removal of all waste (including human waste, toilet paper, and any trash or debris)

• Restock of toilet paper (minimum 4 rolls per chemical toilet)

• Replacement of de-scent

• Cleaning and sanitizing

• Refilling of waterless, antibacterial hand sanitizer

3.5 The contractor is responsible for all damage to Government property caused by contractor equipment during the servicing process. It is the contractor’s responsibility to inspect the chemical toilets for trash, debris, or other miscellaneous items that could damage land and/or equipment. The contractor must correct all damage through repair or replacement the satisfaction of the Government. Repairs or replacement of unserviceable units shall be made within twenty four (24) hours of discovery by the contractor’s personnel or notification by the Government. The current inventory of chemical toilets will be used until exhausted. The contractor shall notify the Contracting Officer or the Contracting Officer’s

Representative (COR) immediately upon discovery of toilets requiring replacement, and shall replace them within

24 hours of issuance of a task order to do so.

3.6 The contractor shall transport all waste removed from the chemical toilets to the Waste

Water Treatment Plant (WWTP) in the Lower Base Camp of the MCMWTC. The required dumping/offload compatibility requirements for the Waste Water Treatment plant at the

MCMWTC LBC requires the standard hose system for dumping. The contractor shall adhere to all Federal, State, and local regulations governing the disposal of such waste.

3.7 The contractor is responsible for preventing any environmental hazards during performance under this contract. Any spills or leaks of hazardous materials are the responsibility of the contractor and shall be immediately contained and mitigated to prevent environmental damage or threat to personnel safety. In the event of a spill or unauthorized discharge, the contractor shall immediately notify the COR, who will notify MCMWTC Environmental personnel. Failure to make required notification may result in contract termination.

3.8. Garbage and Debris Requirement. Garbage and/or debris from sites other than the

MCMWTC shall not be placed in Government trash receptacles.

3.9 The Government will provide a secure fenced outside space near the Waste Water Treatment

Plant for the storage of chemical toilets.

3.10.1 Performance requires the contractor to deliver, relocate, and maintain chemical toilets in rough terrain or unpaved areas. Therefore, delivery and servicing of equipment at these areas may require the contractor to use heavy duty four wheel drive (4WD) vehicles. The contractor is responsible for repairing/towing any vehicles that become inoperable during performance. The

Government will not provide tow vehicles or mechanics. Upon placement of toilets, the contractor shall annotate on the service sticker the date on which the toilet was placed. In addition, to withstand the heavy winds prevalent at locations designated by the Government, the contractor shall adequately secure each chemical toilet to the ground to keep the equipment from tipping in the wind.

3.10.2 Pick-up and delivery charges shall be one set price that includes all costs associated with pick-up and delivery. Delivery charges may be billed after delivery has been performed, regardless when pick-up will occur. Pick-up may be billed after the equipment is stored in the designated storage area near the Wastewater Treatment Plant.

3.10.3 The relocation charge is a one-time charge to move a standard toilet or wash station from one training area to another training area.

4.0 Hours of Operation. The Government’s normal work hours are from 0730-1630 (7:30 A.M.

– 4:30 P.M.) Monday through Friday excluding Federal holidays. In the event of an emergency, the contractor may be required to perform services on a non-working day at no additional cost to the Government. All or a portion of the effort under this service contract will be performed on

Government property. For the purposes of scheduling personnel, the Contractor is hereby advised that the

Government installation will observe the following Federal holidays and that access to the installation may be restricted. In the event any of the below Federal holidays occur on a Saturday or Sunday, then the Federal holiday will be observed in accordance with the practices of the Government Installations.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF

1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the

Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent

Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation.
