About this file

This is a Justification for Other Than Full and Open Competition (JOFOC) document for Embassy Brussels to award a sole source contract to Eneria (Caterpillar) for the total overhaul and rebuild of a generator engine at the USEU building, with an estimated cost of $29,500.

The justification cites 41 U.S.C.3304(a)(1) as the authority for sole source procurement, explaining that Eneria is uniquely qualified as the original equipment manufacturer (OEM) and only source with access to the proprietary parts and technical expertise required. The document outlines that Eneria is currently under contract for annual maintenance of generators at the Embassy compound and has the necessary knowledge of the equipment's operational history. No market survey was conducted due to the proprietary nature of the parts, and a backup generator has been temporarily rented while repairs are pending. The Contracting Officer determined the $29,500 cost to be fair and reasonable based on historical pricing for similar services. The document is signed by Robert Warner (Facilities Manager) on 12/4/2024 and Andrew Malandrino (Contracting Officer) on 12/4/24.

JUSTIFICATION AND APPROVAL FOR OTHER THAN FULL AND OPEN COMPETITION

(OVERSEAS CONTRACTING ACTIVITIES)

1. I recommend that Embassy Brussels use other than full and open competition for the acquisition of the services of Eneria (Caterpillar) for the total overhaul and rebuild of the generator engine of our USEU generator. The estimated cost is $29,500.

2. Nature and/or description of the action being approved:

Approval is sought for other than full and open competition for the acquisition of services from Eneria for the total overhaul and rebuild of the generator engine at the USEU building. Eneria is currently under contract with the Embassy for the annual maintenance of generators located on the Compound in Brussels.

3. Description of the supplies or services required to meet the agency's needs:

The contractor will provide a comprehensive service that includes the full disassembly of the generator to appropriately assess the extent of damage caused by wear and tear. The generator engine, which has been in use for a very long time, requires broken components to be replaced with proprietary parts. Only Eneria retains the necessary stock and expertise to source and install these parts. The generator will be rebuilt and reinstalled at the USEU building to restore its operational capacity and ensure reliability.

4. An identification of the statutory authority permitting other than full and open competition.

[X] 41 U.S.C.3304(a)(1) - 6.302-1 Only one responsible source and no other supplies or services will satisfy agency requirements.

5. A demonstration that the proposed contractor's unique qualifications or the nature of the acquisition requires use of the authority cited (for sole source acquisitions; also required for unusual and compelling urgency where more than one offer will not be solicited).

Eneria (Caterpillar) is uniquely qualified to perform the required services as they are the original equipment manufacturer (OEM) of the generator and the only source with access to the appropriate parts and technical expertise required for this specific overhaul.

Although the generator is no longer under warranty due to its age, the proprietary nature of its components limits replacement options to parts manufactured and supplied by Eneria. No other vendors possess the stock or capability to replace these critical components.

Eneria has been maintaining all Caterpillar generators on the Embassy Compound in Brussels under an existing maintenance contract. Their in-depth knowledge of the equipment and operational history further ensures reliability, minimizing the risk of errors during the rebuild. This makes Eneria the sole contractor capable of delivering the required overhaul at the necessary standard of quality.

6. A description of efforts made to ensure that offers are solicited from as many potential sources as is practicable.

The Facilities team did not solicit bids from other contractors because Eneria is the only vendor with access to the proprietary parts required for this generator model.

Given the generator's age and unique specifications, only Eneria can supply the necessary parts and expertise to ensure the generator's safe and efficient operation.

7. A determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The Contracting Officer has determined that the anticipated cost of $29,500 is fair and reasonable. Prices align with market value for such complex disassembly and replacement of sole-source items directly from the original manufacturer. This assessment is based on Eneria's historical pricing for similar services and the specific technical requirements of this generator.

8. A description of the market survey conducted and the results or a statement of the reasons a market survey was not conducted.

No market survey was conducted because the parts required for this generator overhaul are proprietary to Eneria. Due to the generator's age and unique specifications, no other vendors can provide the necessary components or services.

Moreover, a backup generator has been rented for a short period of time to cover the failure of the existing one. Nevertheless, the current generator needs to be fixed and installed as soon as possible and Eneria is the only one with the parts to fixed it in a timely manner.

9. Any other facts supporting the use of other than full and open competition.

The advanced age of the generator, combined with the proprietary nature of its components, precludes the feasibility of using other vendors for this overhaul.

10. A listing of sources, if any, that expressed, in writing, an interest in the acquisition.

N/A

11. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required.

The agency will review its procurement strategy and consider options for upgrading or replacing aging equipment with models that allow for broader competition in the future. For this specific acquisition, Eneria remains the only practical provider due to their unique qualifications and access to necessary parts.
