1.11 Revisions of the Solicitation. If it becomes necessary to revise this solicitation the County will post the amendment in SPEED and eMMA. However, it remains the responsibility of all prospective Contractor’s to check all applicable websites for amendments issued prior to the submission. Failure to acknowledge receipt of an amendment does not relieve the Contractor from complying with the terms, additions, deletions, or corrections set forth in the amendment, and may cause the bid/proposal/quote to be rejected as being non-responsive to the requirements of the solicitation.
1.12 Cancellation of Solicitation. The County reserves the right to cancel this solicitation, or accept or reject any and all submissions, in whole or in part.
1.13 Confidentiality of Offer/Bid Submissions. Offerors must specifically identify those portions of their proposals, if any, which they deem to contain confidential, proprietary information or trade secrets and must provide justification on why such material should not, upon request, be disclosed by the County in accordance with the Maryland Public Information Act, 4-201 et. seq., General Provisions Article of Maryland Annotated Code, County Charter Section 203, and County Administration Procedure 133. Exceptions may be considered only if they are submitted with the technical proposal submittal. All exceptions will be taken into consideration when evaluating the Offeror’s Proposal. The County reserves the right to accept or reject any exceptions.
1.15 Award Basis. The County intends to award one or more contracts to responsive and responsible Bidders meeting the qualification criteria set forth in this solicitation.
1.16 Incurred Expenses. The County will not be responsible for any costs incurred by any Contractor in preparing and submitting a response to this solicitation.
1.17 Substitution of Key Personnel. If this solicitation requires that a particular individual or personnel be designated by the Contractor to provide services in the resulting award, any substitution of key personnel after the contract has commenced must be approved in writing by the Purchasing Agent prior to the substitution. If the Contractor substitutes key personnel without the prior written approval of the Purchasing Agent, the contract may be terminated for default which shall be in addition to, and not in lieu of, the County’s remedies under the Contract or which otherwise may be available at law or in equity.
1.18 Reserved.
1.19 Payments by Electronic Funds Disbursement. Pursuant to County Code Section 10A-153(k)(3), the County Director of Finance requires the Contractor to enroll in Automated Clearing House (ACH) or a similar electronic payment system with the County. Payments can be posted directly to the business bank account. The County’s Accounts Payable Section will e-mail a separate advice to detail the paid invoice(s) information and to confirm the transmission date so that the business enterprise can update financial records. The County reserves the right to reverse - without prior notice - any erroneous transmissions.
1.20 Materials and Workmanship. The work performed pursuant to this solicitation shall be under the general direction of the Contractor, but subject to inspection by the County’s authorized representative who may require the Contractor to correct defective workmanship without cost to the County.

Current Prevailing Wage and Livable Wage rates, along with additional information, are available on the Wage Determination Board's webpage. The applicable “Wage Requirements Certification” and, if applicable, the “501(c)(3) Nonprofit Organization's Employees' Wage and Health Insurance Form” are included as Attachments to this solicitation (will be provided in the final solicitation). The required form(s) must be completed, signed, and submitted with your bid, proposal, or quote. Failure to submit the required certification and pricing information on the prescribed form(s) will render the bid, proposal, or quote non-responsive under County law and it will be rejected.
1.22 Personnel and Equipment. The Contractor represents that it has, or shall secure at its own expense, all personnel required to perform the services under this Contract. Such personnel shall not be employees of, nor have any contractual relationship with, the County. All services required hereunder shall be performed by the Contractor using its own equipment or County-approved equipment. 1.24 Reserved.
1.25 Contract Changes in the Interest of the County. The County reserves the right, throughout the contract term, to direct changes within the general scope of the contract that the County determines to be in its operational or financial interest. Permitted changes include, without limitation: the addition, deletion, closure, relocation, or substitution of facilities, buildings, or portions of buildings covered by the contract, including the reassignment of facilities among Building Groups; adjustments to cleanable square footage resulting from renovation, reconfiguration, expansion, partial occupancy, or change in facility use; changes to service frequencies, task requirements, or space-type specifications set forth in the Statement of Work; adjustments to cleaning schedules, shift structures, and hours of performance, including day porter coverage, nightly service windows, weekend and holiday service, and adjustments to accommodate County operating hours, facility occupancy, public events, or emergency conditions; updates to equipment, supplies, consumables, chemicals, personnel qualification, technology, or reporting requirements; and changes to communication protocols, security, badging and access procedures, quality control and inspection procedures, or supplemental services call-out procedures.
All such changes shall be directed in writing by the Purchasing Agent or designee. The Contractor shall continue performance in accordance with the contract pending resolution of any equitable adjustment that may result from the change. Where a directed change adds or deletes facilities, square footage, or service frequencies, any resulting price adjustment shall be calculated using the applicable unit prices and labor rates set forth in Attachment A (will be provided in the final solicitation). If the Contractor believes that a directed change entitles the Contractor to an adjustment of the contract price, the contract term, the contract scope, or any other contract right, the Contractor shall submit a written request for adjustment to the Purchasing Agent or designee within thirty (30) calendar days of the County's written direction. Failure to submit a written request within this period shall constitute a waiver of any claim for adjustment arising from the directed change.

SECTION 3
STATEMENT OF WORK
3.1 Background and Purpose
Prince George's County, Maryland (the “County”), by and through the Office of Central Services (“OCS”), Facilities Operations and Management Division (“FOM”), requires qualified contractors to provide comprehensive janitorial, custodial, facility-hygiene, and related supplemental services at County-owned and County-operated facilities.
The County’s portfolio includes administrative offices, health and human services facilities, courts and justice facilities, public safety facilities, correctional and animal services facilities, warehouses, maintenance and transportation facilities, and other specialized properties. Facilities vary substantially in size, occupancy, operating hours, public access, security designation, and cleaning requirements. The Contractor shall therefore manage each awarded Building Group as an integrated service program while meeting the facility-specific requirements in the Building Inventory List and Section 3.18.
The intent of this Statement of Work (“SOW”) is to establish measurable, safe, hygienic, sustainable, and professionally managed janitorial services that protect building occupants, support County operations, preserve County assets, and provide consistent service quality.
The specific facilities, cleanable square footage, required service frequencies, service windows, day-porter requirements, and any minimum staffing requirements shall be identified in the Building Inventory List.
For pricing and workload purposes, “cleanable square footage” means the area actually included in the custodial scope, not gross building area.
