About this file
This Invitation to Bid (ITB) document outlines specifications for a natural gas supply contract with the Miami-Dade County Water and Sewer Department (WASD). The solicitation seeks to establish a five-year contract for the pipeline delivery of natural gas to three WASD facilities: the Hialeah Water Treatment Plant, Alexander Orr Water Treatment Plant, and South District Wastewater Treatment Plant. The natural gas will support critical operations including generators, pumps, lime kilns, and wastewater treatment equipment. The County estimates consumption may exceed 39,806 therms per day, with approximately 14,330,234 therms annually over the five-year contract term, totaling an estimated 71,651,170 therms. The contract shall commence on the first calendar day of the month following Board of County Commissioners approval and expire on the last day of the sixtieth month. The solicitation requires bidders to provide two customer references demonstrating experience supplying natural gas to government agencies or private businesses, documentation evidencing the ability to provide minimum 30,000 therms per day of Firm Transportation Service on the Florida Gas Transmission pipeline system, and the name and contact information for an authorized representative available 24 hours daily.
Award will be made to the lowest priced responsive and responsible bidder based on a Firm Fixed Service Adder Price per therm, exclusive of pass-through components. The Firm Fixed Service Adder Price shall remain fixed throughout the contract term and include all costs for transportation arrangements, scheduling, balancing, administration, overhead, and profit, while excluding only the monthly Inside FERC's Gas Market Report price index for Florida Gas Transmission Zone 2, applicable FGT Fuel Fees, and FGT Usage Fees. Bidders must submit pricing through INFORMS as a single line item for the total estimated five-year quantity. The awarded bidder must maintain Commercial General Liability Insurance of at least $1,000,000 per occurrence and $2,000,000 aggregate, with Miami-Dade County listed as an additional insured, and Automobile Liability Insurance of $1,000,000 combined single limit. The solicitation allows for future modifications to service locations and accommodates a planned increase of 30,000 to 40,000 additional therms per day when a new gas-burning pump is installed at the Alexander Orr facility. The County reserves the right to allow other county departments to utilize the contract at the same prices and terms.

ADDITIONAL/SPECIAL TERMS AND CONDITIONS
2.1 PURPOSE
The purpose of this Solicitation is to establish a Contract for the supply of natural gas, delivered by pipeline, to the Miami- Dade Water and Sewer Department (WASD) on an as-needed basis. Natural gas is a critical utility commodity used by WASD to support the continuous operation of generators, pumps, lime kilns, and other equipment essential to the treatment and production of potable water and the collection, treatment, and disposal of wastewater. The natural gas commodity supplied under the resulting Contract shall be delivered through the Florida Gas Transmission (FGT) pipeline system to the designated delivery points serving the County's facilities. A reliable supply of natural gas is essential to maintain uninterrupted water and wastewater treatment operations, ensure regulatory compliance, support operational efficiency, and protect public health and the environment.
2.2 TERM OF CONTRACT
The Contract shall commence on the first calendar day of the month succeeding approval of the Contract by the Board of County Commissioners, or designee, unless otherwise stipulated in writing by the County. The initial term of the Contract shall expire on the last day of the sixtieth (60th) month.
2.3 METHOD OF AWARD
Award of this contract will be made to the lowest priced responsive, responsible Bidder. The Bidder’s price will be determined by multiplying the estimated quantity by the Price Adder per Therm, exclusive of the FTG fuel and usage fees. Failure to submit pricing in accordance with Section 4, Submittal Requirements, may result in the Bid being deemed non-responsive.
2.4 BIDDER REQUIREMENTS
In addition to the requirements detailed in Section 1 – General Terms and Conditions, Paragraph 1.2 – Instructions to Bidders, the Bidder shall meet the following requirements to be considered for award:
2.4.1 Bidder or Bidder’s Subcontractor shall be regularly engaged in the business of supplying natural gas, delivered by pipeline, to government agencies and/or private businesses. To demonstrate compliance with this requirement, the Bidder or Bidder’s Subcontractor shall provide two (2) different references from customers to whom the Bidder or Bidder’s Subcontractor has provided, or is currently providing, natural gas delivered by pipeline, as described throughout this Solicitation. In lieu of the references from the Bidder or Bidder’s Subcontractor, the County will consider the references from Bidder’s key personnel in accordance with Resolution No. 1122-21. The references should include the customer’s company name, and the contact person’s name, title, address, telephone number, and e-mail address, who can verify that the Bidder/key personnel/Subcontractor has successfully provided the goods and services being offered to the County. These references shall ascertain to the County’s satisfaction that the Bidder/key personnel/Subcontractor has sufficient experience and expertise in expertise in the industry and its firm is properly equipped to provide the required product and services.
2.4.2 Bidder or Bidder's Subcontractor shall demonstrate its ability to provide a minimum of thirty thousand (30,000) therms per day of Firm Transportation Service (FTS-1, FTS-2 and/or FTS-3) on the FGT pipeline system. To demonstrate compliance with this requirement, the Bidder shall provide documentation evidencing its current transportation capacity or its ability to obtain and maintain such capacity prior to commencement of service.
Acceptable documentation may include, but is not limited to, FTS-1, FTS-2 and/or FTS-3 capacity release awards on the FGT system, transportation service agreements, asset management agreements, FGT transportation invoices identifying contracted capacity, documentation from a pipeline marketer, shipper, or transportation provider evidencing available firm transportation rights, or any other verifiable documentation acceptable to the County demonstrating the Bidder's ability to provide the required transportation capacity. The Bidder’s representative shall be able to communicate with the County and shall have full authority to act on behalf of the Bidder on all matters related to the resultant Contract. Bidders are required to provide their authorized representative’s name, phone number, and e-mail address. All resources shall be available twenty-four (24) hours a day to provide immediate support and expedite services.
The Bidder shall provide all the information, documents and/or attachments listed above to be considered for award. All information, documents, and/or attachments listed above are due with the Bid by the Solicitation’s end time and date.
The County may, at its sole discretion and in its best interest, allow the Bidder to complete, supplement or supply the required information, documents and/or attachments during the bid evaluation period. Failure to provide all the required information, documents and/or attachments with the Bid or, if allowed, as requested by the County during the Bid evaluation period, may result in the Bidder being declared non-responsive or non-responsible.
During the bid evaluation period, the County’s Strategic Procurement Department (SPD) will review the information, documents and/or attachments submitted by the Bidder, may request additional information from the Bidder, and/or obtain additional information from available sources, to completely evaluate the Bidder’s submittal and ascertain that the Bidder meets the stipulated requirements and determine the Bidder’s ability to perform under a resulting Contract. The County shall be the sole judge of a Bidder’s compliance with requirements and the Bidder’s ability to perform under the resulting Contract. Failure to meet the stipulated requirements or to demonstrate ability to perform under a resulting Contract, as determined by the County, may result in the Bidder being declared non-responsible.
During a resulting Contract, the Awarded Bidder has an obligation to advise the County of any changes, intended or otherwise, to the evidence given in compliance with the requirements in this Solicitation.
2.5 PRICE (FIRM FIXED SERVICE ADDER PRICE)
The Firm Fixed Service Adder Price shall be a fixed price per therm and shall be inclusive of all costs necessary for the Awarded Bidder to provide natural gas, delivered by pipeline, under the resulting Contract, including, but not limited to, transportation arrangements, scheduling, balancing, administration, overhead, profit, and any other fees, including the County’s User Access Program (UAP) and Inspector General (IG) fees, costs, or charges necessary to fully perform the requirements of this Solicitation. The Firm Fixed Service Adder Price shall exclude only the following pass-through components: (i) the applicable monthly natural gas index price published in the first-of-the-month issue of Inside FERC's Gas Market Report – Prices of Spot Gas Delivered to Pipelines under Florida Gas Transmission (FGT), Zone 2 (Monthly IFERC FGT Zone 2 Index Price); (ii) the applicable FGT Fuel Fee; and (iii) the applicable FGT Usage Fee, or their successor fees regulated by the Federal Energy Regulatory Commission (FERC). Such excluded components shall be identified and invoiced as separate line items by the Awarded Bidder. The price paid by the County for natural gas delivered during each billing month shall be comprised of the applicable Monthly IFERC FGT Zone 2 Index Price, the applicable FGT Fuel Fee, the applicable FGT Usage Fee, and the Awarded Bidder's Firm Fixed Service Adder Price, as further described in Paragraph 2.6, Invoices.
The Firm Fixed Service Adder Price submitted by the Awarded Bidder shall remain fixed for the term of the Contract, including any extension periods exercised by the County, unless otherwise modified in accordance with the terms and conditions of the Contract. The Firm Fixed Service Adder Price is intended to compensate the Awarded Bidder for the ordinary risks associated with providing natural gas under this Contract. Notwithstanding the foregoing, the Awarded Bidder may request an adjustment to the Firm Fixed Service Adder Price if an unforeseeable change in applicable federal or state laws, regulations, Florida Gas Transmission (FGT) pipeline tariff provisions, Local Distribution Company (LDC) tariff provisions, or material changes to LDC services, operations, or transportation programs, Florida Public Service Commission (PSC) requirements, or other governmental actions occurring after Contract award materially and directly increases the Awarded Bidder's cost of providing natural gas under this Contract, and such increased costs are not otherwise recoverable through the Monthly IFERC FGT Zone 2 Index Price, the applicable FGT Fuel Fee, the applicable FGT Usage Fee, other pass-through charges authorized under this Contract, or otherwise reflected in the pricing methodology established under this Contract. Any such request shall be submitted to the County within sixty (60) calendar days after the effective date of the applicable change and shall include sufficient documentation demonstrating that the resulting increase exceeds five percent (5%) of the Firm Fixed Service Adder Price.
The County shall review the Awarded Bidder's request and supporting documentation and may approve the requested adjustment, negotiate in good faith with the Awarded Bidder to determine an appropriate adjustment, or deny the request if the County determines that the request is unsupported or otherwise not in the County's best interest. If the parties are unable to reach agreement within ninety (90) calendar days after receipt of a complete request, either party may terminate the Contract upon one hundred eighty (180) calendar days' prior written notice. Cost increases of five percent (5%) or less shall be borne solely by the Awarded Bidder.
During the term of the Contract, the County may request pricing for a fixed-price natural gas purchase for any number of consecutive months based on New York Mercantile Exchange (NYMEX) pricing. The Awarded Bidder shall use commercially reasonable efforts to provide a fixed-price proposal for the requested period. The Awarded Bidder shall not purchase natural gas on a fixed-price basis on behalf of the County unless expressly authorized in writing by the County.
If the County and the Awarded Bidder are unable to reach mutual agreement on a fixed-price purchase, pricing shall continue to be determined using the index pricing methodology described above.
Any price adjustments authorized by the County shall be formalized through a Contract Modification, initiated and published by SPD, and signed by the Awarded Bidder. Under no circumstances shall the Awarded Bidder invoice the County a price higher than that authorized through the original contract award or an approved Contract Modification.
2.6 INVOICES
In addition to the invoice requirements set forth in Section 1, General Terms and Conditions, Paragraph 1.36, Invoices, the Awarded Bidder shall comply with the following requirements:
