INTRODUCTION
Purpose The New York State Department of Public Service (Department) is seeking qualified firms to provide security services to handle its needs in Albany and New York City. The Department's objective is to obtain professional, reliable, consistent, accurate, high quality, and timely services at our monthly New York State Public Service Commission (Commission) Session meetings as well as daily services at our Latham office.
Background Due to increasing hostilities directed at the Department and the Commission, security services are required in Albany, Latham, and occasionally, New York City. Events scheduled by the Department, including those for the Commission Sessions, generally occur 12 to 16 times per year. Most of these sessions are held in our Albany office located at 3 Empire State Plaza, Albany NY 12223 but on occasion they may be held at the Department’s New York City office located at 90 Church St., New York, NY 10007.
Commission meetings are scheduled for business hours but may, on occasion, continue past 5:00 p.m. At these events, the members of the Commission will be sitting across the dais while agency staff make formal presentations to them. Members may then ask questions of the presenting staff and engage in comment and colloquy before formally voting on the matter(s) pending before them.
Bidders selected as a result of this solicitation will provide security services for a period of three (3) years, with the option of two (2) one-year renewals, in accordance with the terms and conditions of a contract, which must be approved by the New York State Attorney General’s Office and the Office of the State Comptroller. The bidder should submit a bid that will be fixed for one year, and subject to price adjustments granted annually upon request. (see Section V.H.7).

18. Bid Tabulation Forms
19. Past Performance References Form
20. Article 15-A of the Executive Law
Failure by bidder to provide all Mandatory Requirements will be grounds for rejecting a bid.
Bid Evaluation The methodology to be used by the Department to evaluate all bids received by the deadline in response to this IFB will be comprised of three parts:
21. Responsive Bidder: Each bid will first be evaluated to ensure that all Mandatory Requirements have been met; if not, bid will be deemed unacceptable and will be rejected.
22. All acceptable bids will then be further evaluated to assess overall responsiveness to IFB requirements.
· Responsible Bidder: Each acceptable bid will be evaluated in terms of the information provided on the Vendor Responsibility Questionnaire and information obtained as a result of checking the references provided by bidder, to ensure that bidder is responsible (i.e., competent, reliable and financially qualified) and qualified. Poor service history or other invoicing or administrative problems can be sufficient cause to reject a bid.
· Lowest Price Bidder(s): Finally, bids will be evaluated as to lowest price in accordance with the methodology described below:
Bids in each region will be ranked from the lowest to the highest numerically based on the Bid Evaluation Prices. As many as the three lowest priced (highest ranked) bids may be selected per region.
Contract Award In each region, a contract will be awarded to up to three responsible and responsive bidders that comply with all IFB Mandatory Requirements, based upon the relative ranking of the lowest cost bids in each region. The same bidder may qualify for multiple regions.
23. All bidders will be notified in writing of the results of the Department’s selection(s) as soon as practical following receipt and evaluation of bids.
24. The Department and the selected bidder(s) will negotiate a contract that shall be for a term of three years with the option for two one-year renewals.
25. This IFB and each successful bidder’s response will be incorporated as part of the contract.
26. Any contract resulting from this IFB is subject to approval by the Attorney General’s Office and the Office of the State Comptroller.
27. The Department is not authorized to pay any Contractor for services rendered pursuant to such contract prior to Office of the State Comptroller approval.
28. Award of a contract does not guarantee that a firm or person will be requested to perform services.
29. Increases in the Contractor’s prices for services under such contract can only be applied for on an annual basis. Contractor must submit a request in writing to the Department’s Administrative Officer for such increases at least 30 calendar days prior to the anniversary date of the contract along with a justification for the increase and revised “Bid Tabulation Form(s)”, for approval. Any such increases shall not exceed 3.5%.
30. The contract may be cancelled, at Contractor’s expense, when a Contractor becomes unable or incapable of performing the work, or meeting any requirements or qualifications set forth in the contract, or for non-performance, or upon determination by the Department that Contractor is non-responsible (i.e., not competent, reliable, or financially qualified).
31. The Department reserves the right to terminate any contract resulting from this IFB in the event it is found that the certification filed by the Bidder in accordance with New York State Finance Law §139-k was intentionally false or intentionally incomplete. Upon such finding, the Department may exercise its termination right by providing written notification to the Bidder in accordance with the written notification terms of the resulting contract.
32. Bidder agrees to fully and accurately complete the NYS Vendor Responsibility Questionnaire (Questionnaire). The Bidder acknowledges that the State’s execution of the contract will be contingent upon the State’s determination that the Bidder is responsible and that the State will be relying upon the Bidder’s responses to the Questionnaire in making that determination. The Bidder agrees that if it is found by the State that the Bidder’s responses to the Questionnaire were intentionally false or intentionally incomplete, on such finding, the Department may terminate the contract by providing ten
(10) days written notification to the Contractor. In no case shall such termination of the contract by the State be deemed a breach thereof, nor shall the State be liable for any damages for lost profits or otherwise, which may be sustained by the Contractor as a result of such termination.
33. The Department reserves the right to terminate the contract in the event it is found that the certification filed by the Contractor in accordance with Section 5-a of the New York State Tax Law is not timely filed during the term of the contract or the certification filed was intentionally false or intentionally incomplete. Upon such finding, the Department may exercise its termination right by providing written notification to the Contractor.
34. The State shall have the right to terminate the contract early for: (1) unavailability of funds;
(2) cause; or (3) convenience, provided that the State has given written notice to the Contractor no later than thirty (30) days prior to the date of termination, except with respect to the State’s general right to terminate at any time as stated elsewhere in this IFB.
OTHER TERMS AND CONDITIONS
Proprietary Interests A member of Department staff will be assigned to assist the winning bidder with Department- specific questions. B. The contractor to the subject contract (the “Contractor” and the “Contract,” respectively) agrees, in addition to any other nondiscrimination provision of the Contract and at no additional cost to DPS, to fully comply and cooperate with DPS in the implementation of New York State Executive Law Article 15-A and the regulations promulgated thereunder. These requirements include equal employment opportunities for minority group members and women (“EEO”) and contracting opportunities for New York State-certified minority and women-owned business enterprises (“MWBEs”). The Contractor’s demonstration of “good faith efforts” pursuant to 5 NYCRR § 142.8 shall be a part of these requirements. These provisions shall be deemed supplementary to, and not in lieu of, the nondiscrimination provisions required by New York State Executive Law Article 15 (the “Human Rights Law”) and other applicable federal, state, and local laws.
C. Failure to comply with all of the requirements herein may result in a finding of non- responsiveness, non-responsibility and/or a breach of contract, leading to the assessment of liquidated damages pursuant to Section VII of this Appendix and such other remedies are available to DPS pursuant to the Contract and applicable law.
II. Contract Goals
A. For purposes of this Contract, DPS hereby establishes an overall goal of 30% percent for MWBE participation.
III. Equal Employment Opportunity (“EEO”)
A. The provisions of Article 15-A of the Executive Law and the rules and regulations promulgated thereunder pertaining to equal employment opportunities for minority group members and women shall apply to the Contract.
B. In performing the Contract, the Contractor shall:
1. Ensure that each contractor and subcontractor performing work on the Contract shall undertake or continue existing EEO programs to ensure that minority group members and women are afforded equal employment opportunities without discrimination because of race, creed, color, national origin, sex, age, disability or marital status. For these purposes, EEO shall apply in the areas of recruitment, employment, job assignment, promotion, upgrading, demotion, transfer, layoff, or termination and rates of pay or other forms of compensation.
2. If the Contractor, or any of its subcontractors, does not have an existing EEO policy statement, DPS may require the Contractor or subcontractor to adopt a model statement (see Form – Equal Employment Opportunity Policy Statement).
3. The Contractor’s EEO policy statement shall include the following language:
a. The Contractor will not discriminate against any employee or applicant for employment because of race, creed, color, national origin, sex, age, disability, or marital status, will undertake or continue existing EEO programs to ensure that minority group members and women are afforded equal employment opportunities without discrimination, and shall make and document its conscientious and active efforts to employ and utilize minority group members and women in its work force.
b. The Contractor shall state in all solicitations or advertisements for employees that, in the performance of the contract, all qualified applicants will be afforded equal employment opportunities without discrimination because of race, creed, color, national origin, sex, age, disability or marital status.
c. The Contractor shall request each employment agency, labor union, or authorized representative of workers with which it has a collective bargaining or other agreement or understanding, to furnish a written statement that such employment agency, labor union, or representative will not discriminate on the basis of race, creed, color, national origin, sex age, disability or marital status and that such union or representative will affirmatively cooperate in the implementation of the Contractor's obligations herein.
d. The Contractor will include the provisions of Subdivisions (a) through (c) of this Subsection 4 and Paragraph “E” of this Section III, which provides for relevant provisions of the Human Rights Law, in every subcontract in such a manner that the requirements of the subdivisions will be binding upon each subcontractor as to work in connection with the Contract.
C. The Contractor shall comply with the provisions of the Human Rights Law, and all other State and Federal statutory and constitutional non-discrimination provisions. The Contractor and its subcontractors shall not discriminate against any employee or applicant for employment because of race, creed (religion), color, sex, national origin, sexual orientation, military status, age, disability, predisposing genetic characteristic, marital status or domestic violence victim status, and shall also follow the requirements of the Human Rights Law with regard to non-discrimination on the basis of prior criminal conviction and prior arrest.

The parties to the attached contract, license, lease, amendment or other agreement of any kind (hereinafter, "the contract" or "this contract") agree to be bound by the following clauses which are hereby made a part of the contract (the word "Contractor" herein refers to any party other than the State, whether a contractor, licenser, licensee, lessor, lessee or any other party):
1. EXECUTORY CLAUSE. In accordance with Section 41 of the State Finance Law, the State shall have no liability under this contract to the Contractor or to anyone else beyond funds appropriated and available for this contract.
2. NON-ASSIGNMENT CLAUSE. In accordance with Section 138 of the State Finance Law, this contract may not be assigned by the Contractor or its right, title or interest therein assigned, transferred, conveyed, sublet or otherwise disposed of without the State’s previous written consent, and attempts to do so are null and void. Notwithstanding the foregoing, such prior written consent of an assignment of a contract let pursuant to Article XI of the State Finance Law may be waived at the discretion of the contracting agency and with the concurrence of the State Comptroller where the original contract was subject to the State Comptroller’s approval, where the assignment is due to a reorganization, merger or consolidation of the Contractor’s business entity or enterprise. The State retains its right to approve an assignment and to require that any Contractor demonstrate its responsibility to do business with the State. The Contractor may, however, assign its right to receive payments without the State’s prior written consent unless this contract concerns Certificates of Participation pursuant to Article 5-A of the State Finance Law.
