I. BACKGROUND

The Rivanna Water and Sewer Authority (“RWSA”, “Authority”) is a regional non-profit corporation and political subdivision of the Commonwealth chartered in 1972 under the Virginia Water and Sewer Authorities Act (1950, as amended). The RWSA owns and operates multiple water and wastewater treatment facilities and provides finished water distribution and wastewater collection services to two wholesale customers: the City of Charlottesville Public Utilities Division (the “City”) and the Albemarle County Service Authority (the “ACSA”). The City and ACSA own and operate numerous smaller water and sewer mains and provide all retail services within the RWSA service area. The City subsequently provides wholesale service to the University of Virginia.

The RWSA operates under the terms of a Service Agreement (a.k.a. The Four-Party Agreement) executed June 12, 1973, by the City of Charlottesville, Albemarle County, the Albemarle County Service Authority and the RWSA. A seven-member Board of Directors governs RWSA. The RWSA Board appoints an Executive Director who manages the RWSA operations under its direction. Pertinent financial data may be found on the RWSA’s website: www.rivannawater.org.

The RWSA operates and maintains five water supply reservoirs, six water treatment plants, four wastewater treatment plants, 14 pump stations, 10 dam facilities, and multiple administrative and support facilities.

II. PURPOSE

The Rivanna Water & Sewer Authority (Authority) is seeking bids from responsive and responsible Bidders (“Bidder”, “Supplier”) for the purchase of Liquid Polymer to be used in the dewatering and thickening operations of anaerobically digested sludge at the Moores Creek Advanced Water Resource Recovery Facility.

III. SPECIFICATIONS

The Liquid Polymer material offered must conform to the specifications, see Appendix A.

IV. ADHERENCE TO SPECIFICATIONS

Any and all deviations shall be so stated on the returned bid. Unless so stated by the Bidder, the Authority shall assume that all requirements have been met and shall hold the Bidder to each and every part of the specification.

V. ESTIMATED REQUIREMENTS

The quantities of Liquid Polymer specified in this Invitation for Bid are good faith projections of requirements and are given for the information of Bidders and for the purpose of bid evaluation.

They do not indicate the precise quantities of sludge produced. That will depend upon actual requirements during the contract period.

VI. PERFORMANCE TESTING

Bidder must complete and adhere to all specifications of the Liquid Polymer Performance Testing Procedure, see Appendix B. Performance Testing will be conducted July 16 – July 24, 2026. Interested Bidders must contact Brian Haney, Wastewater Operations Manager at (434) 977- 2970, ext. 112 to schedule testing.

Rivanna Water & Sewer Authority Page 2 of 9

Liquid Polymer is to be priced per gallon after performance trial testing runs are complete. The price per gallon will be used to determine and evaluate the total cost of Liquid Polymer per dry ton of cake/solids produced. The Bidder must submit the price per gallon along with the subsequent cost per dry ton based on the performance testing results.

Data to be submitted in addition to the cost per gallon and cost per dry ton of polymer shall include:

1. Liquid Polymer dosage in gallons (verified by performance trial testing);

2. Suspended solids mg/L from press filtrate (verified by performance trial testing);

3. Gallons per hour of sludge treated (verified by performance trial testing);

4. % Solids of sludge cake (verified by performance trial testing); and

5. Cost of Liquid Polymer per dry ton of solids.

Provide the following related documentation:

1. A copy of the current Safety Data Sheet (SDS) or Material Safety Data Sheet (MSDS) (if the new SDS is not available) for the chemical being offered by your firm must be included with your bid submission; and

2. Chemical certificate of analysis for all chemicals.

VII. TEST OF MATERIALS

The Authority reserves the right to have each and every shipment of chemicals tested by a competent laboratory. Failure of a shipment to comply with the prescribed analysis and specified requirements per bid item in every detail will be sufficient reason for rejection of the shipment.

Should a shipment be rejected, it will be returned to the Supplier, who shall pay all handling and shipping charges. Upon notice of rejection of a shipment, the chemical Supplier shall furnish another shipment immediately, which shall comply in all aspects with the prescribed analysis. In the event the Supplier is unable to furnish chemicals of acceptable quality in time to meet the Authority’s treatment needs, the material will be obtained elsewhere. Any additional cost to which the Authority may incur, will be deducted from any payment due (or to become due) the Supplier or will be billed to the Supplier.

VIII. LEAD TIME

Bidder must indicate with their bid an accurate statement of delivery lead-time days for each item quoted.

IX. DELIVERY IN ACCORDANCE WITH LEAD TIME

All deliveries shall be made in accordance with the lead time as stated in the Chemical Specifications and Requirements, Appendix A. If delivery is not made promptly, the Purchasing Agent shall have the right to procure the material elsewhere on the open market. In which event, the extra cost of procuring the material above the contract price may be charged against the Supplier or deducted from any payments due (or to become due) the Supplier. The delivery truck driver must notify the Operator on duty that they have arrived to unload chemicals.

Rivanna Water & Sewer Authority Page 3 of 9

X. DELIVERY

The Supplier will be responsible for the delivery of Liquid Polymer F.O.B. No additional shipping charges or fuel surcharges will be accepted unless indicated on the bid form. Any such shipping charges or fuel surcharges may affect bid evaluation. Truck access will be restricted to a height of 12 feet.

XI. GUARANTEE & WARRANTY

Each product furnished shall be guaranteed by the successful Bidder to be free from adulterants or impurities which might cause hazards or stoppages in the operation of standard equipment or cause operational problems using the specified products. If a product is found to consistently not meet our specifications or to be of such low quality that standard equipment stoppages are frequently caused by the product, the Authority will have the right to cancel any awarded bid.

By submitting a bid in response to this solicitation, Bidders warrant that the chemicals provided as a result of this solicitation:

1. Conform to the most current NSF 60/61 and/or ANSI/AWWA standards for water and/or wastewater chemicals;

2. Conform in all respects to the chemical specifications contained herein;

3. Are suitable for a public drinking water supply and/or wastewater treatment;

APPENDIX A

GENERAL TERMS AND CONDITIONS

For Goods and Nonprofessional Services

A. APPLICABLE LAWS & COURTS

This procurement transaction, and any resulting contract, shall in all aspects be governed by the laws of the Commonwealth of Virginia, notwithstanding its conflicts of law provisions. Any litigation with respect hereto shall be brought in the Circuit Court or General District Court of Albemarle County/Charlottesville, Virginia.

B. ANTI-DISCRIMINATION

By submitting their bid, bidder certify to the Authority that they will conform to the provisions of the Federal Civil Rights Act of 1964, as amended, as well as the Virginia Fair Employment Contracting Act of 1975, as amended, where applicable, the Virginians With Disabilities Act, the Americans With Disabilities Act and § 2.2-4311 of the Virginia Public Procurement Act (VPPA). If the award is made to a faith-based organization, the organization shall not discriminate against any recipient of goods, services, or disbursements made pursuant to the contract on the basis of the recipient’s religion, religious belief, refusal to participate in a religious practice, or on the basis of race, age, color, gender sexual orientation, gender identity, or national origin and shall be subject to the same rules as other organizations that contract with public bodies to account for the use of the funds provided; however, if the faith-based organization segregates public funds into separate accounts, only the accounts and programs funded with public funds shall be subject to audit by the public body.

(Code of Virginia, § 2.2-4343.1E).

In every contract over $10,000 the provisions in 1. and 2. below apply:

1. During the performance of the contract, the contractor agrees as follows:

a. The contractor will not discriminate against any employee or applicant for employment because of race, religion, color, sex, sexual orientation, gender identity, national origin, age, disability, veteran status, status as military family, or any other basis prohibited by state law relating to discrimination in employment, except where there is a bona fide occupational qualification reasonably necessary to the normal operation of the contractor. The contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause.

b. The contractor, in all solicitations or advertisements for employees placed by or on behalf of the contractor, will state that such contractor is an equal opportunity employer.

c. Notices, advertisements and solicitations placed in accordance with federal law, rule or regulation shall be deemed sufficient for the purpose of meeting the requirements of this section.

d. The requirements of these provisions 1. and 2. are a material part of the contract. If the contractor violates one of these provisions, the Authority may terminate the affected part of this contract for breach, or at its option, the whole contract. Violation of one of these provisions may also result in debarment from Authority contracting regardless of whether the specific contract is terminated.

2. The contractor will include in the provisions of No. 1 above in every subcontract or purchase order over $10,000, so that the provision will be binding upon each subcontractor or vendor.

C. ANTI-DISCRIMINATION OF FAITH-BASED ORGANIZATIONS

The Authority does not discriminate against faith-based organizations.

D. ETHICS IN PUBLIC CONTRACTING

By submitting their bid the bidder certifies that their bid is made without collusion or fraud and that they have not offered or received any kickbacks or inducements from any other bidder, supplier, manufacturer or subcontractor in connection with their bid, and that they have not conferred on any public employee having official responsibility for this procurement transaction, any payment, loan, subscription, advance, deposit of money, services or anything of more than nominal value, present or promised, unless consideration of substantially equal or greater value was exchanged. (Code of Virginia § 2.2- 4367).

E. IMMIGRATION REFORM AND CONTROL ACT OF 1986

By entering into a written contract with the Authority, the contractor certifies that the contractor does not, and shall not during the performance of the contract for goods and services in the Commonwealth of Virginia, knowingly employ an unauthorized alien as defined in the federal Immigration Reform and Control Act of 1986.

F. DRUG-FREE WORKPLACE

Applicable for all contracts over $10,000:

During the performance of this contract, the contractor agrees to (i) provide a drug-free workplace for the contractor’s employees; (ii) to post in conspicuous places, available to employees and applicants for employment, a statement notifying employees that the unlawful manufacture, sale, distribution, dispensation, possession, or use of a controlled substance or marijuana is prohibited in the contractor’s workplace and specifying the actions that will be taken against employees for violations of such prohibition; and (iii) state in all solicitations or advertisements for employees placed by or on behalf of the contractor that the contractor maintains a drug-free workplace.

For the purposes of this paragraph, “drug-free workplace” means a site for the performance of work done in connection with the contract awarded to a contractor in accordance with this procurement transaction, where the contractor’s employees are prohibited from engaging in the unlawful manufacture, sale, distribution, dispensation, possession or use of any controlled substance or marijuana during the performance of the contract.

G. NONDISCRIMINATION OF CONTRACTORS

A bidder or contractor shall not be discriminated against in the solicitation or award of this contract because of race, color, religion, national origin, sex, pregnancy, childbirth or related medical conditions, age, marital status, sexual orientation, gender identity, status as a veteran, or disability, or any other basis prohibited by state law relating to discrimination in employment or because the bidder employs ex-offenders unless the Authority has made a written determination that employing ex-offenders on the specific contract is not in its best interest. If the award of this contract is made to a faith-based organization and an individual, who applies for or receives goods, services, or disbursements provided pursuant to this contract objects to the religious character of the faith-based organization from which the individual receives or would receive the goods, services, or disbursements, the public body shall offer the individual, within a reasonable period of time after the date of his objection, access to equivalent goods, services, or disbursements from an alternative provider.

H. FORCED OR INDENTURED CHILD LABOR

Applicable in all solicitations and contracts over $10,000:

During the performance of this contract the use of forced or indentured child labor is prohibited. Any prime contractor shall include such prohibition in every subcontract that exceeds $10,000 and shall be binding upon each subcontractor or vendor.

For the purposes of this section, “forced or indentured child labor” means all work or service exacted from any person younger than 18 years of age under the menace of any penalty for the nonperformance of such work or service and for such person does not offer himself voluntarily or performed by any person younger than 18 years of age pursuant to a contract the enforcement of which can be accomplished by process or penalties.

R. USE OF BRAND NAMES

Unless otherwise provided in this solicitation, the name of a certain brand, make or manufacturer does not restrict bidders to specific brand, make, or manufacturer named, but conveys the general style, type, character, and quality of the article desired. Any article which the public body, in its sole discretion, determines to be the equivalent of that specified, considering quality, workmanship, economy of operation, and suitability for the purpose intended, shall be accepted. The bidder is responsible to clearly and specifically identify the product being offered and to provide sufficient descriptive literature, catalog cuts and technical detail to enable the Authority to determine if the product offered meets the requirements of the solicitation. This is required even if offering the exact brand, make or manufacturer specified.

Normally in competitive sealed bidding only the information furnished with the bid will be considered in the evaluation.

Failure to furnish adequate data for evaluation purposes may result in declaring a bid non-responsive. Unless the bidder clearly indicates in its bid that the product offered is an equivalent product, such bid will be considered to offer the brand name product referenced in the solicitation.

S. SUBMISSION OF PROPRIETARY INFORMATION

All information submitted to the Authority in response to this solicitation will constitute public information and will be available to the public for inspection upon request pursuant to the Virginia Freedom of Information Act (FOIA).

Pursuant to Code of Virginia § 2.2-4342, a Bidder may request an exception to disclosure for trade secrets or proprietary information as such is defined under Code of Virginia § 59.1-336, part of the Uniform Trade Secrets Act.

In order to claim this exemption, the Bidder shall perform ALL of the following: (i) include a written request indicating Bidder’s desire to invoke the protections of Code of Virginia § 2.2-4342 with submitted proposal materials/data; (ii) specifically identify the data or other materials to be protected by clearly labeling each page containing applicable data as PROPRIETARY; and (iii) to the Authority’s satisfaction, articulate the rationale for why protection for the particular data or materials is necessary. The classification of the entire bid document, line item prices and/or total bid prices as proprietary or trade secrets is not acceptable.

Without waiving sovereign immunity or any other available defenses, the Authority asserts that failure to meet all of these requirements will result in the data or materials being open for inspection in response to a valid inquiry under FOIA and will serve to waive any right of the Bidder to assert a claim against the Authority for disclosure of trade secrets or proprietary information.

Bidder shall be responsible for intervening and defending, at its own expense, any demands made upon the Authority by third parties for production of any such items.

T. DESIGNATED PERSONNEL

The personnel designated in the management summary for key positions shall not be changed except with the permission of the Authority. Contractor may not substitute other staff or individual(s) without the prior, express written consent of the Authority. The Authority shall not be required to consent or accept any substitution(s) if to do so would require an increase in the compensation due to the Contractor under this Contract, or a reduction in the quantity or quality of the service by this Contract, as determined in the Authority's sole discretion.

U. FREIGHT, TRANSPORTATION, AND PACKAGING
