The Contracting Officer may exercise the option by written notice to the Contractor within one day.

52.217-9 Option to Extend the Term of the Contract (Mar 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within one day; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least one day before the contract expires. The preliminary notice does not commit the Government to an extension.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five years and six months.

252.232-7007 Limitation of Government’s Obligation (Apr 2014)

(a) Contract line item(s) [Contracting Officer insert after negotiations] is/are incrementally funded. For this/these item(s), the sum of $[Contracting Officer insert after negotiations] of the total price is presently available for payment and allotted to this contract. An allotment schedule is set forth in paragraph (j) of this clause.

(b) For item(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government’s convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled “Termination for Convenience of the Government.” As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit, and estimated termination settlement costs for those item(s).

(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least ninety days prior to the date when, in the Contractor’s best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state (1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled

C − 10 of 11 date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for a subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor’s notification, or by an agreed substitute date, the Contracting Officer will terminate any item(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled “Termination for Convenience of the Government.”

(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraphs

(b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.

(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled “Disputes.”

(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.

(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled “Default.” The provisions of this clause are limited to the work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract is fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) and (e) of this clause.

(h) Nothing in this clause affects the right of the Government to terminate this contract pursuant to the clause of this contract entitled “Termination for Convenience of the Government.”

(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31 U.S.C. 1342.

(j) The parties contemplate that the Government will allot funds to this contract in accordance with the following schedule:

Attachment 2 – Performance Work Statement

Joint Airborne Intelligence, Surveillance, and Reconnaissance (AISR) Sensor Data Transport

Infrastructure Enterprise “Advise & Assist” Support

GSA ID # ID05170063

19 Oct 2017

1.0 Detailed Work Description

This Performance Work Statement (PWS) is for architectural, engineering, and technical support to the DoD Chief Information Officer (DoD CIO), Joint Information Environment Executive Committee (JIE EXCOM), and supported Global Combatant Commanders (GCCs).

This level of effort provides advice and assistance on how these team members should move forward with a Vice Chairman of the Joint Chiefs of Staff (VCJCS)/Joint Requirements Oversight Council (JROC) mandated assessment of today’s disparate sensor data transport infrastructure (e.g. Service, asset, sensor, and customer centric) in order to develop, propose and resource an operationally effective and fiscally efficient DoD-level enterprise equivalent/replacement.

Through JROC Memorandums 028-17, 029-17, and 034-17, the VCJCS has tasked the Office of the Secretary of Defense’s Director of Cost Assessment and Program Evaluation (OSD CAPE) with defining criteria for and the Joint Staff J6 and DoD CIO (with Defense Information Systems Agency {DISA} support) with completing an Analysis of Alternatives (AoA) to explore disparate pre-existing Service and Program Management Office (PMO) AISR sensor data transport infrastructures and provide recommendations for a future “best of breed” solution for downlinking and distributing sensor data for: line-of-sight (LOS) & beyond line-of-sight (BLOS); government owned-government operated (GOGO), government owned-contractor operated (GOCO), & contractor owned-contractor operated (COCO) assets through a more cohesive enterprise strategy supporting the entire DoD.

In order to complete this effort, and ensure delivery of an all-encompassing plan to answer the VCJCS’ tasking, the DoD CIO, the JIE EXCOM, and supported GCCs will have to leverage industry partner(s) to fully research and document (where necessary) the pre-existing solutions/architectures, analyze pros and cons for each, and assist with analysis and proposals for a future Joint AISR Sensor Data Transport Infrastructure Enterprise at the DoD-level. The contractor shall “advise and assist” the JS J6 and DoD CIO with proposed architectures, engineering, and technical implementation for the approved way ahead.

Although this effort requires input from across industry, it is expected a single award shall be made to an “advise and assist” industry partner or team ensuring synchronization of effort and providing a single voice/representative to the government.

The lead industry partner shall coordinate all efforts such a work plan descriptions and task requirements with the designated DoD CIO, JIE EXCOM, and supported GCCs’ Government Project Leads or appropriate Government Task Leaders for this project to ensure that ongoing efforts are synchronized with project priorities. Any changes to the scope of this

Page | 2

PWS shall be included in amendment modification, signed and approved by the Government Project Leads, and forwarded to the appropriate Contracting Officer for inclusion in the contract.

1.1 Government Relationships

The efficient and effective conduct of the “advise and assist” effort described in this PWS will make it necessary for the lead industry partner to establish and maintain working relationships with a variety of Department of Defense Services and Agencies (Air Force, Army, Marine Corps, Navy, Joint Chiefs of Staff (JCS), National Security Agency (NSA), etc.) and other Government Departments and Agencies (e.g., Defense Information Systems Agency (DISA), National Geospatial Agency (NGA), etc.) with regard to information on architectures and other activities closely related technically or operationally to the Joint AISR Transport Infrastructure Enterprise tasks.

1.2 Industry Partner Relationships

The lead industry partner is expected to coordinate access to documentation, reports, and pertinent data for partners in industry as needed to perform the Joint AISR Sensor Data Transport Infrastructure Enterprise task on a need-to-know basis. This may include the lead industry partner having access to Government documents otherwise identified as “not releasable to contractors” and specifically authorized by the government. Employees of the lead industry partner shall be required to sign non-disclosure agreements prior to being provided such information. The lead industry partner and/or its employees may not disclose any such sensitive or competitive information without the Government’s express approval. The lead industry partner staff shall participate in meetings to exchange viewpoints and ideas and to discuss technical issues with elements of Governmental, scientific, and industrial communities, as appropriate and pertinent to agreed-upon tasks.

1.3 Location of Work

The work to be performed under this PWS is primarily driven by the lead industry partner’s ability to actively engage and interface with the government and industry partners supporting the Joint AISR Sensor Data Transport Infrastructure Enterprise task. Although future permanent satellite locations (potentially the National Capitol Region (NCR) (e.g. DC, The Pentagon, etc.), Geographical Combatant Command (GCC) Headquarters (e.g. HQ USCENTCOM/USSOCOM at MacDill AFB, HQ USEUCOM/USAFRICOM at Stuttgart, Germany, etc.)) and/or site level personnel may be directed by the government as future architecture, engineering, and technical implementation requirements dictate, at the initial “advise and assist” level, there is no prescribed facility/location identified.

2.0 Enterprise Vision

The Department’s Joint AISR Sensor Data Transport Infrastructure Enterprise must remain secure, effective, and as efficient as possible, be able to react flexibly and dynamically in response to pre-existing operations as well as surge in response to emerging operations on a global scale, and the data transported must be accessible at the time, place, quantity, and

Page | 3 quality dictated for tactical, operational (C2 Nodes), and strategic (e.g. Intelligence Analyst) consumers. Geographical Combatant and Joint Commanders must be able to obtain accurate and timely situational awareness for ongoing operations in order to afford target engagement authority direction facilitating smarter and better informed decisions at the tactical edge. In order to achieve these goals, the DoD CIO, JIE EXCOM, and the supported GCCs, must have full and unabated insight into existing, pre-existing, albeit disparate Service and PMO AISR sensor data transport infrastructure architectures/solutions with unbiased details surrounding the successes, shortfalls, and challenges facing each of these architectures/solutions in order to maximize duplication/expansion where appropriate and avoid repeating missteps to the extent possible.

Turning to the next phase of this task, the objective Joint AISR Sensor Data Transport Infrastructure Enterprise must be technologically superior, and the assets and consumers they support, should be better networked than the connectivity provided by today’s Service, sensor, asset, and consumer centric solutions.
