4. Identification of the statutory authority permitting other than full and open competition.

This Sole Source will be procured under the authority found in 10 U.S.C. 2304(c)(1) or 41 U.S.C.

3304(a)(1).

5. Demonstration that the proposed contractor(s) unique qualifications or the nature of the acquisition requires use of the authority cited.

a. Name and address of the proposed contractor(s).

Rest Easy, LLC 3825 Dickman Rd, BLDG 592 San Antonio, TX 78234-5051

b. Nature of the acquisition and proposed unique qualifications of the contractor(s).

Rest Easy, LLC has an exclusive contract from the U.S. Army to manage on base lodging that is being utilized through this agreement. Using on-base lodging with messing capabilities significantly reduces per diem expenses and costs to the Government. The U.S. Army awarded to Rest Easy, LLC lodging operator under sole source authority 10 U.S.C. 2304(c)(1).

Additionally, the lodging location and the ability for military members to obtain their meals at the required government messing facility offers convenience and per diem cost savings. Proximity of lodging on base also facilitates on call access to Medical Students.

6. Description of the efforts made to ensure that offers are solicited from as many potential sources as practicable. Indicate whether a FedBizOpps notice was or will be publicized as required by FAR Subpart 5.2 and, if not, which exception under FAR 5.202 applies.

Rest Easy, LLC is currently the sole source capable of providing lodging on these military installations.

In order to realize cost savings for on-base lodging, we are required to sole source to the awardee of the US Army lodging contract, who is the sole provider of access to these services. However, the Contracting Officer and Program Officer will continually monitor the marketplace for any changes.

The notice to Sole Source will be posted to the Government Point of Entry as required by FAR Subpart 5.2.

7. Determination by the Contracting Officer that the anticipated cost/price to the Government will be fair and reasonable.

The services being procured are considered commercial in accordance to FAR part 2.101. The Contracting Officer will use various methods contained under FAR 13 and 12 to ensure the products are considered fair and reasonable. These methods could include but are not limited to catalog prices, internet search for similar products, and price lists available.

8. Description of the market research conducted (see FAR Part 10) and the results, or a statement of the reasons market research was not conducted.

Rest Easy, LLC is the only potential offeror of on-post lodging at the military installations where USU medical students will be doing their rotations. The Army established the Privatized Army Lodging (PAL) program in August 2009 by conveying existing Army lodging facilities at certain Army installations to Rest Easy, LLC and also by leasing to Rest Easy, LLC (the PAL Lease) the land that both existing and planned “to be constructed” lodging facilities were (to be) located.

9. Any other facts supporting the use of other than full and open competition.

Not applicable.

10. Listing of sources, if any, that expressed, in writing, an interest in the acquisition.

No other sources have expressed an interest, in writing, in the proposed acquisition.

11. Statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the required supplies or services.

USU was not privy to the business decision privatizing on-base lodging or for the full and open competition of US Army requirement. In order to realize cost savings for on-base lodging, we are required to sole source to the awardee of the US Army lodging contract, who is the sole provider of access to these services.
